General offer. If any person (either alone or together with any person acting in concert with him): (i) obtains Control of the Company as a result of making a general offer to acquire Shares; or (ii) already having Control of the Company, makes an offer to acquire all of the Shares other than those which are already owned by him and such offer becomes wholly unconditional.
