General Changes. Since the Balance Sheet Date: (i) the business of the Group Companies has been carried on in the ordinary course and so as to maintain the same as a going concern; and (ii) there has been no adverse change in the financial position or trading prospects of the Group Companies, and to the Knowledge of the Warrantors there are no facts which are likely to give rise to any such adverse change.
