Common use of Future Registered Marks Clause in Contracts

Future Registered Marks. If any Xxxx registration is issued hereafter to any Assignor as a result of any application now or hereafter pending before the United States Patent and Trademark Office, within 30 days of receipt of such certificate, such Assignor shall deliver to the Collateral Agent a copy of such certificate, and an assignment for security in such Xxxx, to the Collateral Agent and at the expense of such Assignor, confirming the assignment for security in such Xxxx to the Collateral Agent hereunder, the form of such security to be substantially the same as the form hereof or in such other form as may be reasonably satisfactory to the Collateral Agent.

Future Registered Marks. If any registration for a Xxxx registration is issued issues hereafter to any Assignor as a result of any application now or hereafter pending before the United States Patent and Trademark OfficeOffice (or the equivalent thereof in any foreign jurisdiction), within 30 days of receipt of such certificate, such Assignor shall deliver to the Collateral Agent a copy of such certificate, and an assignment for a grant of security in such Xxxx, to the Collateral Agent and at the expense of such Assignor, confirming the assignment for grant of security in such Xxxx to the Collateral Agent hereunder, the form of such security to be substantially the same as the form hereof or in such other form as may be reasonably satisfactory to the Collateral Agent.

If registration for any Xxxx registration which is material and/or necessary to its business is issued hereafter to any Assignor as a result of any application now or hereafter pending before the United States Patent and Trademark Office, within 30 days of receipt of such certificate, such Assignor shall deliver to the Collateral Agent a copy of such certificate, and an assignment for a grant of security in such Xxxx, to the Collateral Agent and at the expense of such Assignor, confirming the assignment for grant of security in such Xxxx to the Collateral Agent hereunder, the form of such security to be substantially the same as in the form hereof of Annex K hereto or in such other form as may be reasonably satisfactory to the Collateral Agent.

Future Registered Marks. If any Xxxx registration is issued hereafter to any Assignor as a result of any application now or hereafter pending before the United States Patent and Trademark Office, within 30 days of receipt of such certificate, such Assignor shall deliver to the Collateral Agent a copy of such certificate, and an assignment for a grant of a security interest in such Xxxx, to the Collateral Agent and at the expense of such Assignor, confirming the assignment for grant of a security interest in such Xxxx to the Collateral Agent hereunder, the form of such security to be substantially the same as in the form hereof of Annex I hereto or in such other form as may be reasonably satisfactory to the Collateral Agent.

If any Xxxx registration is issued hereafter to any Assignor as a result of any application now or hereafter pending before the United States Patent and Trademark Office, within 30 thirty (30) days of receipt of such certificate, such Assignor shall deliver to the Collateral Agent a copy of such certificate, and an assignment for security in such Xxxx, to the Collateral Agent and at the expense of such Assignor, confirming the assignment for security in such Xxxx to the Collateral Agent hereunder, the form of such security to be substantially the same as in the form hereof of Annex I hereto or in such other form as may be reasonably satisfactory to the Collateral Agent.

If any Xxxx Mark registration is issued hereafter hxxxxfter to any the Assignor as a result of any application now or hereafter pending before the United States Patent and Trademark Office, within 30 days of receipt of such certificate, such the Assignor shall deliver to the Collateral Agent a copy of such certificate, and an assignment for security in such XxxxMark, to the Collateral Agent and at axx xt the expense of such the Assignor, confirming the assignment for security in such Xxxx Mark to the Collateral Agent hereunderhxxxxnder, the form of such security to be substantially the same as in the form hereof of Annex I hereto or in such other form as may be reasonably satisfactory to the Collateral Agent.

If any Xxxx Mark registration is issued hereafter to any Assignor as a result of any xxx application now or hereafter pending before the United States Patent and Trademark Office, within 30 days of receipt of such certificate, such Assignor shall deliver to the Collateral Agent a copy of such certificate, and an assignment for security in such XxxxMark, to the Collateral Agent and at the expense of such Assignor, confirming cxxxxrming the assignment for security in such Xxxx Mark to the Collateral Agent hereunder, the form of such security to be xx substantially the same as in the form hereof of Annex H hereto or in such other form as may be reasonably satisfactory to the Collateral Agent.

If any registration for any Xxxx registration is issued issues hereafter to any Assignor as a result of any application now or hereafter pending before the United States Patent and Trademark OfficeOffice or any equivalent governmental agency in any foreign jurisdiction, within 30 days of receipt of such certificate, such Assignor shall deliver to the Collateral Agent a copy of such certificate, certificate and an assignment for security in such Xxxx, to the Collateral Agent and at the expense of such Assignor, confirming the assignment for security in such Xxxx to the Collateral Agent hereunder, the form of such security to be substantially the same as the form hereof or in such other form as may be reasonably satisfactory to the Collateral Agent.

Future Registered Marks. If any Xxxx registration Mark xxxistration is issued hereafter to any Assignor as a result of any application now or hereafter pending before the United States Patent and Trademark Office, within 30 days of receipt of such certificate, such Assignor shall deliver to the Collateral Agent a copy of such certificate, and an assignment for security in such XxxxMark, to xx the Collateral Agent and at the expense of such Assignor, confirming the assignment for security in such Xxxx to Mark xx the Collateral Agent hereunder, the form of such security to be substantially the same as in the form hereof of Annex H hereto or in such other form as may be reasonably satisfactory to the Collateral Agent.

If any Xxxx Mark registration is issued hereafter to any Assignor as a result rxxxxt of any application now or hereafter pending before the United States Patent and Trademark Office, within 30 days of receipt of such certificate, such Assignor shall deliver to the Collateral Agent a copy of such certificate, and an assignment for security in such XxxxMark, to the Collateral Agent and at the expense of such Assignor, confirming xxnfirming the assignment for security in such Xxxx Mark to the Collateral Agent hereunder, the form of such security to securixx xo be substantially the same as in the form hereof of Annex L hereto or in such other form as may be reasonably satisfactory to the Collateral Agent.

Future Registered Marks. If any Xxxx Mxxx registration is issued hereafter to any Assignor as a result of any application now or hereafter pending before the United States Patent and Trademark Office, within 30 days of receipt of such certificate, such Assignor shall deliver to the Collateral Agent a copy of such certificate, and an assignment for a grant of a security interest in such XxxxMxxx, to the Collateral Agent and at the expense of such Assignor, confirming the assignment for grant of a security interest in such Xxxx Mxxx to the Collateral Agent hereunder, the form of such security to be substantially the same as in the form hereof of Annex G hereto or in such other form as may be reasonably satisfactory to the Collateral Agent.

Future Registered Marks. If any registration for any Xxxx registration is issued issues hereafter to any Assignor as a result of any application now or hereafter pending before the United States Xxxxxx Xxxxxx Patent and Trademark Office, within 30 days of receipt of such certificate, such Assignor shall deliver to the Collateral Agent a copy of such certificate, and an assignment for security in such Xxxx, to the Collateral Agent and at the expense of such Assignor, confirming the assignment for security in such Xxxx to the Collateral Agent hereunder, the form of such security to be substantially the same as the form hereof or in such other form as may be reasonably satisfactory to the Collateral Agent.

If any Xxxx Mark registration is issued hereafter to any Assignor as a result of resuxx xf any application now or hereafter pending before the United States Patent and Trademark Office, within 30 days of receipt of such certificate, such Assignor shall deliver to the Collateral Agent a copy of such certificate, and an assignment for security in such XxxxMark, to the Collateral Agent and at the expense of such AssignorAssignox, confirming the assignment for security in such Xxxx Mark to the Collateral Agent hereunder, the form of such security to securixx xo be substantially the same as in the form hereof of Annex H hereto or in such other form as may be reasonably satisfactory to the Collateral Agent.

Future Registered Marks. If any Xxxx registration for any Mark that is issued material to its business issues hereafter to any Assignor as Assignox xx a result of any application now or hereafter pending before the United States Patent and Trademark Office, within 30 days of receipt of such certificate, such Assignor shall deliver to the Collateral Agent a copy of such certificate, and an assignment for security in such XxxxMark, to the Collateral Agent and at the expense of such Assignor, confirming coxxxxming the assignment for security in such Xxxx Mark to the Collateral Agent hereunder, the form of such security to be substantially xx xubstantially the same as the form hereof or in such other form as may be reasonably satisfactory to the Collateral Agent.

Future Registered Marks. If any Xxxx registration Mark xxxistration is issued hereafter to any Assignor as a result of any application now or hereafter pending before the United States Patent and Trademark Office, within 30 days of receipt of such certificate, such Assignor shall deliver to the Collateral Agent a copy of such certificate, and an assignment for security in such XxxxMark, to xx the Collateral Agent and at the expense of such Assignor, confirming the assignment for security in such Xxxx to Mark xx the Collateral Agent hereunder, the form of such security to be substantially the same as in the form hereof of Annex H hereto, or in such other form as may be reasonably satisfactory to the Collateral Agent.

If any Xxxx registration is issued issues hereafter to any Assignor as a result of any application now or hereafter pending before the United States Patent and Trademark Office, within 30 days of receipt of such certificate, such Assignor shall deliver to the Collateral Agent a copy of such certificate, and an assignment for security in such Xxxx, to the Collateral Agent and at the expense of such Assignor, confirming the assignment for security in such Xxxx to the Collateral Agent hereunder, the form of such security to be substantially the same as the form hereof or in such other form as may be reasonably satisfactory to the Collateral Agent.

If any Xxxx registration is issued for any Mark xxxues hereafter to any Assignor as a result of any application now or hereafter pending before the United States Patent and Trademark OfficeOffice or any equivalent governmental agency in any foreign jurisdiction, within 30 45 days of receipt of such certificate, such Assignor shall deliver to the Collateral Agent a copy of such certificate, and an assignment for security in such XxxxMark, to xx the Collateral Agent and at the expense of such Assignor, confirming the assignment for security in such Xxxx to Mark xx the Collateral Agent hereunder, the form of such security to be substantially the same as the form hereof or in such other form as may be reasonably satisfactory to the Collateral Agent.

Future Registered Marks. If any Xxxx Mxxx registration is issued hereafter to any Assignor as a result of any application now or hereafter pending before the United States Patent and Trademark Office, within 30 days of receipt of such certificate, such Assignor shall deliver to the Collateral Agent a copy of such certificate, and an assignment for a grant of a security interest in such XxxxMxxx, to the Collateral Agent and at the expense of such Assignor, confirming the assignment for grant of a security interest in such Xxxx Mxxx to the Collateral Agent hereunder, the form of such security to be substantially the same as in the form hereof of Annex I hereto or in such other form as may be reasonably satisfactory to the Collateral Agent.

If any Xxxx registration is issued Mark xxxistration issues hereafter to any Assignor as a result of any application now or hereafter pending before the United States Patent and Trademark Office, within 30 days 60 Business Days of receipt of such certificate, such Assignor shall deliver to the Collateral Agent a copy of such certificate, and an assignment for security in such XxxxMark, to xx the Collateral Agent and at the expense of such Assignor, confirming the assignment for security in such Xxxx to Mark xx the Collateral Agent hereunder, the form of such security to be substantially the same as the form hereof or in such other form as may be reasonably satisfactory to the Collateral Agent.

If any Xxxx Mxxx registration is issued hereafter to any the Assignor as a result of any application now or hereafter pending before the United States Patent and Trademark Office, within 30 days of receipt of such certificate, such the Assignor shall deliver to the Collateral Agent a copy of such certificate, and an assignment for security in such XxxxMxxx, to the Collateral Agent and at the expense of such the Assignor, confirming the assignment for security in such Xxxx Mxxx to the Collateral Agent hereunder, the form of such security to be substantially the same as in the form hereof of Annex I hereto or in such other form as may be reasonably satisfactory to the Collateral Agent.

If any registration for any Xxxx registration is issued issues hereafter to any Assignor as a result of any application now or hereafter pending before the United States Patent and Trademark Office, within 30 days of receipt of such certificate, such Assignor shall deliver to the Collateral Agent a copy of such certificate, and an assignment for security in such Xxxx, to the Collateral Agent and at the expense of such Assignor, confirming the assignment for security in such Xxxx to the Collateral Agent hereunder, the form of such assignment for security to be substantially the same as the form hereof or in such other form as may be reasonably satisfactory to the Collateral Agent.

If any Xxxx registration is issued for a Mark issues hereafter to any Assignor as a result of any application now applicatixx xow or hereafter pending before the United States Patent and Trademark OfficeOffice (or the equivalent thereof in any foreign jurisdiction), within 30 days of receipt of such certificate, such Assignor shall deliver to the Collateral Agent a copy of such certificate, and an assignment for a grant of security in such XxxxMark, to the Collateral Agent and at the expense of such Assignor, confirming xxxfirming the assignment for grant of security in such Xxxx Mark to the Collateral Agent hereunder, the form of such security to be xx xe substantially the same as the form hereof or in such other form as may be reasonably satisfactory to the Collateral Agent.
