FURTHER REPRESENTATION AND WARRANTIES OF SHAREHOLDER. Each Shareholder makes the following further representations and warranties as to such Shareholder:
FURTHER REPRESENTATION AND WARRANTIES OF SHAREHOLDER. To induce Seller to enter into this Agreement, and for the benefit of Seller, Shareholder further represents and warrants that (i) Shareholder has full power and authority to execute, deliver and perform his obligations under this Agreement including, but not limited to, his obligations under the Other Buyer/Shareholder Agreements (as defined below), and (ii) this Agreement is a legal, valid, and binding obligation of Shareholder, enforceable against him in accordance with its terms.
