Common use of FUND ADMINISTRATION SERVICES Clause in Contracts

FUND ADMINISTRATION SERVICES. BNY Mellon shall provide the following fund administration services for each Fund: • In accordance with Instructions received from a Fund, and subject to portfolio limitations as provided by such Fund to BNY Mellon in writing from time to time, monitor such Fund’s compliance, on a post-trade basis, with such portfolio limitations (including without limitation requirements under the 1940 Act and rules thereunder and the IRC), provided that BNY Mellon maintains in the normal course of its business all data necessary to measure the Fund’s compliance or receives necessary data from the Fund or other sources utilized by BNY Mellon in the normal course of its business. Such post-trade compliance testing shall be conducted on a daily basis using automated or, if necessary, manual means; if BNY Mellon detects a possible non-compliance with portfolio limitations applicable to a Fund, it shall promptly notify the Fund thereof; • Monitor the Fund’s status as a regulated investment company under Subchapter M of the IRC and Subchapter L of the IRC (if required). • Establish appropriate expense accruals and compute expense ratios, maintain expense files (including with respect to overdraft charges reporting) and coordinate the payment of Fund approved invoices; • Calculate Fund approved income and per share amounts required for periodic (monthly, quarterly, or annual) distributions to be made by the applicable Fund; • Calculate total return information; • Calculate loan and preferred share limits and Fitch ratings pursuant to the testing template provided by the Fund to BNY Mellon for closed-end funds (if required); • Coordinate a Fund’s annual audit; • Supply various normal and customary portfolio and Fund statistical data as requested on an ongoing basis, which may include foreign withholding reclaim reporting; and • If the chief executive officer or chief financial officer of a Fund is required to provide a certification as part of the Fund’s Form N-Q or Form N-CSR filing pursuant to regulations promulgated by the SEC under Section 302 of the S▇▇▇▇▇▇▇-▇▇▇▇▇ Act of 2002, provide a sub- certification in support of certain matters set forth in the aforementioned certification. Such sub-certification is to be in such form and relating to such matters as agreed to by BNY Mellon in advance. BNY Mellon shall be required to provide the sub-certification only during the term of this Agreement with respect to the applicable Fund and only if it receives such cooperation as it may request to perform its investigations with respect to the sub-certification. For clarity, the sub-certification is not itself a certification under the S▇▇▇▇▇▇▇-▇▇▇▇▇ Act of 2002 or under any other law, rule or regulation. • Prepare such distribution calculations and related financial information as may be required to support any required Section 19(a) notices or income or capital gain distribution press releases; • Prepare such financial information and reports as may be reasonably required by any banks from which the Fund borrow funds; • Daily asset coverage testing and exception reporting for indebtedness leverage within the Fund as required and defined by the 1940 Act. • Prepare and furnish yield and total return performance information for the Fund, including any information on an after-tax basis if applicable, based on market value in addition to Net Asset Value, for closed-end funds (if required); • Provide such financial information and reports, provided the same are maintained by BNY Mellon in the normal course of business, as may be required by any stock exchange on which the Funds’ shares are listed for closed-end funds (if required); • Prepare and disseminate such mutually agreed upon financial information as required by the Fund’s preferred shares auction agent information, including information related to the tax character of distributions to preferred shareholders, for closed-end funds (if required); and • Prepare such financial information and reports as may be required for implementation of any share purchase or dividend reinvestment programs as mutually agreed upon for closed-end funds (if required).

Control all disbursements and authorize such distribution calculations disbursements upon written instructions; Prepare the monthly revenue file; Prepare the revenue and waiver projections; Prepare quarterly broker security transactions summaries; Prepare monthly security transactions listing BNY Mellon shall provide the following regulatory administration services with respect to each Fund and its Series: Maintain a regulatory calendar for each Fund listing various SEC filing and Board approval deadlines; Assemble and distribute board materials for quarterly meetings of the Board, including the drafting of agendas and resolutions for such quarterly meetings of the Board (with final selection of agenda items and resolutions made by Fund counsel); Attend (in-person or telephonically) quarterly Board meetings (and other off-cycle meetings, not to exceed three (3) Board meeting per quarter) and draft minutes thereof with a goal (but not the obligation) of distributing draft minutes to the Fund within thirty-five (35) days following a Board meeting; Attend (in-person or telephonically) Pricing Committee meetings and draft minutes thereof; Prepare and coordinate the filing of (1) annual post-effective amendments to the Funds’ registration statement (not including the initial registration statement or related financial information to the addition of one or more classes of shares or series or the combining of multiple prospectuses into one prospectus or the splitting of one prospectus into multiple prospectuses or post effective amendments under Rule 485(a)) (including a secondary review of the iXBRL tagging, after completion of the tagging by the Workiva team (or a successor provider to that team) and review by the Administrator, and prior to the applicable filing), (2) annual summary prospectus filings, and (3) prospectus and Statement of Additional Information supplement filings as directed by Fund counsel; Prepare and coordinate annual and quarterly trustee questionnaires Provide reasonable assistance to the Funds and Fund counsel with respect to Trustee written consents. Such post-trade compliance testing shall be conducted on a daily basis using automated or, if necessary, manual meanscompliance; if BNY Mellon detects a possible non-compliance with portfolio limitations applicable to a Fund, it shall promptly notify the Fund thereof; • ¡ Monitor the Fund’s status as a regulated investment company under Subchapter M of the IRC and Subchapter L of the IRC (if required). • ; ¡ Monitoring and recording of corporate actions; ¡ Establish appropriate expense accruals and compute expense ratios, maintain expense files (including with respect to overdraft charges reporting) and coordinate the payment of Fund approved invoices; ¡ Monitor expense limitations and waivers and ensure they are accounted for in all relevant calculations; ¡ Calculate Fund approved income and per share amounts required for periodic (monthly, quarterly, or annual) distributions to be made by the applicable Fund; ¡ Calculate total return information; • Calculate loan and preferred share limits and Fitch ratings pursuant to the testing template provided by the Fund to BNY Mellon for closedinformation (including after-end funds (if requiredtax returns); ¡ Coordinate a the Fund’s annual audit; ¡ Provide reasonable assistance with complying with ▇▇▇▇▇▇▇▇-▇▇▇▇▇ Act requirements such as obtaining sub-certifications and coordinating the periodic meeting of the Fund’s (or investment adviser’s) Disclosure Controls Committee and attending and preparing the minutes related thereto; ¡ Make available BNY Mellon personnel for due diligence purposes to reasonably assist the Fund (or its chief compliance officer) in its 38a-1 oversight responsibilities; ¡ Supply various normal and customary portfolio and Fund statistical data as requested on an ongoing basis, which may include foreign withholding reclaim reporting; and ¡ If the chief executive officer or chief financial officer of a the Fund is required to provide a certification as part of the Fund’s Form N-Q or Form N-CSR filing pursuant to regulations promulgated by the SEC under Section 302 of the S▇▇▇▇▇▇▇-▇▇▇▇▇ Act of 2002, provide a sub- sub-certification in support of certain matters set forth in the aforementioned certification. Such sub-certification is to be in such form and relating to such matters as agreed to by BNY Mellon in advance. For clarity, the sub-certification is not itself a certification under the S▇▇▇▇▇▇▇-▇▇▇▇▇ Act of 2002 or under any other law, rule or regulation. • Prepare such distribution calculations and related financial information as may be required to support any required Section 19(a) notices or income or capital gain distribution press releases; • Prepare such financial information and reports as may be reasonably required by any banks from which BNY Mellon shall provide the Fund borrow funds; • Daily asset coverage testing and exception reporting for indebtedness leverage within the Fund as required and defined by the 1940 Act. • Prepare and furnish yield and total return performance information following regulatory administration services for the Fund: ¡ Maintain a regulatory calendar for the Fund listing various SEC filing and Board approval deadlines; ¡ Assemble and distribute materials for regular quarterly as well as annual Section 15(c) meetings of the Board and Committees, including any information on an after-tax basis if applicable, based on market value in addition to Net Asset Value, the drafting of agendas and resolutions for closed-end funds such meetings of the Board and Committees (if requiredwith final selection of agenda items made by Fund counsel); • Provide such financial information ¡ Attend (in-person or telephonically) regular quarterly Board meetings and reports, provided the same are maintained by BNY Mellon in the normal course of business, as may be required by any stock exchange on which the Funds’ shares are listed for closed-end funds (if required)draft minutes thereof; ¡ Prepare and disseminate such mutually agreed upon financial information as required by coordinate the filing of annual post-effective amendments and supplements (no more than four (4) supplements per year) to the Fund’s preferred shares auction agent information, registration statement (not including information the initial registration statement or related to the tax character addition of distributions to preferred shareholders, for closed-end funds (if requiredone or more classes of shares or series); ¡ Prepare and • Prepare coordinate the filing of Forms N-CSR, N-Q and N-PX, as applicable (with the Fund supplying the voting records in the format required by BNY Mellon); ¡ Administratively assist in obtaining the fidelity bond and directors’ and officers’ errors and omissions insurance policies for the Fund and coordinating with the Fund the filing of its fidelity bond; ¡ Assist the Fund in the handling of SEC examinations by providing requested documents in the possession of BNY Mellon that are on the SEC examination request list; and ¡ Assist with and/or coordinate such financial information other filings, notices and reports regulatory matters on such terms and conditions as BNY Mellon and the Fund may be required for implementation of any share purchase or dividend reinvestment programs as mutually agreed agree upon for closed-end funds (if required)in writing from time to time.

For clarity, the sub-certification is not itself a certification under the S▇▇▇▇▇▇▇-▇▇▇▇▇ Act of 2002 or under any other law, rule or regulation. • Prepare such distribution calculations and related financial information as may be required to support any required Section 19(a) notices or income or capital gain distribution press releases; • Prepare such financial information and reports as may be reasonably required by any banks from which BNY Mellon shall provide the Fund borrow funds; • Daily asset coverage testing and exception reporting for indebtedness leverage within the Fund as required and defined by the 1940 Act. • Prepare and furnish yield and total return performance information following regulatory administration services for the Fund: · Maintain a regulatory calendar for the Fund listing various SEC filing and Board approval deadlines; · Assemble and distribute board materials for quarterly meetings of the Board, including any information on an after-tax basis if applicable, based on market value in addition to Net Asset Value, the drafting of agendas and resolutions for closed-end funds such quarterly meetings of the Board (if requiredwith final selection of agenda items made by Fund counsel); • Provide such financial information · Attend (in-person or telephonically) quarterly Board meetings and reportsdraft minutes thereof; · As needed, provided prepare and coordinate the same are maintained by BNY Mellon in the normal course filing of business, as may be required by any stock exchange on which the Funds’ shares are listed for closedannual post-end funds (if required); • Prepare and disseminate such mutually agreed upon financial information as required by effective amendments to the Fund’s preferred shares auction agent information, registration statement (not including information the initial registration statement or related to the tax character addition of distributions to preferred shareholders, for closed-end funds (if requiredone or more classes of shares or series); · Prepare and • Prepare coordinate the filing of Forms N-CSR, N-Q and N-PX, as applicable (with the Fund supplying the voting records in the format required by BNY Mellon); · Assist the Fund in the handling of SEC examinations by providing requested documents in the possession of BNY Mellon that are on the SEC examination request list; · Assist in the preparation of notices of annual meetings of shareholders and proxy materials relating to such financial information meetings; and reports · Assist with and/or coordinate such other filings, notices and regulatory matters on such terms and conditions as BNY Mellon and the Fund may be required for implementation of any share purchase or dividend reinvestment programs as mutually agreed agree upon for closed-end funds (if required)in writing from time to time.

FUND ADMINISTRATION SERVICES. BNY Mellon shall provide the following fund administration services for each Fund: · In accordance with Instructions received from a Fund, and subject to portfolio limitations as provided by such Fund to BNY Mellon in writing from time to time, monitor such Fund’s compliance, on a post-trade basis, with such portfolio limitations (including without limitation requirements under the 1940 Act and rules thereunder and the IRC)limitations, provided that BNY Mellon maintains in the normal course of its business all data necessary to measure the Fund’s compliance or receives necessary data from the Fund or other sources utilized by BNY Mellon in the normal course of its business. Such post-trade compliance testing shall be conducted on a daily basis using automated or, if necessary, manual meanscompliance; if BNY Mellon detects a possible non-compliance with portfolio limitations applicable to a Fund, it shall promptly notify the Fund thereof; • · Monitor the Fund’s status as a regulated investment company under Subchapter M of the IRC and Subchapter L of the IRC (if required). · Establish appropriate expense accruals and compute expense ratios, maintain expense files (including with respect to overdraft charges reporting) and coordinate the payment of Fund approved invoices; · Calculate Fund approved income and per share amounts required for periodic (monthly, quarterly, or annual) distributions to be made by the applicable Fund; · Calculate total return information; • Calculate loan and preferred share limits and Fitch ratings pursuant to the testing template provided by the Fund to BNY Mellon for closed-end funds (if required); • · Coordinate a Fund’s annual audit; · Supply various normal and customary portfolio and Fund statistical data as requested on an ongoing basis, which may include foreign withholding reclaim reporting; and · If the chief executive officer or chief financial officer of a Fund is required to provide a certification as part of the a Fund’s Form N-Q or Form N-CSR filing pursuant to regulations promulgated by the SEC under Section 302 of the S▇▇▇▇▇▇▇-▇▇▇▇▇ Act of 2002, provide a sub- sub-certification in support of certain matters set forth in the aforementioned certification. Such sub-certification is to be in such form and relating to such matters as agreed to by BNY Mellon in advance. BNY Mellon shall be required to provide the sub-certification only during the term of this the Agreement with respect to the applicable Fund and only if it receives such cooperation as it may request to perform its investigations with respect to the sub-certification.
