Functional Review Clause Samples

A Functional Review clause establishes a process for evaluating whether a product, service, or deliverable meets the agreed-upon functional requirements or specifications. Typically, this involves a formal review or testing phase where the client or a designated party assesses the deliverable's performance and features against predefined criteria. For example, in a software development contract, the client may conduct user acceptance testing to confirm the software functions as intended before final acceptance. The core purpose of this clause is to ensure that deliverables fulfill contractual expectations before they are formally accepted, thereby reducing the risk of disputes over quality or functionality.
Functional Review. During the seventh (7th) month of the initial term of this Agreement, the parties shall review Services performed by WMG and negotiate in good faith to determine whether or not adjustments should be made to such Services. In the event that the parties agree to modify the Services, the parties will execute an amendment to this Agreement setting forth the modifications in accordance with Section 13 below and adjustments in costs shall be made to reflect such modifications. If the parties cannot agree to any modification of the Services this Agreement shall remain unchanged and remain in full force and effect for the remainder of the term of the Agreement.

  • Log Reviews All systems processing and/or storing PHI COUNTY discloses to 11 CONTRACTOR or CONTRACTOR creates, receives, maintains, or transmits on behalf of COUNTY 12 must have a routine procedure in place to review system logs for unauthorized access.

  • External Review In the event of a final internal Adverse Benefit Determination, a Claimant may be entitled to an external review of the Claim. This request must be submitted in writing on an External Review Request form within 120 days of receipt of the Adverse Benefit Determination. The external reviewer will render a recommendation within 45 calendar days unless the request meets expedited criteria, in which case it will be resolved in no later than 72 hours. The external reviewer’s recommendation will be binding. The external reviewer will notify the Claimant of its decision in writing, and the Plan will take action as appropriate to comply with such recommendation.   • Program Review The State ECEAP Office will conduct a review of each contractor’s compliance with the ECEAP Contract and ECEAP Performance Standards every four years. The review will involve ECEAP staff and parents. After the Program Review, the State ECEAP Office will provide the contractor with a Program Review report. The contractor must submit an ECEAP Corrective Action Plan for non-compliance with ECEAP Performance Standards. The Plan must be approved by the State ECEAP Office.

  • Annual Review The Board of Directors during the Contract Period shall review annually, or at more frequent intervals which the Board of Directors determines is appropriate, the Executive’s compensation and shall award the Executive additional compensation to reflect the Executive’s performance, the performance of the Company and competitive compensation levels, all as determined in the discretion of the Board of Directors.

  • Training Program It is agreed that there shall be an Apprenticeship Training Program, the provisions of which are set forth in Exhibit "D", which is attached hereto and forms part of this Agreement.
