Common use of Full Access Clause in Contracts

Full Access. Each of the Sellers will permit, and the Sellers will cause each of the Company and its Subsidiaries to permit, representatives of the Buyers to have full access at all reasonable times, to all premises, properties, personnel, accountants, customers, suppliers, third party lenders and other third parties whose consent is required in order to consummate the transactions contemplated hereby, books, records (including Tax records), contracts, and documents of or pertaining to each of the Company and its Subsidiaries.

Full Access. Each of the Sellers will permit, and the Sellers will cause each of the Company and its Subsidiaries to permit, representatives of the Buyers to have full access at all reasonable times, to all premises, properties, personnel, accountants, customers, suppliers, third party lenders and other third parties whose consent is required in order to consummate the transactions contemplated hereby, books, records (including Tax records), contracts, and documents of or pertaining to each of the Company including access to the Company transfer agent and its Subsidiariesthe Company accountant and auditors.

Each Company shall, and each of the Sellers will permit, and the Sellers will cause each of the Company and its Subsidiaries to permit, representatives of the Buyers Buyer (including legal counsel and accountants) to have full access at all reasonable times, and in a manner so as not to interfere with the normal business operations of Company, to all premises, properties, personnel, accountants, customers, suppliers, third party lenders and other third parties whose consent is required in order to consummate the transactions contemplated hereby, books, records (including Tax records), contracts, and documents of or pertaining to each of the Company and its SubsidiariesCompany.

Each of the Sellers will permit, and the Managing Sellers will cause each of the Company and its Subsidiaries to permit, representatives of the Buyers Buyer (including legal counsel and accountants) to have full access at all reasonable times, and in a manner so as not to interfere with the normal business operations of the Company to all premises, properties, personnel, accountants, customers, suppliers, third party lenders and other third parties whose consent is required in order to consummate the transactions contemplated hereby, books, records (including Tax records), contracts, and documents of or pertaining to each of the Company and its SubsidiariesCompany.

Full Access. Each of the Sellers will permit, and the Sellers Company will cause permit Buyer, its lending sources and each of the Company their respective representatives (including legal counsel and its Subsidiaries to permit, representatives of the Buyers accountants) to have full access at all reasonable times, to all premises, properties, personnel, accountants, customers, suppliers, third party lenders and other third parties whose consent is required in order to consummate the transactions contemplated hereby, books, records (including Tax records), contracts, and documents of or pertaining to each the Company and its Subsidiaries; provided, that such access shall be at reasonable times, on reasonable prior notice to Sellers and without material interference with the business operations of the Company and its Subsidiaries.
