Common use of Full Access Clause in Contracts

Full Access. The Company shall permit representatives of the Buyer to have full access (upon reasonable notice and at all reasonable times, and in a manner so as not to interfere with the normal business operations of the Company) to all premises, properties, financial and accounting records, contracts, other records and documents, and personnel, of or pertaining to the Company, subject to compliance with applicable confidentiality obligations of the Company.

Full Access. The Company shall permit representatives of the Buyer to have full access (upon reasonable notice and at all reasonable times, and in a manner so as not to interfere with the normal business operations of the Company) to all premises, properties, financial and accounting records, contracts, other records and documents, and personnel, of or pertaining to the Company, subject to compliance with applicable confidentiality obligations and requirements of the Company.

Full Access. The Company shall (and shall cause each Subsidiary to) permit representatives of the Buyer to have full access (upon reasonable notice and at all reasonable times, and in a manner so as not to interfere with the normal business operations of the CompanyCompany and the Subsidiaries) to all premises, properties, financial and accounting records, contracts, other records and documents, and personnel, of or pertaining to the Company, subject to compliance with applicable confidentiality obligations of the CompanyCompany and each Subsidiary.

Full Access. The Company and Buyer shall each permit (and Buyer shall cause each of its subsidiaries to) permit representatives of the Buyer other Party to have full access (upon reasonable notice and at all reasonable times, and in a manner so as not to interfere with the normal business operations of the Companyoperations) to all premises, properties, financial and accounting records, contracts, other records and documents, and personnel, of or pertaining to the CompanyCompany and Buyer and its subsidiaries, subject to compliance with applicable confidentiality obligations of as the Companycase may be.

Full Access. The Company shall will (and will cause each of its Subsidiaries to) permit representatives of the Buyer each of Parent and Purchaser (including representatives of potential financing sources) to have full access (upon reasonable notice and at all reasonable times, and in a manner so as not to interfere with the normal business operations of the Company) Company and its Subsidiaries, to all premises, properties, financial personnel, books, records (including tax and accounting records), contracts, other records and documents, and personnel, documents of or pertaining to the Company, subject to compliance with applicable confidentiality obligations each of the CompanyCompany and its Subsidiaries.

The Company shall will permit representatives of the Buyer (including legal counsel and accountants) to have full access (upon reasonable notice and at all reasonable times, and in a manner so as not to interfere with the normal business operations of the Company) , to all premises, properties, financial and accounting personnel, books, records (including Tax records), contracts, other records and documents, and personnel, documents of or pertaining to the Company, subject to compliance with applicable confidentiality obligations of the Company.

The Company shall permit Buyer and its representatives of the Buyer to have full access (upon reasonable notice and at all reasonable times, and in a manner so as not to interfere materially with the normal business operations of the Company) to all premises, properties, financial and accounting records, contracts, other records and documents, documents and personnel, of or pertaining to the CompanyCompany or any Company subsidiary, subject to compliance with applicable confidentiality obligations of the Company.

Full Access. The Company shall permit representatives of the Buyer to have full access (upon reasonable notice and at all reasonable times, and in a manner so as not to interfere with the normal business operations of the Company) to all premises, properties, financial and accounting records, contracts, other records and documents, and personnel, of or pertaining to the Company, subject to compliance with applicable confidentiality obligations of the Company.

The Company shall permit representatives of the Buyer to have full access (upon reasonable notice and at all reasonable times, and in a manner so as not to interfere with the normal business operations of the Company) to all premises, properties, financial and accounting records, contracts, other records and documents, documents and personnel, of or pertaining to the Company, subject to compliance with applicable . The Buyer acknowledges its confidentiality obligations under Section 3 of the Companyletter agreement between the Buyer and the Company dated August 28, 1996.

The Company shall permit representatives of the Buyer to have full access (upon reasonable notice and at all reasonable times, and in a manner so as not to interfere with the normal business operations of the Company) to all premises, properties, financial and accounting records, contracts, other records and documents, and personnel, of or pertaining to the CompanyCompany (other than consolidated tax returns, subject to compliance with applicable confidentiality obligations consolidated financial statements and records and Employee Benefit Plans of the Company.Stockholder). The Company shall and the Shareholder will permit representatives of the Buyer to have full access (upon reasonable notice and at all reasonable times, and in a manner so as not to interfere with the normal business operations of the Company) , to all premises, properties, financial and accounting personnel, books, records (including tax records), contracts, other records and documents, and personnel, documents of or pertaining to the Company, subject to compliance with applicable confidentiality obligations of the Company.

Full Access. The Each of the Members will permit, and the Members will cause the Company shall permit to permit, representatives of the Buyer to have full access (upon reasonable notice and at all reasonable times, and in a manner so as not to interfere with the normal business operations of the Company) , to all premises, properties, financial and accounting personnel, books, records (including Tax records), contracts, other records and documents, and personnel, documents of or pertaining to the Company, subject to compliance with applicable confidentiality obligations of the Company.

Full Access. The Each Member will permit, and Members will cause the Company shall permit to permit, representatives of the Buyer (including legal counsel and accountants) to have full access (upon reasonable notice and at all reasonable timesduring normal business hours, and in a manner so as not to interfere with the normal business operations of the Company) , to all premises, properties, financial and accounting personnel, books, records (including Tax records), contracts, other records and documents, and personnel, documents of or pertaining to the Company, subject to compliance with applicable confidentiality obligations of the CompanyCompany upon reasonable advance notice.

Full Access. The Company shall (and shall cause each Subsidiary to) permit representatives of the Buyer to have full access (upon reasonable notice and at all reasonable times, upon prior notice and in a manner so as not to interfere with the normal business operations of the CompanyCompany and its Subsidiary) to all premises, properties, financial and accounting records, contracts, other records and documents, and personnel, of or pertaining to the CompanyCompany and its Subsidiary other than contracts, subject to compliance with applicable confidentiality obligations records and documents that the Company reasonably and in good faith determines is of the Companya confidential and competitive nature.
