FTE Support. The collaboration will, on an annual average basis, consist of **** FTEs. BOEHRINGER shall allocate an annual average of **** FTEs to the collaborative Research Programme and EVOTEC shall supply an annual average of **** FTEs to the Research Programme to be paid by BOEHRINGER at the rate per FIE specified under Section 8.01, which funding shall be fully made through payments under Section 8.01 and 8.02 without further claim for compensation from EVOTEC with respect thereto. If reasonably necessary, the FTE resources may be adjusted, subject to the approval of the Research Executive Committee. In the event the Research Executive Committee should approve additional EVOTEC FTE resources, then BOEHRINGER shall compensate EVOTEC on an annual FTE rate equal to **** or by an equivalent BOEHRINGER contribution to the conduct of the Research Programme. The alternative chosen has to be mutually agreed between the Parties in the Executive Committee and the final say of BOEHRINGER under Section 3.04 shall not apply.

FTE Support. The minimum Staffing Level to be provided by MORPHOSYS shall be [***], for MORPHOSYS to prepare a Collaboration Plan and to perform the activities under such Collaboration Plan. ONCOMED agrees to fund the minimum Staffing Level determined under this Section 3.2(b). ONCOMED and MORPHOSYS both acknowledge that the actual Staffing Level to be devoted by MORPHOSYS, and funded by ONCOMED, for any project under the Collaboration may be, as estimated in good faith by MORPHOSYS, higher than the aforementioned minimum number. In such case, the actual Staffing Level for each Collaboration project shall be mutually agreed upon by the Parties. Notwithstanding the foregoing, if MORPHOSYS determines in good faith that the minimum Staffing Level required to carry out a project under the Collaboration would be less than the number referred to in this Section 3.2(b), MORPHOSYS will notify ONCOMED accordingly, in which case the minimum Staffing Level will be reduced accordingly, and ONCOMED shall only pay for those FTEs that are devoted to such Collaboration project.
FTE Support. The Parties mutually agree that, as of the Amendment Date, no changes to the FTE set forth in Section 5.2 and Exhibit E of the Collaboration and License Agreement are required due to the licensing, transfer and implementation of the XxXX Technology and its integration under the Collaboration under the Collaboration and License Agreement.

FTE Support. The number of BG and GPC FTEs devoted by each Party to the transfer of the GPC Platform and the Collaboration shall be as set forth on the Resource Plan as described in Exhibit E attached hereto. Subject to BG’s obligations under the Research Plan, BG’s FTEs not included in the Resource Plan working at the Genomics Center may be reasonably assigned by the BG management team at the Genomics Center to other research programs to be performed and technologies to be applied by BG which do not relate to the Collaboration or incorporate other technologies of the GPC Platform. In addition, subject to the consent of the Joint Steering Committee, BG FTEs included in the Resource Plan may also be subject to reasonable assignment to other programs being conducted at the Genomics Center, provided that the time schedules and the achievement of the milestones set forth in the Research Plan, to the extent dependent on the efforts of BG FTEs, and the transfer of the GPC Platform are not, in the opinion of the Joint Steering Committee, negatively affected.
FTE Support. For a period of not less than three (3) years following the Effective Time, the Surviving Corporation shall support six (6) FTEs (initially Kxxxxxx Xxxxxx, Jxx Xxxxxxx, Nxxxxx Xxxx, Yxx Xxx, Txx Xxx and Fxxx Xxxxxxx (the “Initial Sytera FTEs”)), as designated from time to time by the holders of a majority of the Fully Diluted Outstanding Shares as of immediately prior to the Effective Time, at salary and benefit levels at least equal to the full salary and benefit levels as in effect for the Initial Sytera FTEs immediately prior to the Effective Time. Such FTE support shall also include maintaining appropriate facilities, capital and operational support in San Diego, California and reimbursing such FTEs for all expenses incurred with any necessary travel to Tampa, Florida or any other location to which such FTEs are required to travel in connection with the Surviving Corporation’s business. Notwithstanding the foregoing, the Surviving Corporation’s obligations under this Section 4.1 shall terminate as to any non-employee Initial Sytera FTEs on the earlier of: (i) the Transfer Date in the event that the Sytera Assets are transferred to Sytera II pursuant to Section 1.5(h); or (ii) the date that the Surviving Corporation receives notice from the Sytera Stockholders’ Representative pursuant to Section 1.5(h) that the holders of Sytera Securities elect not to have the Sytera Assets transferred to Sytera II.
