The "Forms - General" clause establishes the requirements and procedures for the use of standard forms within an agreement or transaction. Forms - General. Subject to (b) below, Bank shall design, determine the terms and conditions of, and generate the form of the Credit Card Agreement, applications, Credit Card, card mailers, privacy notices, Billing Statements (including backers), Cardholder letters, templates, and other documents and forms to be used under the Plan which (i) relate to the Plan, (ii) relate to Bank’s and/or the Cardholder’s obligations, (iii) are used by Bank in maintaining and servicing the Accounts; or (iv) are required by Applicable Law (collectively, “Forms”). Bank shall be solely responsible for ensuring that all Forms comply with Applicable Law. By way of clarification, Bank’s responsibilities do not include any obligations Company may have as a retailer, such as creating the form of Charge Slips and Credit Slips. All Forms shall be in the English language only unless otherwise agreed by the parties in writing or otherwise required by Applicable Law, and there shall be only one design for each Form.

Notwithstanding the above, Bank and Virgin shall jointly design any Member marketing aspects of billing statements, Credit Cards, and card mailers and Bank shall endeavor to integrate Virgin branding elements on the foregoing Forms when possible and appropriate and if requested by Virgin at no cost to Virgin (subject to costs relating to deviations from Bank’s standard specifications for such Forms as provided in 2.4(d)(ii) below). For the avoidance of doubt, Bank shall use the Virgin Marks on Forms and Cardholder communications in a manner consistent with the guidelines set forth in Schedule 2.4(a).

All Forms shall be in the English language only (and, with respect to Puerto Rico and certain other Zale markets agreed to by the parties, the Spanish language) unless otherwise agreed by the parties in writing. There shall be only one design for each Form per brand except to the extent required to accommodate different insurance language requirements in different jurisdictions. Notwithstanding the above, Bank and Zale shall jointly design any Customer marketing aspects of billing statements, Credit Cards, and card mailers (other than marketing aspects with respect to the Protection Products offered by Zale and its Affiliates). Upon Zale’s request, Bank shall submit such requested Forms containing a ▇▇▇▇ ▇▇▇▇ to ▇▇▇▇ for its review and approval, which approval shall not be unreasonably withheld or delayed.

By way of clarification, Bank's responsibilities do not include any obligations Stage may have as a retailer, such as creating the form of Charge Slips and Credit Slips. All Forms shall be in English and, at Stage's request, Spanish, unless otherwise agreed by the parties in writing. Each Form shall be based on a common template/format, but then separately customized for each Stage Nameplate by substitution of the appropriate Stage Marks and related names, graphics and logos and by Spanish language translation. Bank shall submit all Forms (and changes and modifications thereto) to Stage for review. All aspects of the Forms not required by Applicable Law shall be subject to Stage's approval.
