Form and Other Terms of Subordinated Notes; Incorporation of Terms. (a) Subject to subsection (b) below, the Subordinated Notes shall be in the form attached hereto as Exhibits A and B, respectively. The Subordinated Notes shall be registered in such names, shall be in such amounts and shall have such Original Issue Dates, Interest Rates, Maturity Dates, Redemption Dates, if any, Initial Redemption Percentages, if any, and Annual Redemption Percentage Reductions, if any, and such other terms as are communicated by the Company to the Trustee in accordance with the Administrative Procedures described in the Distribution Agreement, dated March 22, 2001, between the Company and the agents named therein. The terms of such Subordinated Notes are herein incorporated by reference and are part of this Indenture Supplement.
