First Data Information Sample Clauses
The "First Data Information" clause establishes the obligation for one party to provide specific data or information to the other party at the outset of an agreement or transaction. Typically, this may include initial disclosures, background details, or relevant documentation necessary for the other party to assess the situation or fulfill their own obligations. By requiring the timely sharing of essential information at the beginning, this clause ensures transparency and enables both parties to proceed with a clear understanding of the facts, thereby reducing the risk of misunderstandings or disputes later on.
First Data Information. (a) First Data Information shall be and remain the property of First Data. RCSI shall not assert any lien or other right against or to First Data Information. No First Data Information, or any part thereof, shall be sold, assigned, leased, or otherwise disposed of to third parties by RCSI or commercially exploited by or on behalf of RCSI, its employees or agents.
(b) Upon any of (i) the expiration of this Agreement (ii) the termination of this Agreement for any reason (including termination for cause), or (iii) with respect to any particular data, on such earlier date that the same shall be no longer required by RCSI in order to receive and use the Production Services hereunder, but subject in all cases to the provisions of Section 18.6, such First Data Information (including copies thereof in the possession or under the control of RCSI, except as necessary to comply with regulatory requirements applicable to RCSI) shall be promptly returned to First Data by RCSI in a form reasonably requested by First Data or, if First Data so elects, shall be destroyed.
(c) First Data Information shall not be utilized by RCSI for any purpose other than that of receiving and using the Production Services under this Agreement.
First Data Information. First Data Information shall be and remain, as between the Parties, the property of First Data. RFS shall not possess or assert any lien or other right against or to First Data Information. No First Data Information, or any part thereof, shall be:
(a) used by RFS for any purpose other than in connection with utilizing the Services;
(b) sold, assigned, leased or (except as otherwise permitted in this Agreement) otherwise disposed of to third parties by RFS; or
(c) commercially exploited by or on behalf of RFS.
