Common use of Fines Clause in Contracts

Fines. (a) Any fines, penalties or other costs incurred by a Party (the “Indemnifying Party”) or its agents, employees or subcontractors for non-compliance by the Indemnifying Party, its agents, employees, or subcontractors with the requirements of any laws or any permits, approval or other Government Entity shall not be reimbursed by the other Party (the “Indemnified Party”) but shall be the sole responsibility of the Indemnifying Party unless the Indemnifying Party can prove that such non compliance is due to the Indemnified Party’s instructions or actions or inactions or attributable to the Indemnified Party.
