Common use of Final Space Plan Clause in Contracts

Final Space Plan. Tenant and the Architect shall prepare the final space plan for Improvements in the Expansion Space (collectively, the "Final Space Plan"), which Final Space Plan shall include a layout and designation of all offices, rooms and other partitioning, their intended use, and equipment to be contained therein, and shall deliver the Final Space Plan to Landlord for Landlord's approval or reasonable disapproval, which approval or reasonable disapproval shall be delivered by Landlord to Tenant no later than five (5) business days after Landlord's receipt of such Final Space Plan. If Landlord reasonably disapproves of any portion of the Final Space Plan, the parties shall meet, within five (5) days after Landlord's disapproval, to agree upon revisions to be made to the Final Space Plan to meet the reasonable satisfaction of Landlord. The Architect shall then revise the Final Space Plan to the form agreed upon in such meeting and Landlord shall then approve or reasonably disapprove the revised Final Space Plan in writing no later than five (5) business days after Landlord's receipt of such revised Final Space Plan. If Landlord shall again reasonably disapprove the revised Final Space Plan, the parties will revise and review the Final Space Plan again in accordance with the procedure set forth above until Landlord's reasonable approval is obtained.

Final Space Plan. Tenant and the Architect shall prepare the supply Landlord with four (4) copies signed by Tenant of its final space plan for Improvements in the Expansion Space Premises before any architectural working drawings or engineering drawings have been commenced. The final space plan (collectively, the "“Final Space Plan"), which Final Space Plan ”) shall include a layout and designation of all offices, rooms and other partitioning, their intended use, and equipment to be contained therein. Landlord may request clarification or more specific drawings for special use items not included in the Final Space Plan. Landlord shall, within ten (10) business days after Landlord’s receipt of the Final Space Plan, (i) approve the Final Space Plan, (ii) approve the Final Space Plan subject to specified conditions to be complied with when the Final Working Drawings are submitted by Tenant to Landlord, or (iii) disapprove the Final Space Plan and return the same to Tenant with detailed requested revisions. If Landlord disapproves the Final Space Plan, Tenant shall deliver resubmit the Final Space Plan to Landlord, and Landlord for shall approve or disapprove of the resubmitted Final Space Plan, based upon the criteria set forth in this Section 3.2 (except that Landlord's approval or reasonable disapproval’s disapproval of the Final Space Plan, which approval or reasonable disapproval as resubmitted, shall be delivered by Landlord to Tenant no later than final), within five (5) business days after Landlord's receipt of Landlord receives such resubmitted Final Space Plan. If Landlord reasonably disapproves of any portion of the Final Space PlanTenant is so advised, the parties Tenant shall meet, within five (5) days after Landlord's disapproval, to agree upon revisions to be made to promptly cause the Final Space Plan to meet the reasonable satisfaction of Landlord. The Architect shall then revise the Final Space Plan be revised to the form agreed upon in such meeting and correct any deficiencies or other matters Landlord shall then approve or may reasonably disapprove the revised Final Space Plan in writing no later than five (5) business days after Landlord's receipt of such revised Final Space Plan. If Landlord shall again reasonably disapprove the revised Final Space Plan, the parties will revise and review the Final Space Plan again in accordance with the procedure set forth above until Landlord's reasonable approval is obtainedrequire.

Final Space Plan. Tenant and the Architect shall prepare the final space plan for the Tenant Improvements in (the Expansion Space (collectively, the "“Final Space Plan"”), which Final Space Plan shall include a layout and designation of all offices, rooms and other partitioning, their intended use, and equipment to be contained therein, and shall deliver the Final Space Plan to Landlord for Landlord's approval or reasonable disapproval’s approval. The Final Space Plan shall show all corridors, which approval or reasonable disapproval shall be delivered by internal and external offices and partitions, and exiting. Landlord to Tenant no later than shall, within five (5) business days after Landlord's ’s receipt of such the Final Space Plan. If Landlord reasonably disapproves of any portion of Plan (i) approve the Final Space Plan, (ii) approve the parties shall meet, within five (5) days after Landlord's disapproval, Final Space Plan subject to agree upon revisions specified conditions to be made complied with when the Final Working Drawings are submitted by Tenant to Landlord, or (iii) disapprove the Final Space Plan and return the same to Tenant with requested revisions. Any failure by Landlord to respond to Tenant’s request for approval shall be deemed a disapproval. If Landlord disapproves the Final Space Plan, Tenant may resubmit the Final Space Plan to meet the reasonable satisfaction of Landlord. The Architect shall then revise the Final Space Plan to the form agreed upon in such meeting Landlord at any time, and Landlord shall then approve or reasonably disapprove of the revised resubmitted Final Space Plan Plan, based upon the criteria set forth in writing no later than this Section 3.2, within five (5) business days after Landlord's receipt of Landlord receives such revised resubmitted Final Space Plan. If Landlord Such procedures shall again reasonably disapprove the revised Final Space Plan, the parties will revise and review be repeated until the Final Space Plan again is approved. The Final Space Plan may be provided by Tenant to Landlord in accordance with one or more stages and at one or more times and the procedure time periods set forth above until Landlord's reasonable approval is obtainedherein shall apply to each portion submitted.

Final Space Plan. Tenant and the Tenant’s Architect shall prepare and deliver to Landlord for Landlord’s approval four (4) copies signed by the Tenant of the final space plan for all Tenant Improvements (defined below) in the Expansion Space Premises (collectively, the "“Final Space Plan"”), which Final Space Plan shall include reflect a layout and designation description of all offices, rooms and other partitioningpartitions, their intended use, and the equipment to be contained therein. Landlord may request clarification or more specific drawings for special use items not included in the Final Space Plan. Landlord shall, and shall deliver within a reasonable period after Landlord receives such Final Space Plan, (i) approve the Final Space Plan, (ii) approve the Final Space Plan subject to Landlord for Landlord's approval specified conditions to be complied with in connection with the Final Working Drawings (defined below), or reasonable disapproval, which approval or reasonable disapproval shall be delivered by Landlord to Tenant no later than five (5iii) business days after Landlord's receipt of such disapprove the Final Space Plan. If Landlord reasonably disapproves of any portion of the Final Space Plan, the parties shall meet, within five three (53) days after Landlord's Business Days of receipt of such disapproval, Tenant shall make all changes thereto required to agree upon satisfy Landlord’s required revisions and shall resubmit to be made to the Final Space Plan to meet the reasonable satisfaction of Landlord. The Architect shall then revise the Final Space Plan to the form agreed upon in such meeting and Landlord shall then approve or reasonably disapprove the revised Final Space Plan in writing no later than five (5) business days after Landlord's receipt of for approval such revised Final Space Plan. If Landlord shall again reasonably disapprove , with the revised Final Space Plan, the parties will revise and review foregoing procedure to be repeated until the Final Space Plan again in accordance with the procedure set forth above until is ultimately approved by Landlord's reasonable approval is obtained.

Final Space Plan. Tenant and the Architect Architect/Space Planner shall prepare the final space plan for Tenant Improvements in the Expansion Space Premises (collectively, the "“Final Space Plan"”), which Final Space Plan shall include a layout and designation of all offices, rooms and other partitioning, their intended use, and equipment to be contained therein, and shall deliver the Final Space Plan to Landlord for Landlord's approval ’s reasonable approval, provided Landlord agrees that Tenant may submit the Final Space Plan to Landlord for review on a floor by floor basis as same are completed. Landlord may, within three (3) business days of receipt of each Final Space Plan submittal, request reasonable clarification or reasonable disapproval, which approval or reasonable disapproval more specific drawings for special use items not included in such Final Space Plan submittal. Landlord shall be delivered by Landlord to advise Tenant no later than in writing within five (5) business days after Landlord's ’s receipt of such each Final Space PlanPlan submittal for the Premises of Landlord’s approval or reasonable disapproval of the same. If Landlord reasonably disapproves Tenant is advised of any portion of Landlord’s reasonable disapproval and the Final Space Planspecific and reasonable grounds therefor, the parties Tenant shall meet, within five (5) days after Landlord's disapproval, to agree upon revisions to be made to promptly cause the Final Space Plan to meet the reasonable satisfaction of Landlord. The Architect be revised to correct any deficiencies or other matters Landlord may reasonably require and shall then revise the resubmit such Final Space Plan to Landlord for Landlord’s reasonable approval or disapproval in the form agreed upon in such meeting same manner and Landlord pursuant to the same guidelines governing Tenant’s initial submission except that Landlord’s response period shall then approve or reasonably disapprove the revised Final Space Plan in writing no later than be shortened from five (5) business days after Landlord's receipt of such revised Final Space Planto three (3) business days. If The resubmission process shall continue until Landlord shall again has reasonably disapprove the revised Final Space Plan, the parties will revise and review approved the Final Space Plan again in accordance with the procedure set forth above until Landlord's reasonable approval is obtainedterms hereof.

Lessor shall advise Lessee within five (5) business days after Lessor’s receipt of the Final Space Plan for the Premises if the same is reasonably unsatisfactory or incomplete in any respect. If Lessee is so advised, and Lessee shall deliver cause the Final Space Plan to Landlord be revised to correct any deficiencies or other matters Lessor may reasonably require and submit the revised Final Space Plan to Lessor for Landlord's its approval or reasonable disapproval, which approval or reasonable disapproval shall be delivered by Landlord to Tenant no later than five (5) business days after Landlord's receipt of such Final Space PlanLessor delivers its advice. If Landlord reasonably disapproves of Lessor makes any portion of objections to the Final Space Plan, the parties and provided such objections are reasonable, Lessee shall meet, within five (5) days after Landlord's disapproval, to agree upon revisions to be made to the Final Space Plan to meet the reasonable satisfaction of Landlord. The Architect shall then revise the Final Space Plan and cause such objections to be remedied in the form agreed upon in such meeting and Landlord revised Final Space Plan. Within two (2) business days after Lessor receives the revised Final Space Plan, Lessor shall then approve or reasonably disapprove the revised Final Space Plan in writing no later than five (5) business days after Landlord's receipt of such revised Final Space Plan. If Landlord This procedure shall again reasonably disapprove the revised Final Space Plan, the parties will revise and review be repeated until the Final Space Plan again in accordance with the procedure set forth above until Landlord's reasonable is finally approved by Lessor and written approval is obtainedhas been delivered to and received by Lessee. Lessor’s failure to advise timely shall be deemed approval.

Final Space Plan. Tenant and the Architect shall prepare the final space plan for Improvements in the Expansion Space Premises (collectively, the "Final Space Plan"), which Final Space Plan shall include a layout and designation of all offices, rooms and other partitioning, their intended use, and equipment to be contained therein, and shall deliver the Final Space Plan to Landlord for Landlord's approval or reasonable disapproval, which approval or reasonable disapproval shall be delivered by Landlord to Tenant no later than five (5) business days after Landlord's receipt of such Final Space Plan. If Landlord reasonably disapproves of any portion of the Final Space Plan, the parties shall meet, within five (5) days after Landlord's disapproval, to agree upon revisions to be made to the Final Space Plan to meet the reasonable satisfaction of Landlord. The Architect shall then than revise the Final Space Plan to the form agreed upon in such meeting and Landlord shall then approve or reasonably disapprove the revised Final Space Plan in writing no later than five (5) business days after Landlord's receipt of such revised Final Space Plan. If Landlord shall again reasonably disapprove the revised Final Space Plan, the parties will revise and review the Final Space Plan again in accordance with the procedure set forth above until Landlord's reasonable approval is obtained.

Final Space Plan. The Final Space Plan will be prepared and signed by Tenant on or before November 1, 2000, and any delay in completing the Final Space Plan beyond such date shall be a Tenant Delay pursuant to Section 5 below. After Tenant approves the Final Space Plan, Tenant shall deliver the Final Space Plan to Landlord for Landlord's approval or reasonable disapproval, which approval or reasonable disapproval shall be delivered by Landlord to Tenant no later than five (5) business days after Landlord's receipt of such Final Space Plan. If Landlord reasonably disapproves of any portion of the Final Space Plan, the parties shall meet, within five (5) days after Landlord's disapproval, to agree upon revisions to be made to the Final Space Plan to meet the reasonable satisfaction of Landlord. The Architect shall then revise the Final Space Plan to the form agreed upon in such meeting and Landlord shall then approve or reasonably disapprove the revised Final Space Plan in writing no later than five two (52) business days after Landlord's receipt of such revised Final Space Plan. If Landlord shall again reasonably disapprove the revised Final Space Plan, the parties will revise and review the Final EXHIBIT B -2- Space Plan again in accordance with the procedure set forth above until Landlord's reasonable approval is obtained.

If Landlord reasonably disapproves of any portion of the Final Space Plan, the parties shall meet, within five (5) days after Landlord's disapproval, to agree upon revisions to be made to the Final Space Plan to meet the reasonable satisfaction of Landlord. The Architect shall then revise the Final Space Plan to the form agreed upon in such meeting and Landlord shall then approve or reasonably disapprove the revised Final Space Plan in writing no later than five (5) business days after Landlord's receipt of such revised Final Space Plan. If Landlord shall again reasonably disapprove the revised Final Space Plan, the parties will revise and review the Final Space Plan again in accordance with the procedure set forth above until Landlord's reasonable reasonable, approval is obtained.

The Final Space Plan will be prepared and signed by Tenant on or before November 1, 2000, and any delay in completing the Final Space Plan beyond such date shall be a Tenant Delay pursuant to Section 5 below. After Tenant approves the Final Space Plan, Tenant shall deliver the Final Space Plan to Landlord for Landlord's approval or reasonable disapproval, which approval or reasonable disapproval shall be delivered by Landlord to Tenant no later than five (5) business days after Landlord's receipt of such Final Space Plan. If Landlord reasonably disapproves of any portion of the Final Space Plan, the parties shall meet, within five (5) days after Landlord's disapproval, to agree upon revisions to be made to the Final Space Plan to meet the reasonable satisfaction of Landlord. The Architect shall then revise the Final Space Plan to the form agreed upon in such meeting and Landlord shall then approve or reasonably disapprove the revised Final Space Plan in writing no later than five twO (52) business days after Landlord's receipt of such revised Final Space Plan. If Landlord shall again reasonably disapprove the revised Final Space Plan, the parties will revise and review the Final Space Plan again in accordance with the procedure set forth above until Landlord's reasonable approval is obtained.
