None of the information regarding the Buyer or any of its Affiliates supplied or to be supplied by Buyer for inclusion in any documents to be filed with any Governmental Authority in connection with the transactions contemplated hereby will, at the respective times such documents are filed with any Governmental Authority, contain any untrue statement of a material fact or omit to state a material fact required to be stated therein or necessary in order to make the statements therein, in light of the circumstances under which they were made, not misleading.

None of the information regarding the Buyer or any of its Affiliates supplied or to be supplied by Buyer them for inclusion in any documents to be filed with any Governmental Authority Entity in connection with the transactions contemplated hereby will, at the respective times such documents are filed with any Governmental AuthorityEntity, contain any untrue statement of a material fact or omit to state a material fact required to be stated therein or necessary in order to make the statements therein, in light of the circumstances under which they were made, not misleading.

None of the information regarding the Buyer or any of its Affiliates Subsidiaries supplied or to be supplied by or on behalf of Buyer on or prior to the Closing Date for inclusion in any documents to be filed with any Governmental Authority in connection with the transactions contemplated hereby will, at the respective times such documents are filed with any Governmental Authority, contain any untrue statement of a material fact or omit to state a material fact required to be stated therein or necessary in order to make the statements therein, in light of the circumstances under which they were made, not misleading.
