Common use of Fees and Expenses of the Custodian Clause in Contracts

Fees and Expenses of the Custodian. The Custodian shall charge such fees for its services under this Agreement as are set forth in a separate agreement between the Custodian and the Sellers, the payment of which fees, together with the Custodian's expenses (including reasonable legal fees and expenses) in connection herewith, shall be solely the obligation of the Sellers. The foregoing obligation to pay the Custodian its fees and to reimburse the Custodian for its expenses in connection with services provided by the Custodian hereunder shall survive any resignation or removal of the Custodian (for all reasonable fees and expenses incurred prior to such resignation or removal) or the termination or assignment of this Agreement.
