Common use of Failure to Report Clause in Contracts

Failure to Report. The refusal or failure of Contractor to file any required reports, or to provide required information to City, or the inclusion of any materially false or misleading statement or representation by Contractor in such report shall be deemed a material breach of the Agreement and shall subject Contractor to all remedies which are available to the City under the Agreement or otherwise, provided, that the City must follow the procedures for dispute resolution found in Section 17 of this Agreement before declaring any such material breach.

Failure to Report. The refusal refusal, failure or failure neglect of Contractor the grantee to file any required reportsof the reports required, or to provide required material information to City, or the intentional inclusion of any materially false or misleading statement or representation made knowingly by Contractor in such report shall be deemed a material breach of the Agreement Franchise Agreement, and shall subject the Contractor to all remedies remedies, legal or equitable, which are available to the City under the Agreement or otherwise, provided, that the City must follow the procedures for dispute resolution found in Section 17 of this Agreement before declaring any such material breachFranchise Agreement.
