Failure of a Condition Precedent to Buyer’s Obligation to Close. In the event Closing has not occurred and this Agreement is terminated by Buyer under Section 10.1(i) for failure of a condition set forth in Sections 8.1, 8.2, 8.3, 8.4, 8.5, 8.6, 8.7, 8.8, 8.9, 8.10, 8.11, 8.12 or 8.13, Seller shall retain the Effective Date Payment, and if paid by Buyer, the Partial Completion Payment, and Buyer shall promptly reimburse Seller for the Geotechnical Expenses. Except as expressly provided in Section 10.2.1, neither Buyer nor Seller will be entitled to have or pursue any other claim against the other.
