Common use of Facility Agent Approval Clause in Contracts

Facility Agent Approval. In connection with the acquisition of any Collateral Obligation (other than a Specified First Lien Loan or a Permitted Collateral Obligation) by the Borrower or the incremental pledge of any Collateral Obligation owned by the Borrower, (1) the Borrower (and the Equityholder, if the Servicer is not an Affiliate of the Equityholder) shall have received an Asset Approval Notice with respect to such Collateral Obligation from the Facility Agent (and the Borrower shall provide a copy thereof to the Collateral Agent and each Agent) and (2) the Borrower (or the Servicer on its behalf) shall have given electronic notice back to the Facility Agent that it acknowledges and agrees to the terms set forth in the related Asset Approval Notice;

In connection with the acquisition of any Collateral Obligation by the Borrower (other than a Specified First Lien Loan or a Permitted Non-Approval Collateral Obligation so long as the Facility Agent has received notice from the Borrower of such Non-Approval Collateral Obligation) by the Borrower or the incremental pledge of any Collateral Obligation owned by the Borrower, (1) the Borrower (and the Equityholder, if the Servicer is not an Affiliate of the Equityholder) shall have received an Asset Approval Notice with respect to such Collateral Obligation from the Facility Agent (and the Borrower who shall provide forward a copy thereof to the Collateral Agent and Agent, who shall forward a copy to each Agent) and (2) the Borrower (or the Servicer on its behalf) shall have given electronic notice back to the Facility Agent that it acknowledges and agrees to the terms set forth in the related Asset Approval Notice;
