External Controls. (i) The Company and each of its subsidiaries maintain disclosure controls and procedures (as such term is defined in Rule 13(a)-15(e) under the Exchange Act), (ii) such disclosure controls and procedures are designed to ensure that the information required to be disclosed by the Company and its subsidiaries in the reports they file or submit under the Exchange Act and under applicable Canadian Securities Laws is accumulated and communicated to management of the Company and its subsidiaries, including their respective principal executive officers and principal financial officers, as appropriate, to allow timely decisions regarding required disclosure to be made, and (iii) such disclosure controls and procedures are effective in all material respects to perform the functions for which they were established.
External Controls. Each radio shall support the following minimum number of control functions, each accessible from separate controls on the outside of the control unit or dash mount radio package (including remote speaker-microphone). All controls must be able to function as intended when actuated while wearing appropriate protective gloves. Push-to-talk. Receive audio volume control. Channel selection. Receive audio noise squelch sensitivity control. Receive audio monitoring selection with CTCSS enabled. Multiple-channel monitor (SCAN) controls.

External Controls. (a) The Recipient shall appoint a consultant, in accordance with Section III of this Schedule, for purposes of implementing the third-party verification in accordance with the Procedures Manual in respect of
(i) Maternal and Neonatal Health Services Subprojects to be carried out under Part A.1 of the Project; and (ii) HEF Health Services Subprojects to be carried out under Part B.2 of the Project.
(b) The Recipient shall cause said firm consultant to carry out, throughout Project implementation, and under terms of reference acceptable to the Association, quarterly verification exercises of Maternal and Neonatal Health Services Subprojects and HEF Health Services Subprojects, including community and focus group surveys, Beneficiary spot checks, verification of data provided and records kept by Beneficiaries in relation to Maternal and Neonatal Health Services Subproject and HEF Health Services Subprojects, and assessments of the quality of health services provided under such subprojects, in accordance with the provisions of the Procedures ▇▇▇▇▇▇.
External Controls. (a) The Recipient shall appoint consultants, in accordance with Section III of this Schedule, for purposes of verification of the proper implementation of the PBF Services Subprojects carried out under Part 1(a)(ii) of the Project.
(b) The Recipient shall, in accordance with terms of reference satisfactory to the World Bank, cause said consultants to carry out, throughout Project implementation, quarterly verification exercises of PBF Services Subprojects and to provide the Recipient with reports of such exercises; such verification to include, inter alia, community surveys, Beneficiary spot checks, verification of data provided and records kept by health facilities in relation to PBF Services Subproject, and assessments of the quality of health services provided under such PBF Services Subproject, in accordance with the provisions of the PBF Operations Manual.
External Controls. The Recipient shall appoint external auditors, with qualifications, experience, and terms of reference satisfactory to the Association, for purposes of the third-party verification of Health Services Packages to be carried out under Part C.1 of the Project. The Recipient shall cause said auditors to carry out, throughout Project implementation, quarterly verifications of provided Health Services Packages, including community and focus group surveys, beneficiary spot checks, verification of data provided and records kept by beneficiaries in relation to Health Services Packages, and assessments of the quality of health services provided under such activities, in accordance with the provisions of the BP Manual and the BP Plan.
External Controls. (a) The Recipient shall appoint external consultants, with qualifications, experience, and terms of reference satisfactory to the Association, for purposes of the third-party verification of Free Package of Health Services-Related Activities to be carried out under Part 2 (b) (iv) of the Project.
(b) The Recipient shall cause said auditors to carry out, throughout Project implementation, quarterly verification exercises of Free Package of Health Services-Related Activities, including community and focus group surveys, Beneficiary spot checks, verification of data provided and records kept by Beneficiaries in relation to Free Package of Health Services-Related Activities, and assessments of the quality of health services provided under such Activities, in accordance with the provisions of the Results-Based Financing Procedures Manual.
External Controls. 5.4.1. The Program Manager and Grants Officer each have authority to take corrective action pursuant to 2 C.F.R. § 200.338.
5.4.2. If CAP fails to meet the expected performance goals outlined in this Agreement, or is otherwise not responsible, the Program Manager or Grants Officer may impose additional, specific award conditions IAW 2 C.F.R. 200.207.
5.4.3. The Grants Officer, either upon the Program Manager’s recommendation, or as otherwise appropriate, may wholly or partly suspend program funding, the use of program equipment and supplies, or program performance based on criminal activity, repeated violations of CAP regulations or AF directives or instructions, safety or fiduciary concerns, or noncompliance with this Agreement. The Program Manager and Grants Officer shall comply with the procedures in paragraph 6.1.1. when taking suspension action under this paragraph.
5.4.4. The Grants Officer, either upon the Program Manager’s recommendation, or as otherwise appropriate, may wholly or partly suspend the activities of specific CAP units based on criminal activity, repeated violations of CAP regulations or AF directives or instructions, safety or fiduciary concerns, or noncompliance with this Agreement. The Program Manager and Grants Officer shall comply with the procedures in paragraph 6.1.1. when taking suspension action under this paragraph.
5.4.5. At times, mission requirements may require the Program Manager to terminate or suspend certain aspects of CAP performance even when CAP is complying with all federal statutes, regulations, directives and instructions, and the terms of this Agreement. In such rare instances, CAP will still be notified and provided reasons for the suspension or termination. In the case of suspension, the Program Manager must comply with the procedures in paragraph 6.1.1 as soon as is reasonably possible. In the case of termination, the Program Manager must comply with the procedures in paragraph 6.2.1 as soon as is reasonably possible.
