Experimental Materials Sample Clauses

The Experimental Materials clause defines the terms under which materials used for research or testing purposes are provided, handled, and used between parties. Typically, it outlines the scope of permissible use, restrictions on distribution, and requirements for handling or returning the materials after the experiment concludes. This clause ensures that proprietary or sensitive materials are protected, clarifies ownership rights, and helps prevent unauthorized use or disclosure, thereby managing risk and safeguarding intellectual property.
Experimental Materials. The Parties agree that any Deposited Material deposited and distributed pursuant to this Agreement is/are understood to be experimental in nature and may have hazardous properties. Institute agrees that it shall not deposit any material with Addgene requiring BL3 or BL4 safety regulations, and acknowledges that Addgene is relying on Institute’s representation to this effect.
Experimental Materials. RBNC acknowledges that any Licensed Materials transferred by AMGEN to RBNC under this Agreement are experimental in nature and may have unknown characteristics (including hazardous and toxicological properties) and therefore agrees to use prudence and reasonable care in the use, handling, storage, transportation and disposition and containment of any such materials.
