Common use of Existing Indebtedness Clause in Contracts

Existing Indebtedness. All existing Indebtedness of the Borrower and its Subsidiaries (including Indebtedness under the Existing Credit Agreement but excluding Indebtedness permitted pursuant to Section 9.1) shall be repaid in full, all commitments (if any) in respect thereof shall have been terminated and all guarantees therefor and security therefor shall be released, and the Administrative Agent shall have received pay-off letters in form and substance satisfactory to it evidencing such repayment, termination and release.

Existing Indebtedness. All existing Indebtedness of the Borrower and its Subsidiaries (including Indebtedness under the Existing Credit Agreement but excluding Indebtedness permitted pursuant to Section 9.111.1) shall be repaid in full, all commitments (if any) in respect thereof shall have been full and terminated and all guarantees therefor and collateral security therefor shall be released, and the Administrative Agent shall have received pay-off letters in form and substance satisfactory to it evidencing such repayment, termination and release. Any existing Indebtedness permitted pursuant to Section 11.1 shall be on terms and conditions reasonably satisfactory to the Administrative Agent.

Existing Indebtedness. All existing Indebtedness of the Borrower and its Subsidiaries (including Indebtedness under the Existing Credit Agreement but excluding Indebtedness permitted pursuant to Section 9.1) shall be repaid in full, all commitments (if any) in respect thereof shall have been terminated and all guarantees therefor and security therefor shall be released, and the Administrative Agent shall have received pay-off letters in form and substance reasonably satisfactory to it evidencing such repayment, termination and release.

All existing Indebtedness of the Borrower Holdings and its Subsidiaries (including Indebtedness under the Existing Credit Agreement but excluding Indebtedness permitted pursuant to Section 9.1) shall be repaid in full, all commitments (if any) in respect thereof shall have been terminated and all guarantees therefor and security therefor shall be released, and the Administrative Agent shall have received pay-off letters in form and substance satisfactory to it evidencing such repayment, termination and release.

All existing Indebtedness of the Borrower and its Subsidiaries (including Indebtedness under the Existing Credit Agreement but excluding other than Indebtedness permitted pursuant to Section 9.111.1) shall be repaid in full, all commitments (if any) in respect thereof shall have been full and terminated and all guarantees therefor and collateral security therefor shall be released, and the Administrative Agent shall have received pay-off letters in form and substance satisfactory to it evidencing such repayment, termination and release.

Any existing Indebtedness permitted pursuant to Section 8.1 shall be on terms and conditions reasonably satisfactory to the Administrative Agent.

Existing Indebtedness. All existing Indebtedness of the Borrower and its Subsidiaries (including Indebtedness under the Existing Credit Agreement but excluding Indebtedness permitted pursuant to Section 9.18.1) shall will be repaid in full, all commitments (if any) in respect thereof shall have been full and terminated and all guarantees therefor and collateral security therefor shall will be released, and the Administrative Agent shall Lender will have received pay-off or termination letters in form and substance satisfactory to it evidencing such repayment, termination termination, and release.

Existing Indebtedness. All existing Indebtedness of the Borrower and its Subsidiaries (including Indebtedness under the Existing Credit Agreement but excluding Indebtedness permitted pursuant to Section 9.1) shall be repaid in full, all commitments (if any) in respect thereof shall have been full and terminated and all guarantees therefor and collateral security therefor shall be released, and the Administrative Agent shall have received pay-off letters in form and substance reasonably satisfactory to it evidencing such repayment, termination and release.

All Substantially concurrently with the initial borrowing on the Closing Date, all existing Indebtedness of the Borrower Holdings and its Subsidiaries (including Indebtedness under the Existing Credit Agreement but excluding Indebtedness permitted pursuant to Section 9.1) shall be repaid in full, all commitments (if any) in respect thereof shall have been terminated and all guarantees therefor and security therefor shall be released, and the Administrative Agent shall have received pay-off payoff letters in form and substance reasonably satisfactory to it evidencing such repayment, termination and release.

Existing Indebtedness. All existing Indebtedness of the Borrower and its Subsidiaries (including Indebtedness under the Existing Credit Agreement but excluding Indebtedness permitted pursuant to Section 9.18.1) shall be repaid in full, all commitments (if any) in respect thereof shall have been terminated and all guarantees therefor and security therefor shall be released, and the Administrative Agent shall have received pay-off letters in form and substance reasonably satisfactory to it evidencing such repayment, termination and release.

All existing Indebtedness of the Borrower Holdings and its Subsidiaries (including all Indebtedness under the Existing Borrower Credit Agreement and the Existing Holdings Credit Agreement but excluding Indebtedness permitted pursuant to Section 9.1) shall be repaid in full, all commitments (if any) in respect thereof shall have been full and terminated and all guarantees therefor and collateral security therefor shall be released, and the Administrative Agent shall have received pay-off letters in form and substance satisfactory to it evidencing such repayment, termination and release.

All existing Indebtedness of the Borrower and its Subsidiaries (including excluding Indebtedness under the Existing Credit Agreement but excluding and Indebtedness permitted pursuant to Section 9.1) shall be repaid in full, all commitments (if any) in respect thereof shall have been full and terminated and all guarantees therefor and collateral security therefor shall be released, and the Administrative Agent shall have received pay-off letters in form and substance satisfactory to it evidencing such repayment, termination and release. Any existing Indebtedness permitted pursuant to Section 9.1 shall be on terms and conditions reasonably satisfactory to the Administrative Agent.

All Except for any amounts outstanding under the Existing Revolving Credit Facility or any Indebtedness permitted pursuant to Section 8.1, all existing Indebtedness of the Borrower and its Subsidiaries (including Indebtedness under the Existing Credit Agreement but excluding Indebtedness permitted pursuant to Section 9.1) shall be repaid in full, all commitments (if any) in respect thereof shall have been full and terminated and all guarantees therefor and collateral security therefor shall be released, and the Administrative Agent shall have received pay-off letters in form and substance reasonably satisfactory to it evidencing such repayment, termination and release. Any existing Indebtedness permitted pursuant to Section 8.1 shall be on terms and conditions reasonably satisfactory to the Administrative Agent.

Existing Indebtedness. All existing Indebtedness of the Borrower and its Subsidiaries (including Indebtedness under the Existing Credit Agreement but excluding Indebtedness permitted pursuant to Section 9.110.1) shall be repaid in full, all commitments (if any) in respect thereof shall have been full and terminated and all guarantees therefor and collateral security therefor shall be released, and the Administrative Agent shall have received pay-off letters in form and substance satisfactory to it evidencing such repayment, termination and release. Any existing Indebtedness permitted pursuant to Section 10.1 shall be on terms and conditions reasonably satisfactory to the Administrative Agent.

Existing Indebtedness. All existing Indebtedness of the Borrower and its Subsidiaries (including Indebtedness under the Existing Credit Agreement but excluding Indebtedness permitted pursuant to Section 9.1) shall be repaid in full, all commitments (if any) in respect thereof shall have been full and terminated and all guarantees therefor and collateral security therefor shall be releasedreleased concurrently with the making of the initial Loan, and the Administrative Agent shall have received pay-off letters in form and substance satisfactory to it evidencing such repayment, termination and release. Any existing Indebtedness permitted pursuant to Section 9.1 shall be on terms and conditions reasonably satisfactory to the Administrative Agent.

Existing Indebtedness. All existing Indebtedness of the Parent Borrower and its Subsidiaries (including Indebtedness under the Existing Credit Agreement Facility, but excluding Indebtedness permitted pursuant to Section 9.18.1) shall be repaid in full, all commitments (if any) in respect thereof shall have been terminated and all guarantees therefor and security therefor shall be released, and the Administrative Agent shall have received pay-off letters in form and substance satisfactory to it evidencing such repayment, termination and release.

Existing Indebtedness. All existing Indebtedness of the Borrower and its Subsidiaries (including Indebtedness under evidenced by the Existing Credit Agreement Agreement, but excluding Indebtedness permitted pursuant to Section 9.111.1) shall be repaid in full, all commitments (if any) in respect thereof shall have been full and terminated and all guarantees therefor and collateral security therefor shall be released, and the Administrative Agent shall have received pay-off letters in form and substance satisfactory to it evidencing such repayment, termination and release.

Existing Indebtedness. All existing Indebtedness of the Borrower and its Subsidiaries (including Indebtedness under the Existing Credit Agreement but excluding Indebtedness permitted pursuant to Section 9.19.8 and the Existing Letters of Credit that are deemed to be Letters of Credit hereunder pursuant to the terms of Section 3.1(a)) shall be repaid in full, all commitments (if any) in respect thereof shall have been full and terminated and all guarantees therefor and collateral security therefor shall be released, and the Administrative Agent shall have received pay-off letters in form and substance satisfactory to it evidencing such repayment, termination and release.
