Exchange and Registration of Transfer. (a) Warrant Certificates may be exchanged for other Warrant Certificates representing an equal aggregate number of Class C Warrants of the same class (provided the Warrant Agent shall not exchange Warrant Certificates for new Warrant Certificates in denominations of fewer than fifty thousand (50,000) underlying shares) or may be transferred in whole or in part.
