Common use of Establishment of Securities Account Clause in Contracts

Establishment of Securities Account. The Custodian hereby confirms that (i) the Custodian has established account number in the name of the Treasurer (such account and any successor account the "Securities Account"), (ii) the Custodian, shall, subject to the terms of this Agreement, treat the Treasurer as entitled to exercise the rights that comprise any securities entitlement credited to the Securities Account, (iii) all property delivered to the Custodian pursuant to the Security Agreement will be promptly credited to the Securities Account, and (iv) all securities or other property underlying any financial assets credited to the Securities Account shall be registered in the name of the Custodian, endorsed to the Custodian or in blank or credited to another securities account maintained in the name of the Custodian and in no case will any financial asset credited to the Securities Account be registered in the name of the Depository, payable to the order of the Depository, or specially endorsed to the Depository except to the extent the foregoing have been specially endorsed to the Custodian or in blank.

Establishment of Securities Account. The Custodian Depositary hereby confirms and agrees that (i) the Custodian Depositary has established account number in "000398" under the name of the Treasurer "Escrow A/C" (such account and any successor account account, the "Securities Account"), (ii) the CustodianSecurities Account is a "securities account" as such term is defined in Section 8-501(a) of the Revised UCC, (iii) the Depositary shall, subject to the terms of this Agreement, treat the Treasurer Holders as the parties entitled to exercise the rights that comprise any securities entitlement financial Asset credited to the Securities Account, (iiiiv) all property Assets delivered to, and actually received by, the Depositary pursuant, to the Custodian pursuant to the Security this Agreement will be promptly credited to the Securities Account, and (ivv) all securities or other property Assets underlying any financial assets Assets credited to the Securities Account shall be registered in the name of the CustodianDepositary or one of its agents or nominees, endorsed indorsed to the Custodian Depositary or in blank or credited to another securities account maintained in the name of the Custodian Depositary and in no case will any financial asset Asset credited to the Securities Account be registered in the name of the DepositoryCompany, payable to the order of the Depository, Company or specially endorsed indorsed to the Depository Company except to the extent the foregoing have been specially endorsed indorsed to the Custodian Depositary or in blank.

The Custodian hereby confirms that (i) the Custodian has established account number trust accounts as specified in Exhibit A hereto in the name of the Treasurer each Debtor (such account and any successor account account, the "Securities Account"" of such Debtor), (ii) each Securities Account is an account to which Financial Assets are or may be credited, and the Custodian, Custodian shall, subject to the terms of this Agreement, treat the Treasurer Secured Party as entitled to exercise the rights that comprise any securities entitlement Financial Asset credited to the Securities AccountAccounts, (iii) all property delivered to the Custodian pursuant to the Security Agreement by or on behalf of a Debtor will be promptly credited to the Securities Account, Account of such Debtor and (iv) all securities or other property underlying any financial assets Financial Assets credited to the Securities Account of a Debtor shall be registered in the name of the Custodian, endorsed to the Custodian or in blank or credited to another securities account maintained in the name of the Custodian and in no case will any financial asset Financial Asset credited to the such Securities Account be registered in the name of the Depositorysuch Debtor, payable to the order of the Depository, such Debtor or specially endorsed indorsed to the Depository except to the extent the foregoing have been specially endorsed to the Custodian or in blanksuch Debtor.
