Environmental Threshold Sample Clauses
Environmental Threshold. Notwithstanding anything to the contrary, in no event shall there be any adjustments to the Purchase Price, except to the Well Reimbursement Costs, for any Environmental Defects unless the aggregate of all Remediation Amounts for Environmental Defects exceeds one percent (1.0%) of the Purchase Price (the “Environmental Threshold”), after which point Buyer shall be entitled to adjustments to the Purchase Price with respect to all such Remediation Amounts.
Environmental Threshold. Notwithstanding anything to the contrary, in no event shall there be any adjustments to the Purchase Price or other remedies provided by Seller for any individual Environmental Defect for which the Remediation Amount does not exceed Sixty Thousand Dollars ($60,000) ("Individual Environmental Threshold"), after which point Buyer shall be entitled to an adjustment to the Purchase Price or other remedies with respect to the entire Environmental Defect for the affected Assets.
Environmental Threshold. Notwithstanding anything to the contrary, (i) in no event shall there be any adjustments to the Purchase Price or other remedies provided by Seller for any individual Environmental Defect for which the Environmental Defect Value does not exceed forty thousand dollars ($40,000) ("Individual Environmental Threshold"); and (ii) in no event shall there be any adjustments to the Purchase Price or other remedies provided by Seller for any Environmental Defect that exceeds the Individual Environmental Threshold unless the Environmental Defect Values of all Environmental Defects, in the aggregate, excluding any Environmental Defects Remediated by Seller, exceeds an amount equal to four percent (4%) of the Purchase Price ("Aggregate Environmental Threshold"), after which point Buyer shall be entitled to adjustments to the Purchase Price or other remedies.
