Common use of Entitlement to Direct Votes Clause in Contracts

Entitlement to Direct Votes. Any Holder named in a List prepared in connection with any Orbital Meeting or any Orbital Consent shall be entitled (a) to instruct the Trustee in the manner described in section 4.3 hereof with respect to the exercise of the Holder Votes to which such Holder is entitled or (b) to attend such meeting and personally to exercise thereat (or to exercise with respect to any written consent), as the proxy of the Trustee, the Holder Votes to which such Holder is entitled.

Any Holder named in a List prepared in connection with any Orbital Applied Meeting or any Orbital an Applied Consent shall be entitled (a) to instruct the Trustee in the manner described in section 4.3 hereof with respect to the exercise of the Holder Votes to which such Holder is entitled or (b) to attend such meeting and personally to exercise thereat (or to exercise (with respect to any written consent), as the proxy of the Trustee, the Holder Votes to which such Holder is entitledentitled pursuant to the procedure set forth in section 4.8 hereof.
