Entire Agreement; Binding Agreement, Assignment, No Third Party Beneficiaries. (a) This Agreement, including the recitals, Annexes attached hereto, together with the Sale and Purchase Agreement and the Shareholders’ Agreement and the documents, instruments and other agreements executed or delivered pursuant thereto, contain all the understandings and agreements between the Parties with respect to the Company and the transactions contemplated herein, and supersedes any other understandings or agreements, either oral or written, including the Term Sheet.
