The Engineering Design Changes clause establishes the procedures and requirements for making modifications to the original engineering plans or specifications during a project. Engineering Design Changes. (a) Midmark reserves the right at any time to make engineering and/or design changes as to any Products and/or work covered by this Purchase Order. Any difference in price or time for performance resulting from such changes shall be equitably adjusted, and the contract shall be modified in writing accordingly. Any price adjustment shall conform to the current standard prices. (b) Supplier may make engineering and/or design changes to an item of Products or the production processes used in its manufacture, which may affect the performance, reliability, safety, serviceability, appearance, dimensions, tolerances, firmware/software, or composition of bills of materials or material sources only in accordance with this section. Supplier shall notify Midmark of any such proposed engineering and/or design change and shall supply a written description of the expected effect of the proposed engineering and/or design change on the item of Products, including its effect on price, performance, reliability, capability, and serviceability. Midmark may elect to evaluate parts and/or designs specified as part of the proposed change. Supplier shall not change or modify any item of Products without Midmark’s prior written consent. If Supplier proposes to make any engineering and/or design change in any product manufactured by Supplier that is similar to an item of Products, then Supplier shall promptly notify Midmark of each such proposed change and afford Midmark the opportunity to incorporate the engineering and/or design change into the similar item of Products in the manner provided in this section. (c) Seller shall notify Purchaser in writing prior to moving Products or Production Tools to a alternate manufacturing facility or subcontractor. First article samples, in quantities satisfactory to Purchaser, must be submitted to Purchaser for evaluation. Seller agrees not to use an alternate manufacturing facility or subcontractor in the manufacturing of the Products without Purchaser's prior written consent. Seller has the sole responsibility and liability for the performance and non-performance of subcontractor(s).
Engineering Design Changes. (a) If an engineering change is requested by a Third Party, a Purchasing Party may request an engineering change order by sending, with the applicable Separate Product purchase order, a written engineering change order. If the Selling Party cannot or will not comply with the engineering change order, it must notify the Purchasing Party within three (3) business days. If the Selling Party can and will comply with such engineering change order it will give to the Purchasing Party, within four (4) business days of receiving such engineering change order, written notice of the estimated date by which, and estimated cost at which, such engineering change order could be implemented. Such engineering change order shall not be valid or enforceable unless, within three (3) business days of receiving the estimate, the Purchasing Party acknowledges and agrees to the dates and costs stated in the estimate by countersigning the estimate and returning it to the Selling Party. (b) If the date and/or cost stated in the estimate change by more than three (3) days or ten percent (10%) of the estimated cost, whichever is applicable, the Selling Party shall notify the Purchasing Party in writing of the revised estimate within one (1) business day of becoming aware of such change in estimate. Within one (1) business day of its receipt of a revised estimate, the Purchasing Party must provide written notice of its acceptance of the revised estimate or its cancellation of the underlying engineering change order
Engineering Design Changes. AbsolutAire may make engineering design changes without notice as long as these changes do not affect the product performance as ordered by the Purchaser.
Engineering Design Changes. If Mylex should request any engineering change order for any Product, Dovatron will give Mylex written notice, within three business days of receiving written notice at such request, of the date by which, and at what cost, such engineering change order could be implemented. Mylex shall be responsible for any increase in such costs (net of any savings of costs), due to an engineering change order, to which it agrees in writing.
Engineering Design Changes. If EGC should request any engineering change order for any Product, Tak Shun will as soon as is practicable give EGC written notice, by e-mail or facsimile of the date by which,, such engineering change order could be implemented. EGC shall be responsible for any overall increase in such costs (net of any savings of costs), due to an engineering change order, to which it agrees in writing, but shall not pay for the cost of the engineering change itself which Tak Shun will provide free of charge. <PAGE>
Engineering Design Changes. If Customer should request any engineering change order for any Product, SYNNEX shall give Customer written notice, within three (3) business days of receiving written notice of such request, of the date by which, and at what cost, such engineering change order could be implemented. Customer shall be responsible for any increase in such costs (net of any savings of costs), due to an engineering change order, to which Customer agrees in writing.
Engineering Design Changes. MICROART will advise TIVIC, in writing, within two (2) business days after its receipt of an Engineering Change Order how soon and at what cost Engineering Change Orders can be implemented. TIVIC shall have the right to accept or reject, in its sole discretion, any changes to the quoted price or timeline resulting from the Engineering Change Order, provided that in the event that TIVIC rejects any such changes, MICROART shall not be obligated to make any changes set forth in the applicable Engineering Change Order, unless otherwise agreed by the parties. TIVIC shall notify MICROART, in writing, of its acceptance or rejection of any changes to the quoted price or timeline resulting from an Engineering Change Order, and MICROART shall not proceed with implementing any changes set forth in an Engineering Change Order until it has received such notice from TIVIC. In the event that changes to the quoted price or timeline are not accepted by TIVIC, the parties will use reasonable efforts to come to a mutually acceptable agreement with respect to any necessary changes, including without limitation changes to the quoted price, timing, and Design modifications.
