Common use of Enforceable Clause in Contracts

Enforceable. This Agreement has been duly executed and delivered by the Purchaser and constitutes a legal, valid and binding agreement of the Purchaser enforceable against the Purchaser in accordance with its terms subject only to (i) any limitation on enforcement under Laws relating to bankruptcy, winding-up, insolvency, reorganization, arrangement or other Law affecting the enforcement of creditors’ rights generally, and (ii) the discretion that a court may exercise in the granting of equitable remedies such as specific performance and injunction.

Enforceable. This Agreement has been duly executed and delivered by the Purchaser and constitutes a legal, valid and binding agreement of the Purchaser obligation, enforceable against the Purchaser it in accordance with its terms terms, subject only to (i) any limitation on limitations with respect to enforcement under Laws relating to imposed by Law in connection with bankruptcy, winding-upinsolvency and other similar proceedings, insolvency, reorganization, arrangement or other Law affecting the enforcement equitable power of creditors’ rights generally, the courts to stay proceedings before them and (ii) the discretion execution of judgments and to the extent that a court may exercise in the granting of equitable remedies such as specific performance and injunctioninjunction are in the discretion of the court from which they are sought.

This Agreement has been duly executed and delivered by the Purchaser and constitutes a legal, valid valid, and binding agreement obligation of the Purchaser Purchaser, enforceable against the Purchaser in accordance with its terms subject only to terms, except as such enforceability may be limited by (i) any limitation on enforcement under Laws relating to bankruptcy, winding-up, insolvency, reorganization, arrangement bankruptcy or other Law Laws of such general application affecting the enforcement of creditors’ rights generally, generally and (ii) the discretion that general principles of equity (regardless of whether such enforceability is considered in a court may exercise proceeding in the granting of equitable remedies such as specific performance and injunctionequity or at law).
