Enforceable Sample Clauses

Enforceable. This Agreement has been duly executed and delivered by the Securityholder and constitutes a legal, valid and binding obligation, enforceable against the Securityholder in accordance with its terms, subject to bankruptcy, insolvency and other similar Laws affecting creditors’ rights generally, and to general principles of equity.

Enforceable. The provisions of this Agreement shall be enforceable notwithstanding the existence of any claim or cause of action of the Consultant against the Company whether predicated on this Agreement or otherwise.

Enforceable. (a) Without prejudice to the provisions of Clause 9 (Receiver) the security created under this Current Issuer Deed of Charge shall become immediately enforceable and the power of sale and other powers conferred by Section 101 of the 1925 Act, as varied or amended by this Current Issuer Deed of Charge, shall be exercisable by the Note Trustee:

Enforceable. The security created under this Deed shall become immediately enforceable and the power of sale and other powers conferred by Section 101 of the Law of Property Act 1925 (the 1925 ACT), as varied or amended by this Deed, shall be exercisable by the Ninth Issuer Security Trustee at any time following the occurrence of a Ninth Issuer Note Event of Default or, if there are no Ninth Issuer Notes outstanding, following a default in payment on its due date of any other Ninth Issuer Secured Obligations. Without prejudice to the effectiveness of any service of the Ninth Issuer Note Enforcement Notice, the Ninth Issuer Security Trustee shall serve a copy of any Ninth Issuer Note Enforcement Notice on:

Enforceable this Agreement is valid, binding and enforceable and it has taken all necessary action to authorise the execution and performance of this Agreement, and entry into this Agreement will not cause the Recipient to be in breach of any other agreement or obligation;

Enforceable. Each party represents and warrants this Agreement is a legal and valid obligation binding upon such party and is enforceable in accordance with its terms and conditions. The execution, delivery and performance of this Agreement by such party does not conflict with any agreement, instrument or understanding, oral or written, to which it is a party or by which it may be bound, or violate any domestic material law or regulation of any court, governmental body or administrative or other agency having jurisdiction over it.
