Employee Secondment. Concurrently with the execution of this Agreement, the parties are entering into one or more Transition Services Agreements pursuant to which ▇▇▇▇▇▇ ▇▇▇▇▇▇▇ has agreed to provide certain services relating to the subject matter of this Agreement. In addition, and notwithstanding the foregoing, if and only to the extent necessary to preserve payroll, benefits, or other legal entitlements with respect to any employees (whether inside or outside the United States), a Discover Subsidiary and a ▇▇▇▇▇▇ ▇▇▇▇▇▇▇ Subsidiary may enter into one or more agreements whereby one such subsidiary may lease employees from another for a period of not more than three calendar months following the Distribution Date. Any such agreement(s) shall require the company benefiting from the services of such employee(s) to fully reimburse the leasing company for the full cost of the employee(s) remuneration and shall contain other terms and conditions consistent with an arm’s length commercial relationship between the leasing entity and the service recipient.
