Common use of Eligibility Clause in Contracts

Eligibility. In order to use the Services and enter into this Agreement you must be 18 or older and not be barred from doing so under any applicable laws in your country of residence. Attendee participation in certain event activities, such as activities involving alcohol, may be limited in order to comply with applicable laws and regulations Occasionally Red Hat may, in its sole discretion, make changes to the Services and this Agreement. Any material changes will be communicated to you as soon as reasonably possible. You may stop using the Services if you do not agree to the changes. Your acceptance of and/or continued use of the Services after the notification of changes to this Agreement or the Services will constitute your acceptance of changes. When you use the Services, submit forms or send emails to Red Hat, you are communicating with Red Hat electronically. You consent to receive communications from Red Hat electronically. Red Hat will communicate with Attendees by email, or by posting notices on the Services. You agree that all agreements, notices, disclosures and other communications provided to you electronically satisfy any legal requirement that such communications be in writing. Any Attendee information that may be collected in connection with the Event will be used by Red Hat and its affiliates and subsidiaries for legitimate business purposes in accordance with its Privacy Statement, which is incorporated in this Agreement. We may share information about you within Red Hat and transfer it to countries in the world where we do business in accordance with our Privacy Statement. This information may also be shared with vendors offering services, such as our event platform provider and event support agency, as well as check-in, badging, or mobile apps, related to Event. Red Hat may also access and/or disclose your information if we believe such action is necessary to (a) comply with the law or legal process served on Red Hat, (b) protect and defend the rights or property of Red Hat (including the enforcement of our agreements), or (c) act in urgent circumstances to protect the personal safety of other attendees, Red Hat employees or contingent staff, users of Red Hat services, or members of the public. Other than personally identifiable information, which is covered in Supplemental Terms, any reviews, comment, questions, ideas, suggestions, photos, images and other material you send or post to the Services (“User Generated Content”) will be considered non-confidential and non-proprietary. The Services are not designed to accept User Generated Content. While Red Hat does not expect that you will send or post any User Generated Content in connection with these Services, Red Hat will have no obligations with respect to User Generated Content. By posting, uploading, adding, communicating, storing, or otherwise transmitting User Generated Content on, to, or through the Services, you understand and agree that you are giving Red Hat a royalty free, irrevocable, perpetual, non-exclusive and fully sub-licensable license to edit, alter, broadcast, post, publish, copy, disclose, distribute, perform, create derivative works from, incorporate and otherwise use the User Generated Content and images, sounds, text, and other things embodied therein for any and all purposes, including commercial, promotional, or marketing purposes throughout the world in any form, medium, or technology now known or later developed. You agree that none of your User Generated Content will include material that: ● Is unlawful, threatening, libelous, defamatory, indecent, obscene, pornographic, or that may violate any law; ● Could interfere with anyone else’s use of the Services; ● Encourages or incites anyone to break the law; ● Violates the rights of any party, including copyrights and other property right and rights of privacy, or that includes personal or sensitive information regarding you or another person; ● Contains a virus or any other harmful or potentially harmful component; or ● Contains false or misleading statements of fact or descriptions of the origin of the material or the communication. No Obligation to Monitor. Although you are solely responsible for the content provided by you, Red Hat may, but is not required to, monitor User Generated Content. If Red Hat becomes aware of User Generated Content that violates this Agreement that it believes to be obscene, lewd, lascivious, filthy, excessively violent, harassing, or otherwise objectionable, Red Hat may act to restrict access to or availability of the material and/or Services, without notice to you and in its sole discretion, or may take other action as described elsewhere in this Agreement. Internet transmissions are never completely private or secure. You understand that any User Generated Content that you send through the Services may be read or intercepted by others. By sending User Generated Content on, to or through the Services, you release Red Hat of any duty or obligation it might otherwise have to review or act in response to the User Generated Content, and of any duty or obligation that it might otherwise have to you in connection with any action it chooses to take in response to your User Generated Content. Red Hat maintains a strict policy of not accepting or considering any creative ideas, suggestions or materials from the public ("Unsolicited Idea(s)") and therefore you should not submit any Unsolicited Ideas to Red Hat in any User Generated Content on, to or through the Services or otherwise. Red Hat does not wish to receive Unsolicited Ideas from Attendees and has expressly advised Attendees not to submit them. If you nonetheless intend to submit an Unsolicited Idea, Red Hat strongly recommends that you first consult an attorney in order to evaluate the effect that submitting such an Unsolicited Idea would have on any rights that you might otherwise have. Nonetheless, if an Attendee does send Red Hat an Unsolicited Idea that is not already protected by a United States patent or is not public information, it immediately becomes the property of Red Hat. By submitting an Unsolicited Idea to Red Hat, you agree to convey your ownership interest in the Unsolicited Idea to Red Hat, and that Red Hat will exclusively own all rights, title and interest therein. Furthermore, Red Hat will be free to use, without any compensation to you whatsoever, any concepts, ideas, know-how or techniques contained in any Unsolicited Idea for any purpose whatsoever, including but not limited to developing, manufacturing, and marketing products using such information. Facility reservations and rentals are not limited to use individuals residing in the Services Community, though residents of the Community will receive reduced rates for rentals. Any material changes will be communicated to you as soon as reasonably possible. You may stop using the Services if you do not agree to the changes. Your acceptance of and/or continued use of the Services after the notification of changes to this Agreement or the Services will constitute your acceptance of changes. When you use the Services, submit forms or send emails to Red Hat, you are communicating with Red Hat electronically. You consent to receive communications from Red Hat electronically. Red Hat will communicate with Attendees by email, or by posting notices on the Services. You agree that all agreements, notices, disclosures and other communications provided to you electronically satisfy any legal requirement that such communications be in writing. Any Attendee information that may be collected in connection with the Event will be used by Red Hat and its affiliates and subsidiaries for legitimate business purposes in accordance with its Privacy Statement, which is incorporated in this Agreement. We may share information about you within Red Hat and transfer it to countries in the world where we do business in accordance with our Privacy Statement. This information may also be shared with vendors offering services, such as our event platform provider and event support agency, as well as check-in, badging, or mobile apps, related to Event. Red Hat may also access and/or disclose your information if we believe such action is necessary to (a) comply with the law or legal process served on Red Hat, (b) protect and defend the rights or property of Red Hat (including the enforcement of our agreements), or (c) act in urgent circumstances to protect the personal safety of other attendees, Red Hat employees or contingent staff, users of Red Hat services, or members of the public. Other than personally identifiable information, which is covered in Supplemental Terms, any reviews, comment, questions, ideas, suggestions, photos, images and other material you send or post to the Services (“User Generated Content”) will be considered non-confidential and non-proprietary. The Services are not designed to accept User Generated Content. While Red Hat does not expect that you will send or post any User Generated Content in connection with these Services, Red Hat will have no obligations a delinquent status with respect to User Generated Content. Internet transmissions are never completely private or secure. You understand that any User Generated Content that you send through the Services may be read or intercepted by others. By sending User Generated Content on, to or through the Services, you release Red Hat of any duty or obligation it might otherwise have to review or act in response to the User Generated Content, and of any duty or obligation that it might otherwise have to you in connection with any action it chooses to take in response to your User Generated Content. Red Hat maintains a strict policy of not accepting or considering any creative ideas, suggestions or materials from the public ("Unsolicited Idea(s)") and therefore you should not submit any Unsolicited Ideas to Red Hat in any User Generated Content on, to or through the Services or otherwise. Red Hat does not wish to receive Unsolicited Ideas from Attendees and has expressly advised Attendees not to submit them. If you nonetheless intend to submit an Unsolicited Idea, Red Hat strongly recommends that you first consult an attorney in order to evaluate the effect that submitting such an Unsolicited Idea would have on any rights that you might otherwise have. Nonetheless, if an Attendee does send Red Hat an Unsolicited Idea that is not already protected by a United States patent or is not public information, it immediately becomes the property of Red Hat. By submitting an Unsolicited Idea to Red Hat, you agree to convey your ownership interest in the Unsolicited Idea to Red Hat, and that Red Hat will exclusively own all rights, title and interest therein. Furthermore, Red Hat will be free to use, without any compensation to you whatsoever, any concepts, ideas, know-how or techniques contained in any Unsolicited Idea used for any purpose whatsoever, including but not limited other than the use stated in the rental application. H. The MUD Boards reserve the right to developing, manufacturing, and marketing products using such information. Red Hat will deny the application to reserve or rent Facilities based on Applicant’s and/or Applicant’s guests’ previous rental history. I. Facilities may not be liable reserved or rented for such use commercial purposes, except for the purpose of employee meetings and special events. J. MUD Boards reserve the right to deny applications for events that are deemed political, social policy activity, or disclosure policy critiquing in nature, or events deemed divisive, illegal, or immoral. K. Any reservation or rental agreement is revocable by the MUD Boards at any time if deemed to have been made under false pretenses. This rental agreement may be terminated by the MUD Boards by providing notification at the time of such Unsolicited Idea discovery of any discrepancy, fabrication or for any similarities misrepresentation by the applicant. Notice will be made in writing via the Unsolicited Idea contact information provided on the application (text and any future Red Hat uses or activitiesemail).

This information may also be shared with vendors offering certain services, such as policies for any particular event, activity or promotion, and such supplemental terms will be published on our services from time to time. Supplemental Terms are in addition to, and shall be considered a part of, the Terms and Conditions of Use. Supplemental Terms shall prevail over these Terms and Conditions of Use in the event platform provider and event support agencyof a conflict with respect to the applicable services. • In case of incorporation of any new legislation or any amendments to the existing legislation governing data of any individual, as well as check-insome of the clauses of this Agreement may either be updated or deleted without any notice, badging, or mobile apps, related to Event. Red Hat may also access and/or disclose your information if we believe such action is necessary to (a) comply with the law or legal process served on Red Hat, (b) protect and defend the rights or property of Red Hat (including the enforcement of our agreements), or (c) act in urgent circumstances to protect the personal safety of other attendees, Red Hat employees or contingent staff, users of Red Hat services, or members said provisions of the publicapplicable legislation. Eligibility. To be eligible for Commission (i) an Affiliate Lead must be accepted and valid in accordance with the ‘Acceptance and Validity’ section, (ii) a Customer Transaction must have occurred, (iii) a Customer must remain a customer during the locking period in the Affiliate Tool (or if applicable, in the Program Policies). You are not eligible to receive Commission or any other compensation from us based on transactions for Other Products or if: (i) such compensation is disallowed by regulations of your jurisdiction or our juristication; (ii) the applicable Customer objects to or prohibits such compensation or excludes such compensation from its payments to us or The Company Affiliates; (iii) the Customer has paid or will pay such commissions, referral fees, or other compensation directly to you, (iv) the Commission payment has been obtained by fraudulent means, misuse of the Affiliate Link, in violation of any Affiliate Program Policies that we make available to you, misuse of the Affiliate Tool or by any other means that we deem to breach the spirit of the Marketing Affiliate Program, or (v) the Customer participates in any of our partner programs, including our Agency Partner Program, Sales Referral Partner Program or Sales Solutions Partner Program and is eligible to receive commission in relation to the Customer Transaction under any of these programs. If at any point you are eligible to receive a revenue share payment or commission under another Program at The Company, that payment amount will not change based on your participation in the Affiliate Program. For example, you will not be able to receive the Commission set out in this Agreement on any Partner Transaction that was completed whilst participating as a partner in the Solutions Partner Program (as defined in the Solutions Partner Program Agreement). In competitive situations with other affiliates, we may elect to provide the Commission to the affiliate that we deem to be the most eligible for Commission, at our discretion. We may discontinue Commission payments should any of the eligibility criteria set forth in this subsection fail to be met at any time. Acceptance and Validity. You will only be eligible for a Commission payment for any Customer Transactions that derived from Affiliate Leads generated by the Affiliate Link that we make available to you and are accepted by the Company. An Affiliate Lead will be considered valid and accepted if, in our reasonable determination: (i) it is a new potential customer of ours, and (ii) is not, at the time of submission or sixty (60) days prior, one of our pre-existing customers, or involved in our active sales process. Notwithstanding the foregoing, we may choose not to accept an Affiliate Lead in our reasonable discretion. If an Affiliate Lead does not purchase the Subscription Service within the time period described on the Affiliate Tool (or if applicable, in the Program Policies) of their first click on the Affiliate Link, you will not be eligible for a Commission payment, even if the Affiliate Lead decides to purchase after the time period has expired. An Affiliate Lead is not considered valid if it’s first click on the Affiliate Link is after this Agreement has expired or terminated. Engagement with Prospects. Once we have received the Affiliate Lead information, we may elect to engage with the prospect directly, regardless of whether or not the Affiliate Lead is valid. If an Affiliate Lead is not valid then we may choose to maintain it in our database and we may choose to engage with such Affiliate Lead. Any engagement between The Company and an Affiliate Lead will be at The Company’s discretion. Commission and Payment. In order to use receive payment under this Agreement, you must have: (i) agreed to the Services and enter into terms of this Agreement you must be 18 or older (generally completed through the Affiliate Tool); (ii) completed all steps necessary to create your account in the Affiliate Tool in accordance with our directions, (iii) have a valid and not be barred from doing so under up-to-date payment method in the Affiliate Tool with such account (iv) completed any applicable laws and all required tax documentation in your country of residence. Attendee participation in certain event activities, such as activities involving alcohol, order for the Affiliate Tool to process any payments that may be limited owed to you. Requirements for Payment; Forfeiture. Notwithstanding the foregoing or anything to the contrary in order this Agreement, if any of the requirements set forth in section 4(a)(i-iv) remain outstanding for six (6) months immediately following the close of a Customer Transaction, then your right to receive Commission arising from any and all Customer Transactions with the associated Customer will be forever forfeited (each, a “Forfeited Transaction”). We will have no obligation to pay you Commission associated with a Forfeited Transaction. Once you comply with all of the requirements in section 5(a)(i- iv), then you will be eligible to receive Commission on Customer Transactions, as long as these Customer Transactions do not involve the same Customer associated with a Forfeited Transaction. Commission Payment. We or the Affiliate Tool will determine the currency in which we pay the Commission, as well as the applicable laws conversion rate. We will not pay more than one Commission payment or other similar referral fee on any given Customer Transaction (unless we choose to in our discretion).Taxes. You are responsible for payment of all taxes and regulations Occasionally Red Hat may, in its sole discretion, make changes fees (including bank fees) applicable to the Services Commission. All amounts payable by us to you are subject to offset by us against any amounts owed by you to us. Commission Amounts. We reserve the right to alter or change the Commission amount as per the Affiliate Tool. Training and Support We may make available to you, without charge, various webinars and other resources made available as part of our Affiliate Program. If we make such resources available to you, you will encourage your sales representatives and/or other relevant personnel to participate in training and/or other certifications as we recommend and may make available to you from time-to-time. We may change or discontinue any or all parts of the Affiliate Program benefits or offerings at any time without notice. Trademarks You grant to us a nonexclusive, nontransferable, royalty-free right to use and display your trademarks, service marks and logos (“Affiliate Marks”) in connection with the Affiliate Program and this Agreement. Any material changes will be communicated During the term of this Agreement, in the event that we make our trademark available to you within the Affiliate Tool, you may use our trademark as soon long as reasonably possibleyou follow the usage requirements in this section. You may stop using the Services if you do not agree to the changes. Your acceptance of and/or continued use of the Services after the notification of changes to this Agreement or the Services will constitute your acceptance of changes. When you must: (i) only use the Servicesimages of our trademark that we make available to you, submit forms or send emails to Red Hat, you are communicating with Red Hat electronically. You consent to receive communications from Red Hat electronically. Red Hat will communicate with Attendees by email, or by posting notices on the Services. You agree that all agreements, notices, disclosures and other communications provided to you electronically satisfy without altering them in any legal requirement that such communications be in writing. Any Attendee information that may be collected way; (ii) only use our trademarks in connection with the Event will be used by Red Hat Affiliate Program and its affiliates and subsidiaries for legitimate business purposes in accordance with its Privacy Statement, which is incorporated in this Agreement. We may share information about you within Red Hat and transfer it to countries in the world where we do business in accordance with our Privacy Statement. This information may also be shared with vendors offering services, such as our event platform provider and event support agency, as well as check-in, badging, or mobile apps, related to Event. Red Hat may also access and/or disclose your information if we believe such action is necessary to ; (aiii) comply with the law or legal process served on Red Hat, our style guide and Trademark Usage Guidelines; and (biv) protect and defend the rights or property of Red Hat (including the enforcement of our agreements), or (c) act in urgent circumstances to protect the personal safety of other attendees, Red Hat employees or contingent staff, users of Red Hat services, or members of the public. Other than personally identifiable information, which is covered in Supplemental Terms, any reviews, comment, questions, ideas, suggestions, photos, images and other material you send or post to the Services (“User Generated Content”) will be considered non-confidential and non-proprietary. The Services are not designed to accept User Generated Content. While Red Hat does not expect immediately comply if we request that you will send or post any User Generated Content in connection with these Services, Red Hat will have no obligations with respect to User Generated Content. You agree must not: (i) use our trademark in a misleading or disparaging way; (ii) use our trademark in a way that none implies we endorse, sponsor or approve of your User Generated Content will include material that: ● Is unlawful, threatening, libelous, defamatory, indecent, obscene, pornographic, services or that may violate any lawproducts; ● Could interfere with anyone else’s use of the Services; ● Encourages or incites anyone to break the law; ● Violates the rights of any party, including copyrights and other property right and rights of privacy, or that includes personal or sensitive information regarding you or another person; ● Contains a virus or any other harmful or potentially harmful component; or ● Contains false or misleading statements of fact or descriptions of the origin of the material or the communication. You agree that all agreements, notices, disclosures and other communications provided to you electronically satisfy any legal requirement that such communications be in writing. Any Attendee information that may be collected required from time to time. You agree: (a) to provide true, accurate, current and complete information about yourself as requested by Carketa, the Carketa Marketplace and/or by the registration forms; (b) to maintain and promptly update your Account information to keep it true, accurate, current and complete; (c) not to misrepresent yourself as a Carketa employee or agent or as any other Carketa Marketplace User or to access an Account belonging to another User; (d) not to publish your contact information or that of other Users in connection with an online public area; (e) not to create more than one Account; (f) that if we disable your Account, you will not create another one without our permission; and (g) not to transfer your Account to anyone without Carketa’s written permission. If you provide any false, inaccurate, outdated or incomplete contact information, Carketa has the Event right, without limitation, to suspend or terminate your Account, limit your Account privileges, cancel all of your listings, remove your Seller status and refuse any and all current or future use of any of the Services by you. If you believe that another Carketa Marketplace User is using false contact information, please report it using the “contact us” link at the bottom of the Site. You will contact Carketa IMMEDIATELY if anyone representing your business is no longer an authorized user. You will be used by Red Hat held responsible for any transactions on your Account up to the date you request that the User be removed. Using the Site and its affiliates Services Carketa grants a limited license to each User to make use only of the Site and subsidiaries for legitimate business purposes the Services in accordance with its Privacy Statement, which is incorporated in this Agreement. We may share information about you within Red Hat While using the Site and transfer it to countries in the world where we do business in accordance with our Privacy Statement. This information may also be shared with vendors offering servicesServices, such as our event platform provider and event support agency, as well as check-in, badging, or mobile apps, related to Event. Red Hat may also access and/or disclose your information if we believe such action is necessary to (a) comply with you agree not to violate any laws, our policies, third party rights or to use the law Site for any illegal, malicious or legal process served on Red Hat, unauthorized purpose; (b) protect you represent and defend warrant that you are not under the rights or property age of Red Hat (including the enforcement of our agreements), or 18 and that you are able to form legally binding contracts; (c) act in urgent circumstances to protect the personal safety of other attendees, Red Hat employees or contingent staff, users of Red Hat services, or members of the public. Other than personally identifiable information, which is covered in Supplemental Terms, any reviews, comment, questions, ideas, suggestions, photos, images and other material you send or post to the Services (“User Generated Content”) will be considered non-confidential and non-proprietary. The Services are not designed to accept User Generated Content. While Red Hat does not expect that you will send or post any User Generated Content in connection with these Services, Red Hat will have no obligations with respect to User Generated Content. By posting, uploading, adding, communicating, storing, or otherwise transmitting User Generated Content on, to, or through the Services, you understand and agree that you are giving Red Hat a royalty free, irrevocable, perpetual, non-exclusive and fully sub-licensable license to edit, alter, broadcast, post, publish, copy, disclose, distribute, perform, create derivative works from, incorporate and otherwise cannot use the User Generated Content and imagesSite if you have been temporarily or indefinitely suspended from the Site; (d) you agree not to register with inaccurate, soundsfalse, textoutdated or incomplete contact information; (e) you agree not to post inaccurate, and other things embodied therein for any and all purposesfalse, including commercialmisleading, promotionalhateful, or marketing purposes throughout the world in any form, medium, or technology now known or later developed. You agree that none of your User Generated Content will include material that: ● Is unlawful, threatening, libelous, defamatory, indecent, obsceneoffensive, pornographic, libelous or that may violate any law; ● Could interfere with anyone else’s use of the Services; ● Encourages or incites anyone to break the law; ● Violates the rights of any party, including copyrights and other property right and rights of privacy, or that includes personal or sensitive information regarding you or another person; ● Contains a virus or any other harmful or potentially harmful component; or ● Contains false or misleading statements of fact or descriptions of the origin of the material or the communication. No Obligation to Monitor. Although you are solely responsible for the content provided by you, Red Hat may, but is not required to, monitor User Generated Content. If Red Hat becomes aware of User Generated Content that violates this Agreement that it believes to be obscene, lewd, lascivious, filthy, excessively violent, harassing, or otherwise objectionable, Red Hat may act to restrict access to or availability of the material and/or Services, without notice to you and in its sole discretion, or may take other action as described elsewhere in this Agreement. Internet transmissions are never completely private or secure. You understand that any User Generated Content that you send through the Services may be read or intercepted by others. By sending User Generated Content on, to or through the Services, you release Red Hat of any duty or obligation it might otherwise have to review or act in response to the User Generated Content, and of any duty or obligation that it might otherwise have to you in connection with any action it chooses to take in response to your User Generated Content. Red Hat maintains a strict policy of not accepting or considering any creative ideas, suggestions or materials from the public ("Unsolicited Idea(s)") and therefore you should not submit any Unsolicited Ideas to Red Hat in any User Generated Content on, to or through the Services or otherwise. Red Hat does not wish to receive Unsolicited Ideas from Attendees and has expressly advised Attendees not to submit them. If you nonetheless intend to submit an Unsolicited Idea, Red Hat strongly recommends that you first consult an attorney in order to evaluate the effect that submitting such an Unsolicited Idea would have on any rights that you might otherwise have. Nonetheless, if an Attendee does send Red Hat an Unsolicited Idea that is not already protected by a United States patent or is not public information, it immediately becomes the property of Red Hat. By submitting an Unsolicited Idea to Red Hat, you agree to convey your ownership interest in the Unsolicited Idea to Red Hat, and that Red Hat will exclusively own all rights, title and interest therein. Furthermore, Red Hat will be free to use, without any compensation to you whatsoever, any concepts, ideas, know-how or techniques contained in any Unsolicited Idea for any purpose whatsoever, including but not limited to developing, manufacturing, and marketing products using such information. Red Hat will not be liable for such use or disclosure of such Unsolicited Idea or for any similarities in the Unsolicited Idea and any future Red Hat uses or activities.unlawful content;

By using the Service, you represent that you meet these requirements and enter into this Agreement that you must agree to be 18 or older and not be barred from doing so under any applicable laws in your country of residence. Any material changes will be communicated to you as soon as reasonably possible. You may stop using the Services if you do not agree to the changes. Your acceptance of and/or continued use of the Services after the notification of changes to this Agreement or the Services will constitute your acceptance of changes. When you use the Services, submit forms or send emails to Red Hat, you are communicating with Red Hat electronically. You consent to receive communications from Red Hat electronically. Red Hat will communicate with Attendees by email, or by posting notices on the Services. You agree that the origination of debit card and/or ACH transactions to your checking or savings account(s) and your use of the Online Loan Payment Service must and will comply with the laws of the United States of America and any local, state, or international laws or regulations. You agree that you are using your identity, you are 18 years old or older, you are legally authorized to use the bank account(s) that you have entered in the service and any information you provide is accurate and complete. You have read and agreed to our Privacy Policy. You agree to indemnify and hold us harmless for all agreements, notices, disclosures costs and other communications fees (including without limitation NSF fees) arising out of your violation of these terms and conditions. Types of Payments through the Service The Service is provided solely for the purpose of facilitating payments on your Loan through authorizing a Payment from your Funding Account to you electronically satisfy any legal requirement that such communications be in writingyour ▇▇▇▇▇▇ Account. Any Attendee information that Payments may be collected made through debit card or ACH transactions. The Service shall not be used for any other purpose. Payment Authorization and Payment Remittance You authorize us to follow the Payment Instructions received from you. When we receive a Payment Instruction from you, you authorize us to debit or charge your Funding Account for the amount of any Payment at the time you initiate the Payment Instruction, and to remit funds on your behalf. You also authorize us to credit your Funding Account, in the event that any Payments are returned to us because the processing of the Payment Instruction could not be completed. In order to process Payments more efficiently and effectively, we may edit or alter payment data or data formats. You certify that any Funding Account you add to your profile or otherwise utilize in connection with the Event Service is an account from which you are authorized to make payments, and any Payment you make using the Service will be used debit/charge a Funding Account that you are legally authorized to use. We will use reasonable efforts to complete your Payments properly. However, we shall incur no liability if the Service is unable to complete any Payments initiated by Red Hat and its affiliates and subsidiaries for legitimate business purposes in accordance with its Privacy Statement, which is incorporated you because of the existence of any one or more of the following circumstances or other reasons identified in this Agreement. We may share information : If your Funding Account does not contain sufficient funds to complete the transaction or the transaction would exceed the credit limit of your overdraft account; If our payment processing center is not working properly and you know or have been advised about the malfunction before you within Red Hat and transfer it to countries in execute the world where we do business in accordance transaction; If you have not provided us with our Privacy Statement. This information may also be shared with vendors offering services, such as our event platform provider and event support agency, as well as check-in, badgingthe correct Funding Account information, or mobile appsother required information; If circumstances beyond our control (such as, related but not limited to, fire, flood, or other acts of God, third party systems, or interference from an outside force) prevent the proper execution of the transaction; and/ or If you failed to Eventfollow our instructions for the use of the Service. Red Hat may also access and/or disclose your information Provided none of the foregoing exceptions are applicable, if we believe such action is necessary cause an incorrect amount of funds to (a) be removed from your Funding Account or cause funds from your Funding Account to be directed in a manner that does not comply with your Payment Instructions, we will be liable for your losses or damages; provided, however, that to the law maximum extent permitted by law, our sole responsibility to you shall be to return the improperly transferred funds to your Funding Account or legal process served on Red Hatto direct any previously misdirected Payments to the ▇▇▇▇▇▇, (b) protect and defend ▇▇▇▇▇▇ Bank. You are responsible for ensuring that there are sufficient funds available in your Funding Account to cover any amount you authorize for payment. If you do not have sufficient funds in your Funding Account, your Payment may not be processed. In the rights or property of Red Hat (event your Payment is not processed for any reason, including the enforcement of our agreements)failure to obtain an authorization from your financial institution, or (c) act in urgent circumstances to protect you have not provided us with the personal safety of other attendees, Red Hat employees or contingent staff, users of Red Hat services, or members of the public. Other than personally identifiable correct information, which is covered in Supplemental Termsyour liability shall remain outstanding and unpaid, any reviews, comment, questions, ideas, suggestions, photos, images and other material you send or post to the Services (“User Generated Content”) will be considered non-confidential subject to all applicable penalties, late fees and non-proprietaryinterest charges assessed thereon, all of which obligations remain your sole responsibility. The Services Any fees associated with your Funding Account, including without limitation any assessed by your financial institution, will continue to apply. You are not designed to accept User Generated Content. While Red Hat does not expect that you will send or post any User Generated Content in connection with these Services, Red Hat will have no obligations with respect to User Generated Content. By posting, uploading, adding, communicating, storing, or otherwise transmitting User Generated Content on, to, or through the Services, you understand and agree that you are giving Red Hat a royalty free, irrevocable, perpetual, non-exclusive and fully sub-licensable license to edit, alter, broadcast, post, publish, copy, disclose, distribute, perform, create derivative works from, incorporate and otherwise use the User Generated Content and images, sounds, text, and other things embodied therein also responsible for any and all purposes, including commercial, promotional, or marketing purposes throughout the world in any form, medium, or technology now known or later developed. You agree that none of your User Generated Content will include material that: ● Is unlawful, threatening, libelous, defamatory, indecent, obscene, pornographic, or telephone access fees and/or Internet service fees that may violate any law; ● Could interfere with anyone else’s use of the Services; ● Encourages or incites anyone to break the law; ● Violates the rights of any party, including copyrights and other property right and rights of privacy, or that includes personal or sensitive information regarding you or another person; ● Contains a virus or any other harmful or potentially harmful component; or ● Contains false or misleading statements of fact or descriptions of the origin of the material or the communication. No Obligation to Monitor. Although you are solely responsible for the content provided be assessed by you, Red Hat may, but is not required to, monitor User Generated Content. If Red Hat becomes aware of User Generated Content that violates this Agreement that it believes to be obscene, lewd, lascivious, filthy, excessively violent, harassing, or otherwise objectionable, Red Hat may act to restrict access to or availability of the material your telephone and/or Services, without notice to you and in its sole discretion, or may take other action as described elsewhere in this Agreement. Internet transmissions are never completely private or secure. You understand that any User Generated Content that you send through the Services may be read or intercepted by others. By sending User Generated Content on, to or through the Services, you release Red Hat of any duty or obligation it might otherwise have to review or act in response to the User Generated Content, and of any duty or obligation that it might otherwise have to you service provider in connection with your utilization of the Service. If your Payment is received by us after the due date, regardless of any action cause except for our failure to reasonably process your explicit payment instruction actually received by us, then you will remain responsible for any late charges and interest assessed, the same as if you mailed your payment to us and we received it chooses after the due date. This would be true even if you are unable to take in response access the system due to your User Generated Contentproblems with the Internet, or our servers being temporarily unavailable. Red Hat maintains a strict policy of not accepting or considering any creative ideasTherefore, suggestions or materials from we recommend that you instruct the public Service to initiate each payment to us at least four ("Unsolicited Idea(s)"4) and therefore you should not submit any Unsolicited Ideas to Red Hat in any User Generated Content on, to or through Business Days before the Services or otherwise. Red Hat does not wish to receive Unsolicited Ideas from Attendees and has expressly advised Attendees not to submit themactual due date. If you nonetheless intend use the Service to submit an Unsolicited Ideasend us your payment instructions after 6:00 pm (ET) on a Business Day, Red Hat strongly recommends that you first consult an attorney then the Service will treat your instruction as if it were received on the following business day. It is the day we receive payment from you, and not the day we receive your instructions, which determines when your Payment was received. As used in order these Terms and Conditions, our "Business Days" are Monday through Friday, excluding federal banking holidays. You may be permitted to evaluate cancel or edit a Payment via Online Loan Payment portal or calling in until 4:00 pm until such time as the effect that submitting processing of the Payment Instruction has begun (presently 6:00 pm (ET) on each Business Day, but such an Unsolicited Idea would have on time may change in our discretion). If permitted, there is no charge for canceling or editing a Payment prior to the processing of the Payment Instruction. Returned Payments ▇▇▇▇▇▇ Bank reserves the right to return any rights that you might otherwise havePayment for any reason. Nonetheless, if an Attendee does send Red Hat an Unsolicited Idea that is not already protected by a United States patent or is not public information, it immediately becomes In using the property of Red Hat. By submitting an Unsolicited Idea to Red HatService, you agree to convey your ownership interest in the Unsolicited Idea to Red Hatunderstand that Payments may be returned for various reasons, and that Red Hat will exclusively own all rightssuch as, title and interest therein. Furthermore, Red Hat will be free to use, without any compensation to you whatsoever, any concepts, ideas, know-how or techniques contained in any Unsolicited Idea for any purpose whatsoever, including but not limited to, the ▇▇▇▇▇▇ Account number is not valid; we are unable to developing, manufacturing, locate your ▇▇▇▇▇▇ Account; your ▇▇▇▇▇▇/loan account is in foreclosure; or your ▇▇▇▇▇▇/loan account is paid in full. We will use reasonable efforts to research and marketing products using correct the returned payment or void the payment and credit your Funding Account. You may receive notification regarding any such informationreturned payments. Red Hat will not You may be liable for such use assessed fees by your financial institution as the result of any returns or disclosure of such Unsolicited Idea or for any similarities in the Unsolicited Idea and any future Red Hat uses or activitiesinsufficient funds related to your Funding Account.

Red Hat may also access and/or disclose your information if we believe such action is necessary to (a) comply with the law or legal process served on Red Hat, (b) protect and defend the rights or property of Red Hat (including the enforcement of our agreements), or (c) act in urgent circumstances to protect the personal safety of other attendees, Red Hat employees or contingent staff, users of Red Hat services, or members of the public. Red Hat maintains a strict policy of not accepting or considering any creative ideas, suggestions or materials from the public ("Unsolicited Idea(s)") and therefore you should not submit any Unsolicited Ideas to Red Hat in any User Generated Content on, to or through the Services or otherwise. Red Hat does not wish to receive Unsolicited Ideas from Attendees and has expressly advised Attendees not to submit them. If you nonetheless intend to submit an Unsolicited Idea, Red Hat strongly recommends that you first f irst consult an attorney in order to evaluate the effect that submitting such an Unsolicited Idea would have on any rights that you might otherwise have. Nonetheless, if an Attendee does send Red Hat an Unsolicited Idea that is not already protected by a United States patent or is not public information, it immediately becomes the property of Red Hat. By submitting an Unsolicited Idea to Red Hat, you agree to convey your ownership interest in the Unsolicited Idea to Red Hat, and that Red Hat will exclusively own all rights, title and interest therein. Furthermore, Red Hat will be free to use, without any compensation to you whatsoever, any concepts, ideas, know-how or techniques contained in any Unsolicited Idea for any purpose whatsoever, including but not limited to developing, manufacturing, and marketing products using such information. Red Hat will not be liable for such use or disclosure of such Unsolicited Idea or for any similarities in the Unsolicited Idea and any future Red Hat uses or activities.. Mixed Media Release As an Attendee of Event, you understand that at activities and promotions offered at the Event by Red Hat, you may be photographed and/or recorded, including User Generated Content. You hereby irrevocably consent and authorize Red Hat to use any image of your appearance, including without limitation any photo, video, or likeness, (collectively, “Images”) that Red Hat has taken while you attend the Event, or any User Generated Content for any and all purposes deemed appropriate by Red Hat, which may include, but are not limited to, use in a promotional video, film, or photograph, and exhibition, a public display, commercials, art and advertising, or for any other related purpose on Red Hat’s website, in literature, publications, and on the internet without any fee whatsoever. You further acknowledge that Red Hat is the owner of all rights in and to the video, film, or photograph, and any reproduction thereof or any User Generated Content, of all Attendee’s' images. Event Code of Behavior

Eligibility. In You understand and agree that in order to use the Services and enter into this Agreement Services, you must have an account in good standing. You understand that if you disclose your Account Information to any person(s), you have given them access to your account(s) via the Services including the ability to review all of your personal and financial information and to engage in account transactions. All transactions that person performs, even those transactions you did not intend or want performed, are authorized transactions. Transactions that you or that person initiates with fraudulent intent are also authorized transactions. In such instances, you assume all risks and losses associated with such disclosure and you agree to be 18 or older responsible for any transaction and not activities performed from your accounts and for use of any of your personal and account information by such person(s). We are entitled to act on all transaction instructions received using your PIN, which will have the same effect as your signature for the purpose of authorizing transactions. If you authorize anyone to use your Account Information in any manner, that authority will be barred from doing so under considered valid until you specifically revoke such authority by notifying us in writing, and immediately changing your PIN. You will be responsible for any applicable laws transactions made by such authorized persons up to the time you notify us of the revocation and the PIN has been changed. If you fail to maintain the security of your PIN and the Credit Union suffers a loss as a result, we may terminate your access to the Online Banking Services immediately, as determined in our sole discretion. If you voluntarily subscribe to a third-party account aggregation service where your country of residence. Attendee participation in certain event activities, such selected American First Credit Union deposit and/or loan account(s) as activities involving alcohol, well as your accounts at other financial/investment institutions may be limited in order accessed on a website, you may be required to comply with applicable laws and regulations Occasionally Red Hat may, in its sole discretion, make changes give your American First Credit Union PINs to the Services and this Agreement. Any material changes will be communicated to you as soon as reasonably possibleaggregate service provider. You may stop using the Services if you do not agree to the changes. Your acceptance of and/or continued use of the Services after the notification of changes to this Agreement or the Services will constitute your acceptance of changes. When you use the Services, submit forms or send emails to Red Hatunderstand that by doing so, you are communicating with Red Hat electronicallyproviding the aggregate service provider access to your American First Credit Union accounts. You consent To enable biometric authentication (TouchID and Face ID) to receive communications from Red Hat electronically. Red Hat will communicate with Attendees by emaillogin to your account, or by posting notices you are required to remember your username on the Servicesaccess device. You agree that all agreements, notices, disclosures and other communications provided to you electronically satisfy any legal requirement that such communications be in writing. Any Attendee information that may be collected in connection with the Event will be used by Red Hat and its affiliates and subsidiaries for legitimate business purposes in accordance with its Privacy Statement, which is incorporated in this Agreement. We may share information about you within Red Hat and transfer it to countries in the world where we do business in accordance with our Privacy Statement. This information may also be shared with vendors offering services, such as our event platform provider and event support agency, as well as check-in, badging, or mobile apps, related to Event. Red Hat may also access and/or disclose your information if we believe such action is necessary to (a) comply with the law or legal process served on Red Hat, (b) protect and defend the rights or property of Red Hat (including the enforcement of our agreements), or (c) act in urgent circumstances to protect the personal safety of other attendees, Red Hat employees or contingent staff, users of Red Hat services, or members of the public. Other than personally identifiable information, which is covered in Supplemental Terms, any reviews, comment, questions, ideas, suggestions, photos, images and other material you send or post to the Services (“User Generated Content”) will be considered non-confidential and non-proprietary. The Services are not designed to accept User Generated Content. While Red Hat does not expect that you will send or post any User Generated Content in connection with these Services, Red Hat will have no obligations with respect to User Generated Content. By posting, uploading, adding, communicating, storing, or otherwise transmitting User Generated Content on, to, or through the ServicesOnce enabled, you understand and agree that any TouchID /Face ID stored on the access device can be used to access your accounts in Mobile Banking. Family and friends that may know your passcode could access your device and access your accounts. It is your responsibility to keep the passcode to your device secure to prevent unauthorized access to your accounts. We do not control the functionality of Face ID. There may be circumstances where Face ID will not function as expected and we may ask you to log in using your password. Your role is very important in the prevention of any wrongful use of your account. You must promptly examine your periodic statements upon receipt. If you find that your records and ours disagree, you must immediately call us. For your protection, sign off after every session and close your browser to ensure confidentiality. To maintain the security and privacy of your account, we recommend that you periodically change your PIN. You are giving Red Hat a royalty free, irrevocable, perpetual, non-exclusive and fully sub-licensable license to edit, alter, broadcast, post, publish, copy, disclose, distribute, perform, create derivative works from, incorporate and otherwise use the User Generated Content and images, sounds, text, responsible for keeping your PINs and other things embodied therein for Account Information confidential. Neither the Credit Union nor any and all purposes, including commercial, promotional, company affiliated with the Credit Union will contact you via email or marketing purposes throughout the world in phone requesting your Online Banking PIN. If you believe that your PIN or any form, medium, other Account Information may have been lost or technology now known or later developed. You agree that none of your User Generated Content will include material that: ● Is unlawful, threatening, libelous, defamatory, indecent, obscene, pornographicstolen, or that may violate any law; ● Could interfere with anyone else’s use of the Services; ● Encourages or incites anyone to break the law; ● Violates the rights of any party, including copyrights and other property right and rights of privacy, or that includes personal or sensitive information regarding you or another person; ● Contains a virus or any other harmful or potentially harmful component; or ● Contains false or misleading statements of fact or descriptions of the origin of the material or the communication. No Obligation to Monitor. Although you are solely responsible for the content provided by you, Red Hat may, but is not required to, monitor User Generated Content. If Red Hat becomes aware of User Generated Content that violates this Agreement that it believes to be obscene, lewd, lascivious, filthy, excessively violent, harassing, or otherwise objectionable, Red Hat may act to restrict access to or availability of the material and/or Services, without notice to you and in its sole discretion, someone has transferred or may take other action as described elsewhere in this Agreement. Internet transmissions are never completely private or secure. You understand that any User Generated Content that you send through the Services may be read or intercepted by others. By sending User Generated Content ontransfer money from your account without your permission, to or through the Services, you release Red Hat of any duty or obligation it might otherwise have to review or act in response to the User Generated Content, and of any duty or obligation that it might otherwise have to you in connection with any action it chooses to take in response to your User Generated Content. Electronic Communication When you use the Services, submit forms or send emails to Red Hat, you are communicating with Red Hat electronically. You consent to receive communications from Red Hat electronically. Red Hat will communicate with Attendees by email, or by posting notices on the Services. You agree that all agreements, notices, disclosures and other communications provided to you electronically satisfy any legal requirement that such communications be in writing. Data Privacy Any Attendee information that may be collected in connection with the Event will be used by Red Hat and its affiliates and subsidiaries for legitimate business purposes in accordance with its Privacy Statement, which is incorporated in this Agreement. We may share information about you within Red Hat and transfer it to countries in the world where we do business in accordance with our Privacy Statement. This information may also be shared with vendors offering services, such as our event platform provider and event support agency, as well as check-in, badging, or mobile apps, related to Event. Red Hat may also access and/or disclose your information if we believe such action is necessary to (a) comply with the law or legal process served on Red Hat, (b) protect and defend the rights or property of Red Hat (including the enforcement of our agreements), or (c) act in urgent circumstances to protect the personal safety of other attendees, Red Hat employees or contingent staff, users of Red Hat services, or members of the public. User Generated Content Other than personally identifiable information, which is covered in Supplemental Terms, any reviews, comment, questions, ideas, suggestions, photos, images and other material you send or post to the Services (“User Generated Content”) will be considered non-non- confidential and non-proprietary. You further acknowledge that Red Hat is the owner of all rights in and to the video, film, or photograph, and any reproduction thereof or any User Generated Content, of all Attendee’s' images. Eligibility. The Site and the Service are offered only to individuals who can form legally binding contracts under applicable law and, with respect to Payments made using an eligible Funding Account. Without limiting the foregoing, the Service is not offered to minors. Commercial entities such as commercial payment aggregators may not use the Site or Service in connection with providing payment services on behalf of third parties. By executing a transaction, making a payment, or otherwise utilizing this Site or Service, you represent: (i) that You are a customer of the ▇▇▇▇▇▇, (ii) that You are using the Site or Services and/or submitting a Payment Instruction on Your own behalf, or as an employee, owner, or principal of the ▇▇▇▇▇▇ customer, (iii) that You are not using the Site or Service under a claim of agency or other third- party relationship on behalf of a ▇▇▇▇▇▇ customer, and (iv) that You are not using the Site or Service for profit, financial gain, or any commercial benefit. You hereby agree to be liable to us for all interchange fees and merchant fees, and all other costs and fees associated with processing all Payments and Service transactions submitted by You in violation of this Section. You further agree to be liable to us for all other damages, costs, fees, expenses, and reasonable attorney fees incurred by us arising out of, or related to, Your breach of this Section. PAYMENT AUTHORIZATION, PAYMENT REMITTANCE, AND FEES You authorize us to follow the Payment Instructions received from you. When we receive a Payment Instruction from you, you authorize us to debit or charge your Funding Account for the amount of any Payment plus any related fees in effect at the time you initiate the Payment Instruction, and to remit funds on your behalf. YOU ACKNOWLEDGE AND AGREE THAT A FEE MAY BE CHARGED TO YOU TO PROCESS PAYMENTS PURSUANT TO THIS AGREEMENT. ANY SUCH FEES WILL BE DISPLAYED TO YOU PRIOR TO FINALIZING THE PAYMENT INSTRUCTION. You also authorize us to credit your Funding Account in the event that any Payments are returned to us because the processing of the Payment Instruction could not be completed. In order to use the Services process Payments more efficiently and enter into this Agreement you must be 18 effectively, we may edit or older and not be barred from doing so under any applicable laws in your country of residence. Attendee participation in certain event activities, such as activities involving alcohol, may be limited in order to comply with applicable laws and regulations Occasionally Red Hat may, in its sole discretion, make changes to the Services and this Agreement. Any material changes will be communicated to you as soon as reasonably possiblealter payment data or data formats. You may stop using the Services if certify that any Funding Account you do not agree add to the changes. Your acceptance of and/or continued use of the Services after the notification of changes to this Agreement your profile or the Services will constitute your acceptance of changes. When you use the Services, submit forms or send emails to Red Hat, you are communicating with Red Hat electronically. You consent to receive communications from Red Hat electronically. Red Hat will communicate with Attendees by email, or by posting notices on the Services. You agree that all agreements, notices, disclosures and other communications provided to you electronically satisfy any legal requirement that such communications be in writing. Any Attendee information that may be collected otherwise utilize in connection with the Event Service is an account from which you are authorized to make payments, and any Payment you make using the Service will be used debit/charge a Funding Account that you are legally authorized to use. We will use reasonable efforts to complete your Payments properly. However, we shall incur no liability if the Service is unable to complete any Payments initiated by Red Hat and its affiliates and subsidiaries for legitimate business purposes in accordance with its Privacy Statement, which is incorporated you because of the existence of any one or more of the following circumstances or other reasons identified in this Agreement. We may share information about you within Red Hat and transfer it to countries in the world where we do business in accordance with our Privacy Statement. This information may also be shared with vendors offering services, such as our event platform provider and event support agency, as well as check-in, badging, or mobile apps, related to Event. Red Hat may also access and/or disclose your information if we believe such action is necessary to (a) comply with the law or legal process served on Red Hat, (b) protect and defend the rights or property of Red Hat (including the enforcement of our agreements), or (c) act in urgent circumstances to protect the personal safety of other attendees, Red Hat employees or contingent staff, users of Red Hat services, or members of the public. Other than personally identifiable information, which is covered in Supplemental Terms, any reviews, comment, questions, ideas, suggestions, photos, images and other material you send or post to the Services (“User Generated Content”) will be considered non-confidential and non-proprietary. The Services are not designed to accept User Generated Content. The Site and the Service are offered only to individuals who can form legally binding contracts under applicable law and, with respect to Payments made using checking, savings, or debit cards, use bank accounts held at FDIC or equivalent insured United States depository institutions. Without limiting the foregoing, the Service is not offered to minors. Commercial entities, including without limitation commercial payment aggregators, may not use the Site or Service, with the exception that an authorized representative of a commercial entity who holds a ▇▇▇▇▇▇ Account may use the Site or Service to initiate a Payment to such commercial entity’s own ▇▇▇▇▇▇ Account. By using the Service, you represent that you meet these requirements and that you agree to be bound by this Agreement. You agree to indemnify and hold us harmless for all costs and fees (including without limitation interchange fees and merchant fees) arising out of your violation of this Section. You authorize us to follow the Payment Instructions received from you. When we receive a Payment Instruction from you, you authorize us to debit or charge your Funding Account for the amount of any Payment plus any related fees in effect at the time you initiate the Payment Instruction, and to remit funds on your behalf. YOU ACKNOWLEDGE AND AGREE THAT A FEE OF $10.00 MAY BE CHARGED TO YOU TO PROCESS PAYMENTS PURSUANT TO THIS AGREEMENT. ANY SUCH FEES WILL BE DISPLAYED TO YOU PRIOR TO FINALIZING THE PAYMENT INSTRUCTION. YOU HEREBY AGREE TO PAY ANY SUCH APPLICABLE FEES WHICH MAY BE CHARGED REGARDLESS OF WHETHER THE PAYMENT INSTRUCTION IS COMPLETED. You also authorize us to credit your Funding Account, in the event that any Payments are returned to us because the processing of the Payment Instruction could not be completed. In order to use the Services process Payments more efficiently and enter into this Agreement you must be 18 effectively, we may edit or older and not be barred from doing so under any applicable laws in your country of residence. Attendee participation in certain event activities, such as activities involving alcohol, may be limited in order to comply with applicable laws and regulations Occasionally Red Hat may, in its sole discretion, make changes to the Services and this Agreement. Any material changes will be communicated to you as soon as reasonably possiblealter payment data or data formats. You may stop using the Services if certify that any Funding Account you do not agree add to the changes. Your acceptance of and/or continued use of the Services after the notification of changes to this Agreement your profile or the Services will constitute your acceptance of changes. When you use the Services, submit forms or send emails to Red Hat, you are communicating with Red Hat electronically. You consent to receive communications from Red Hat electronically. Red Hat will communicate with Attendees by email, or by posting notices on the Services. You agree that all agreements, notices, disclosures and other communications provided to you electronically satisfy any legal requirement that such communications be in writing. Any Attendee information that may be collected otherwise utilize in connection with the Event Service is an account from which you are authorized to make payments, and any Payment you make using the Service will be used debit/charge a Funding Account that you are legally authorized to use. We will use reasonable efforts to complete your Payments properly. However, we shall incur no liability if the Service is unable to complete any Payments initiated by Red Hat and its affiliates and subsidiaries for legitimate business purposes in accordance with its Privacy Statement, which is incorporated you because of the existence of any one or more of the following circumstances or other reasons identified in this Agreement. We may share information about you within Red Hat and transfer it to countries in the world where we do business in accordance with our Privacy Statement. This information may also be shared with vendors offering services, such as our event platform provider and event support agency, as well as check-in, badging, or mobile apps, related to Event. Red Hat may also access and/or disclose your information if we believe such action is necessary to (a) comply with the law or legal process served on Red Hat, (b) protect and defend the rights or property of Red Hat (including the enforcement of our agreements), or (c) act in urgent circumstances to protect the personal safety of other attendees, Red Hat employees or contingent staff, users of Red Hat services, or members of the public. Other than personally identifiable information, which is covered in Supplemental Terms, any reviews, comment, questions, ideas, suggestions, photos, images and other material you send or post to the Services (“User Generated Content”) will be considered non-confidential and non-proprietary. The Services are not designed to accept User Generated Content. While Red Hat does not expect that you will send or post any User Generated Content in connection with these Services, Red Hat will have no obligations with respect to User Generated Content. By posting, uploading, adding, communicating, storing, or otherwise transmitting User Generated Content on, to, or through the Services, you understand and agree that you are giving Red Hat a royalty free, irrevocable, perpetual, non-exclusive and fully sub-licensable license to edit, alter, broadcast, post, publish, copy, disclose, distribute, perform, create derivative works from, incorporate and otherwise use the User Generated Content and images, sounds, text, and other things embodied therein for any and all purposes, including commercial, promotional, or marketing purposes throughout the world in any form, medium, or technology now known or later developed. You agree that none of your User Generated Content will include material that: ● Is unlawful, threatening, libelous, defamatory, indecent, obscene, pornographic, or that may violate any law; ● Could interfere with anyone else’s use of the Services; ● Encourages or incites anyone to break the law; ● Violates the rights of any party, including copyrights and other property right and rights of privacy, or that includes personal or sensitive information regarding you or another person; ● Contains a virus or any other harmful or potentially harmful component; or ● Contains false or misleading statements of fact or descriptions of the origin of the material or the communication. No Obligation to Monitor. Although you are solely responsible for the content provided by you, Red Hat may, but is not required to, monitor User Generated Content. If Red Hat becomes aware of User Generated Content that violates this Agreement that it believes to be obscene, lewd, lascivious, filthy, excessively violent, harassing, or otherwise objectionable, Red Hat may act to restrict access to or availability of the material and/or Services, without notice to you and in its sole discretion, or may take other action as described elsewhere in this Agreement. Internet transmissions are never completely private or secure. You understand that any User Generated Content that you send through the Services may be read or intercepted by others. By sending User Generated Content on, to or through the Services, you release Red Hat of any duty or obligation it might otherwise have to review or act in response to the User Generated Content, and of any duty or obligation that it might otherwise have to you in connection with any action it chooses to take in response to your User Generated Content. Red Hat maintains a strict policy of not accepting or considering any creative ideas, suggestions or materials from the public ("Unsolicited Idea(s)") and therefore you should not submit any Unsolicited Ideas to Red Hat in any User Generated Content on, to or through the Services or otherwise. Red Hat does not wish to receive Unsolicited Ideas from Attendees and has expressly advised Attendees not to submit them. If you nonetheless intend to submit an Unsolicited Idea, Red Hat strongly recommends that you first consult an attorney in order to evaluate the effect that submitting such an Unsolicited Idea would have on any rights that you might otherwise have. Nonetheless, if an Attendee does send Red Hat an Unsolicited Idea that is not already protected by a United States patent or is not public information, it immediately becomes the property of Red Hat. By submitting an Unsolicited Idea to Red Hat, you agree to convey your ownership interest in the Unsolicited Idea to Red Hat, and that Red Hat will exclusively own all rights, title and interest therein. Furthermore, Red Hat will be free to use, without any compensation to you whatsoever, any concepts, ideas, know-how or techniques contained in any Unsolicited Idea for any purpose whatsoever, including but not limited to developing, manufacturing, and marketing products using such information. Red Hat will not be liable for such use or disclosure of such Unsolicited Idea or for any similarities in the Unsolicited Idea and any future Red Hat uses or activities.:
