Common use of Eligibility Clause in Contracts

Eligibility. In order to use the Services and enter into this Agreement you must be 18 or older and not be barred from doing so under any applicable laws in your country of residence. Attendee participation in certain event activities, such as activities involving alcohol, may be limited in order to comply with applicable laws and regulations Occasionally Red Hat may, in its sole discretion, make changes to the Services and this Agreement. Any material changes will be communicated to you as soon as reasonably possible. You may stop using the Services if you do not agree to the changes. Your acceptance of and/or continued use of the Services after the notification of changes to this Agreement or the Services will constitute your acceptance of changes. When you use the Services, submit forms or send emails to Red Hat, you are communicating with Red Hat electronically. You consent to receive communications from Red Hat electronically. Red Hat will communicate with Attendees by email, or by posting notices on the Services. You agree that all agreements, notices, disclosures and other communications provided to you electronically satisfy any legal requirement that such communications be in writing. Any Attendee information that may be collected in connection with the Event will be used by Red Hat and its affiliates and subsidiaries for legitimate business purposes in accordance with its Privacy Statement, which is incorporated in this Agreement. We may share information about you within Red Hat and transfer it to countries in the world where we do business in accordance with our Privacy Statement. This information may also be shared with vendors offering services, such as our event platform provider and event support agency, as well as check-in, badging, or mobile apps, related to Event. Red Hat may also access and/or disclose your information if we believe such action is necessary to (a) comply with the law or legal process served on Red Hat, (b) protect and defend the rights or property of Red Hat (including the enforcement of our agreements), or (c) act in urgent circumstances to protect the personal safety of other attendees, Red Hat employees or contingent staff, users of Red Hat services, or members of the public. Other than personally identifiable information, which is covered in Supplemental Terms, any reviews, comment, questions, ideas, suggestions, photos, images and other material you send or post to the Services (“User Generated Content”) will be considered non-confidential and non-proprietary. The Services are not designed to accept User Generated Content. While Red Hat does not expect that you will send or post any User Generated Content in connection with these Services, Red Hat will have no obligations with respect to User Generated Content. By posting, uploading, adding, communicating, storing, or otherwise transmitting User Generated Content on, to, or through the Services, you understand and agree that you are giving Red Hat a royalty free, irrevocable, perpetual, non-exclusive and fully sub-licensable license to edit, alter, broadcast, post, publish, copy, disclose, distribute, perform, create derivative works from, incorporate and otherwise use the User Generated Content and images, sounds, text, and other things embodied therein for any and all purposes, including commercial, promotional, or marketing purposes throughout the world in any form, medium, or technology now known or later developed. You agree that none of your User Generated Content will include material that: ● Is unlawful, threatening, libelous, defamatory, indecent, obscene, pornographic, or that may violate any law; ● Could interfere with anyone else’s use of the Services; ● Encourages or incites anyone to break the law; ● Violates the rights of any party, including copyrights and other property right and rights of privacy, or that includes personal or sensitive information regarding you or another person; ● Contains a virus or any other harmful or potentially harmful component; or ● Contains false or misleading statements of fact or descriptions of the origin of the material or the communication. No Obligation to Monitor. Although you are solely responsible for the content provided by you, Red Hat may, but is not required to, monitor User Generated Content. If Red Hat becomes aware of User Generated Content that violates this Agreement that it believes to be obscene, lewd, lascivious, filthy, excessively violent, harassing, or otherwise objectionable, Red Hat may act to restrict access to or availability of the material and/or Services, without notice to you and in its sole discretion, or may take other action as described elsewhere in this Agreement. Internet transmissions are never completely private or secure. You understand that any User Generated Content that you send through the Services may be read or intercepted by others. By sending User Generated Content on, to or through the Services, you release Red Hat of any duty or obligation it might otherwise have to review or act in response to the User Generated Content, and of any duty or obligation that it might otherwise have to you in connection with any action it chooses to take in response to your User Generated Content. Red Hat maintains a strict policy of not accepting or considering any creative ideas, suggestions or materials from the public ("Unsolicited Idea(s)") and therefore you should not submit any Unsolicited Ideas to Red Hat in any User Generated Content on, to or through the Services or otherwise. Red Hat does not wish to receive Unsolicited Ideas from Attendees and has expressly advised Attendees not to submit them. If you nonetheless intend to submit an Unsolicited Idea, Red Hat strongly recommends that you first consult an attorney in order to evaluate the effect that submitting such an Unsolicited Idea would have on any rights that you might otherwise have. Nonetheless, if an Attendee does send Red Hat an Unsolicited Idea that is not already protected by a United States patent or is not public information, it immediately becomes the property of Red Hat. By submitting an Unsolicited Idea to Red Hat, you agree to convey your ownership interest in the Unsolicited Idea to Red Hat, and that Red Hat will exclusively own all rights, title and interest therein. Furthermore, Red Hat will be free to use, without any compensation to you whatsoever, any concepts, ideas, know-how or techniques contained in any Unsolicited Idea for any purpose whatsoever, including but not limited to developing, manufacturing, and marketing products using such information. Red Hat will not be liable for such use or disclosure of such Unsolicited Idea or for any similarities in the Unsolicited Idea and any future Red Hat uses or activities.

To be eligible for Commission (i) an Affiliate Lead must be accepted and valid in accordance with the ‘Acceptance and Validity’ section, (ii) a Customer Transaction must have occurred, (iii) a Customer must remain a customer during the locking period in the Affiliate Tool (or if applicable, in the Program Policies). You are not eligible to receive Commission or any other compensation from us based on transactions for Other Products or if: (i) such compensation is disallowed by regulations of your jurisdiction or our juristication; (ii) the applicable Customer objects to or prohibits such compensation or excludes such compensation from its payments to us or The Company Affiliates; (iii) the Customer has paid or will pay such commissions, referral fees, or other compensation directly to you, (iv) the Commission payment has been obtained by fraudulent means, misuse of the Affiliate Link, in violation of any Affiliate Program Policies that we make available to you, misuse of the Affiliate Tool or by any other means that we deem to breach the spirit of the Marketing Affiliate Program, or (v) the Customer participates in any of our partner programs, including our Agency Partner Program, Sales Referral Partner Program or Sales Solutions Partner Program and is eligible to receive commission in relation to the Customer Transaction under any of these programs. If at any point you are eligible to receive a revenue share payment or commission under another Program at The Company, that payment amount will not change based on your participation in the Affiliate Program. For example, you will not be able to receive the Commission set out in this Agreement on any Partner Transaction that was completed whilst participating as a partner in the Solutions Partner Program (as defined in the Solutions Partner Program Agreement). In competitive situations with other affiliates, we may elect to provide the Commission to the affiliate that we deem to be the most eligible for Commission, at our discretion. We may discontinue Commission payments should any of the eligibility criteria set forth in this subsection fail to be met at any time. Acceptance and Validity. You will only be eligible for a Commission payment for any Customer Transactions that derived from Affiliate Leads generated by the Affiliate Link that we make available to you and are accepted by the Company. An Affiliate Lead will be considered valid and accepted if, in our reasonable determination: (i) it is a new potential customer of ours, and (ii) is not, at the time of submission or sixty (60) days prior, one of our pre-existing customers, or involved in our active sales process. Notwithstanding the foregoing, we may choose not to accept an Affiliate Lead in our reasonable discretion. If an Affiliate Lead does not purchase the Subscription Service within the time period described on the Affiliate Tool (or if applicable, in the Program Policies) of their first click on the Affiliate Link, you will not be eligible for a Commission payment, even if the Affiliate Lead decides to purchase after the time period has expired. An Affiliate Lead is not considered valid if it’s first click on the Affiliate Link is after this Agreement has expired or terminated. Engagement with Prospects. Once we have received the Affiliate Lead information, we may elect to engage with the prospect directly, regardless of whether or not the Affiliate Lead is valid. If an Affiliate Lead is not valid then we may choose to maintain it in our database and we may choose to engage with such Affiliate Lead. Any engagement between The Company and an Affiliate Lead will be at The Company’s discretion. Commission and Payment. In order to use receive payment under this Agreement, you must have: (i) agreed to the Services and enter into terms of this Agreement you must be 18 or older (generally completed through the Affiliate Tool); (ii) completed all steps necessary to create your account in the Affiliate Tool in accordance with our directions, (iii) have a valid and not be barred from doing so under up-to-date payment method in the Affiliate Tool with such account (iv) completed any applicable laws and all required tax documentation in your country of residence. Attendee participation in certain event activities, such as activities involving alcohol, order for the Affiliate Tool to process any payments that may be limited owed to you. Requirements for Payment; Forfeiture. Notwithstanding the foregoing or anything to the contrary in order this Agreement, if any of the requirements set forth in section 4(a)(i-iv) remain outstanding for six (6) months immediately following the close of a Customer Transaction, then your right to receive Commission arising from any and all Customer Transactions with the associated Customer will be forever forfeited (each, a “Forfeited Transaction”). We will have no obligation to pay you Commission associated with a Forfeited Transaction. Once you comply with all of the requirements in section 5(a)(i- iv), then you will be eligible to receive Commission on Customer Transactions, as long as these Customer Transactions do not involve the same Customer associated with a Forfeited Transaction. Attendee participation in certain event activities, such as activities involving alcohol, may be limited in order to comply with applicable laws and regulations Occasionally Red Hat may, in its sole discretion, make changes to the Services and this Agreement. Any material changes will be communicated to you as soon as reasonably possible. You may stop using the Services if you do not agree to the changes. Your acceptance of and/or continued use of the Services after the notification of changes to this Agreement or the Services will constitute your acceptance Site. Registration and Representation You must register with the Site and create a user account (a “Account”) to use many of changes. When you use the Services, submit forms or send emails including without limitation listing vehicles for sale, requesting shipping quotes, sending messages to Red HatSellers, and making offers. To create an Account, you are communicating must provide certain personal information such as your name, address, phone number and email address, along with Red Hat electronically. You consent to receive communications from Red Hat electronically. Red Hat will communicate with Attendees by email, or by posting notices on the Services. You agree that all agreements, notices, disclosures and other communications provided to you electronically satisfy any legal requirement that such communications be in writing. Any Attendee information that may be collected required from time to time. You agree: (a) to provide true, accurate, current and complete information about yourself as requested by Carketa, the Carketa Marketplace and/or by the registration forms; (b) to maintain and promptly update your Account information to keep it true, accurate, current and complete; (c) not to misrepresent yourself as a Carketa employee or agent or as any other Carketa Marketplace User or to access an Account belonging to another User; (d) not to publish your contact information or that of other Users in connection with an online public area; (e) not to create more than one Account; (f) that if we disable your Account, you will not create another one without our permission; and (g) not to transfer your Account to anyone without Carketa’s written permission. If you provide any false, inaccurate, outdated or incomplete contact information, Carketa has the Event right, without limitation, to suspend or terminate your Account, limit your Account privileges, cancel all of your listings, remove your Seller status and refuse any and all current or future use of any of the Services by you. If you believe that another Carketa Marketplace User is using false contact information, please report it using the “contact us” link at the bottom of the Site. You will contact Carketa IMMEDIATELY if anyone representing your business is no longer an authorized user. You will be used by Red Hat held responsible for any transactions on your Account up to the date you request that the User be removed. Using the Site and its affiliates Services Carketa grants a limited license to each User to make use only of the Site and subsidiaries for legitimate business purposes the Services in accordance with its Privacy Statement, which is incorporated in this Agreement. Red Hat may also access and/or disclose your information if we believe such action is necessary to (a) comply with you agree not to violate any laws, our policies, third party rights or to use the law Site for any illegal, malicious or legal process served on Red Hat, unauthorized purpose; (b) protect you represent and defend warrant that you are not under the rights or property age of Red Hat (including the enforcement of our agreements), or 18 and that you are able to form legally binding contracts; (c) act in urgent circumstances to protect the personal safety of other attendees, Red Hat employees or contingent staff, users of Red Hat services, or members of the public. Other than personally identifiable information, which is covered in Supplemental Terms, any reviews, comment, questions, ideas, suggestions, photos, images and other material you send or post to the Services (“User Generated Content”) will be considered non-confidential and non-proprietary. You certify that any Funding Account you add to your profile or otherwise utilize in connection with the Event Service is an account from which you are authorized to make payments, and any Payment you make using the Service will be used debit/charge a Funding Account that you are legally authorized to use. We will use reasonable efforts to complete your Payments properly. However, we shall incur no liability if the Service is unable to complete any Payments initiated by Red Hat and its affiliates and subsidiaries for legitimate business purposes in accordance with its Privacy Statement, which is incorporated you because of the existence of any one or more of the following circumstances or other reasons identified in this Agreement. By executing a transaction, making a payment, or otherwise utilizing this Site or Service, you represent: (i) that You are a customer of the ▇▇▇▇▇▇, (ii) that You are using the Site or Services and/or submitting a Payment Instruction on Your own behalf, or as an employee, owner, or principal of the ▇▇▇▇▇▇ customer, (iii) that You are not using the Site or Service under a claim of agency or other third- party relationship on behalf of a ▇▇▇▇▇▇ customer, and (iv) that You are not using the Site or Service for profit, financial gain, or any commercial benefit. Other than personally identifiable information, which is covered in Supplemental Terms, any reviews, comment, questions, ideas, suggestions, photos, images and other material you send or post to the Services (“User Generated Content”) will be considered non-confidential and non-proprietary. The Services are not designed to accept User Generated Content. While Red Hat does not expect that you will send or post any User Generated Content in connection with these Services, Red Hat will have no obligations with respect to User Generated Content. Eligibility. The Site and the Service are offered only to individuals who can form legally binding contracts under applicable law and, with respect to Payments made using checking, savings, or debit cards, use bank accounts held at FDIC or equivalent insured United States depository institutions. Without limiting the foregoing, the Service is not offered to minors. Commercial entities, including without limitation commercial payment aggregators, may not use the Site or Service, with the exception that an authorized representative of a commercial entity who holds a ▇▇▇▇▇▇ Account may use the Site or Service to initiate a Payment to such commercial entity’s own ▇▇▇▇▇▇ Account. By using the Service, you represent that you meet these requirements and that you agree to be bound by this Agreement. You agree to indemnify and hold us harmless for all costs and fees (including without limitation interchange fees and merchant fees) arising out of your violation of this Section. You authorize us to follow the Payment Instructions received from you. When we receive a Payment Instruction from you, you authorize us to debit or charge your Funding Account for the amount of any Payment plus any related fees in effect at the time you initiate the Payment Instruction, and to remit funds on your behalf. YOU ACKNOWLEDGE AND AGREE THAT A FEE OF $10.00 MAY BE CHARGED TO YOU TO PROCESS PAYMENTS PURSUANT TO THIS AGREEMENT. ANY SUCH FEES WILL BE DISPLAYED TO YOU PRIOR TO FINALIZING THE PAYMENT INSTRUCTION. YOU HEREBY AGREE TO PAY ANY SUCH APPLICABLE FEES WHICH MAY BE CHARGED REGARDLESS OF WHETHER THE PAYMENT INSTRUCTION IS COMPLETED. Attendee participation in certain event activities, such as activities involving alcohol, may be limited in order to comply with applicable laws and regulations Occasionally Red Hat may, in its sole discretion, make changes to the Services and this Agreement. You may stop using the Services if certify that any Funding Account you do not agree add to the changes. Your acceptance of and/or continued use of the Services after the notification of changes to this Agreement your profile or the Services will constitute your acceptance of changes. When you use the Services, submit forms or send emails to Red Hat, you are communicating with Red Hat electronically. You consent to receive communications from Red Hat electronically. Red Hat will communicate with Attendees by email, or by posting notices on the Services. You agree that all agreements, notices, disclosures and other communications provided to you electronically satisfy any legal requirement that such communications be in writing. Any Attendee information that may be collected otherwise utilize in connection with the Event Service is an account from which you are authorized to make payments, and any Payment you make using the Service will be used debit/charge a Funding Account that you are legally authorized to use. We will use reasonable efforts to complete your Payments properly. However, we shall incur no liability if the Service is unable to complete any Payments initiated by Red Hat and its affiliates and subsidiaries for legitimate business purposes in accordance with its Privacy Statement, which is incorporated you because of the existence of any one or more of the following circumstances or other reasons identified in this Agreement. We may share information about you within Red Hat and transfer it to countries in the world where we do business in accordance with our Privacy Statement. This information may also be shared with vendors offering services, such as our event platform provider and event support agency, as well as check-in, badging, or mobile apps, related to Event. Red Hat may also access and/or disclose your information if we believe such action is necessary to (a) comply with the law or legal process served on Red Hat, (b) protect and defend the rights or property of Red Hat (including the enforcement of our agreements), or (c) act in urgent circumstances to protect the personal safety of other attendees, Red Hat employees or contingent staff, users of Red Hat services, or members of the public. Other than personally identifiable information, which is covered in Supplemental Terms, any reviews, comment, questions, ideas, suggestions, photos, images and other material you send or post to the Services (“User Generated Content”) will be considered non-confidential and non-proprietary. The Services are not designed to accept User Generated Content. While Red Hat does not expect that you will send or post any User Generated Content in connection with these Services, Red Hat will have no obligations with respect to User Generated Content. By posting, uploading, adding, communicating, storing, or otherwise transmitting User Generated Content on, to, or through the Services, you understand and agree that you are giving Red Hat a royalty free, irrevocable, perpetual, non-exclusive and fully sub-licensable license to edit, alter, broadcast, post, publish, copy, disclose, distribute, perform, create derivative works from, incorporate and otherwise use the User Generated Content and images, sounds, text, and other things embodied therein for any and all purposes, including commercial, promotional, or marketing purposes throughout the world in any form, medium, or technology now known or later developed. You agree that none of your User Generated Content will include material that: ● Is unlawful, threatening, libelous, defamatory, indecent, obscene, pornographic, or that may violate any law; ● Could interfere with anyone else’s use of the Services; ● Encourages or incites anyone to break the law; ● Violates the rights of any party, including copyrights and other property right and rights of privacy, or that includes personal or sensitive information regarding you or another person; ● Contains a virus or any other harmful or potentially harmful component; or ● Contains false or misleading statements of fact or descriptions of the origin of the material or the communication. No Obligation to Monitor. Although you are solely responsible for the content provided by you, Red Hat may, but is not required to, monitor User Generated Content. If Red Hat becomes aware of User Generated Content that violates this Agreement that it believes to be obscene, lewd, lascivious, filthy, excessively violent, harassing, or otherwise objectionable, Red Hat may act to restrict access to or availability of the material and/or Services, without notice to you and in its sole discretion, or may take other action as described elsewhere in this Agreement. Internet transmissions are never completely private or secure. You understand that any User Generated Content that you send through the Services may be read or intercepted by others. By sending User Generated Content on, to or through the Services, you release Red Hat of any duty or obligation it might otherwise have to review or act in response to the User Generated Content, and of any duty or obligation that it might otherwise have to you in connection with any action it chooses to take in response to your User Generated Content. Red Hat maintains a strict policy of not accepting or considering any creative ideas, suggestions or materials from the public ("Unsolicited Idea(s)") and therefore you should not submit any Unsolicited Ideas to Red Hat in any User Generated Content on, to or through the Services or otherwise. Red Hat does not wish to receive Unsolicited Ideas from Attendees and has expressly advised Attendees not to submit them. If you nonetheless intend to submit an Unsolicited Idea, Red Hat strongly recommends that you first consult an attorney in order to evaluate the effect that submitting such an Unsolicited Idea would have on any rights that you might otherwise have. Nonetheless, if an Attendee does send Red Hat an Unsolicited Idea that is not already protected by a United States patent or is not public information, it immediately becomes the property of Red Hat. By submitting an Unsolicited Idea to Red Hat, you agree to convey your ownership interest in the Unsolicited Idea to Red Hat, and that Red Hat will exclusively own all rights, title and interest therein. Furthermore, Red Hat will be free to use, without any compensation to you whatsoever, any concepts, ideas, know-how or techniques contained in any Unsolicited Idea for any purpose whatsoever, including but not limited to developing, manufacturing, and marketing products using such information.
