Common use of Eligibility Limitations Clause in Contracts

Eligibility Limitations. The Reserve App is currently only available to individuals and institutions located in supported jurisdictions. Use of the Reserve App may have further eligibility requirements that will need to be verified prior to you registering a Reserve App Account and using certain parts of the Reserve App from time to time in order to continue your use of the Reserve App. Some functionality of the Reserve App may be limited to certain countries and/or certain users, at the sole discretion of the Company. Because we utilize a risk-based approach to our Anti-Money Laundering Program, we need to collect more and more information about you as the value of your Reserve App Account grows or your transaction amounts increase above certain thresholds. By accessing or using the Reserve App, you further represent and warrant that: a) you are neither a Restricted Person nor a resident of a Restricted Territory (each as defined in Section 23 ). b) you will not be using the Reserve App for any illegal activity, including, but not limited to, illegal gambling, money laundering, fraud, blackmail, extortion, ransoming data, terrorism financing, other violent activities or any prohibited market practices. c) if you are located in or are a citizen of Venezuela, you do not work in the petroleum, mining or gold industries, you do not currently work for the Venezuelan government, you are not conducting transactions where the source of funds involved the Petro cryptocurrency and you are not acting on behalf of anyone who would otherwise be prohibited from using the Reserve App. You also understand that there are additional representations and warranties made by you in Section 4 (Registration Process; Identity Verification) and Section 23 (Legal Compliance) and that any misrepresentation by you is a violation of this Agreement. If Company determines that you have violated this Agreement, including, but not limited to, transacting with blacklisted accounts or engaging in Restricted Activities or Prohibited Transactions then Company may be forced to take whatever action it deems necessary, including, but not limited to suspending your access to the Reserve App, closing your Reserve App Account, and freezing or confiscating your RSV or other cryptocurrencies. Notwithstanding the foregoing, Company may determine not to make the Reserve App, in whole or in part, available in every market, in its discretion, or due to legal or regulatory requirements, depending on the User’s location. We may without liability to you or any third party refuse to let you access the entire Reserve App or register a Reserve App Account.

If you are registering to use the poundtoken Services on behalf of a legal entity, you represent and warrant that (i) such legal entity is duly organized and validly existing under the applicable laws of the jurisdiction of its organization; (ii) you are duly authorized by such legal entity to act on its behalf, and (iii) such organization (and any affiliate entity) must not have been previously suspended or removed from the poundtoken Services or any other service or product offered by ▇▇▇▇▇▇▇▇▇▇.▇▇, Blackfridge SC Limited or its affiliate entities, including but not limited to Blackfridge Holdings Limited, Blackfridge AC Limited, Blackfridge EX Limited, to enter into this Agreement. Use of the Reserve App certain poundtoken Services may have further eligibility requirements that will need to be verified prior to you registering a Reserve App Account and using certain parts of the Reserve App such poundtoken Services or from time to time in order to continue your use of the Reserve App. Some functionality of the Reserve App may be limited to certain countries and/or certain users, at the sole discretion of the Company. You also understand that there are additional representations and warranties made by you in Section 4 5 (Registration Process; Identity VerificationAccuracy of Information) and Section 23 39 (Legal ComplianceCompliance with Export Restrictions) and that any misrepresentation by you is a violation of this User Agreement. If Company ▇▇▇▇▇▇▇▇▇▇.▇▇ determines or suspects that you have violated this User Agreement, including, but not limited to, transacting with blacklisted accounts Blocked Addresses (as defined in Section 14), or engaging in Restricted Activities or Prohibited Transactions then Company ▇▇▇▇▇▇▇▇▇▇.▇▇ may be forced to take whatever action it deems necessary, including, but not limited to suspending terminate your access to the Reserve App, closing your Reserve App Account, poundtoken Account and freezing or confiscating your RSV or other cryptocurrenciesyou may forfeit any funds otherwise eligible for redemption. Notwithstanding the foregoing, Company ▇▇▇▇▇▇▇▇▇▇.▇▇ may determine not to make the Reserve Apppoundtoken Services, in whole or in part, available in every market, either in its discretion, sole discretion or due to legal or regulatory requirements, depending on the User’s location. We may without liability to you or any third third-party refuse to let you access the entire Reserve App or register for a Reserve App poundtoken Account.
