Common use of Effectiveness Requirement Clause in Contracts

Effectiveness Requirement. Subject to the terms and conditions of Section 3.5(a)(vi), the Company will use its commercially reasonable efforts to keep the Shelf Registration Statement continuously effective under the Securities Act until all of the Registrable Securities covered by such Shelf Registration Statement have been sold pursuant to such Shelf Registration Statement or cease to be Registrable Securities (the “Effectiveness Period”).

Effectiveness Requirement. Subject to the terms and conditions of Section 3.5(a)(vi3.2(a)(viii), the Company will use its commercially reasonable efforts to keep the Shelf Registration Statement continuously effective under the Securities Act until all of the Registrable Securities covered by such Shelf Registration Statement have been sold pursuant to such Shelf Registration Statement or cease to be Registrable Securities or this Agreement otherwise terminates in accordance with its terms (the “Effectiveness Period”).
