Effectiveness Date. (a) The transactions provided for in Sections 3, 4, 5 and 6 hereof shall be consummated at a closing (the "Closing") to be held on the Effectiveness Date (as hereinafter defined) at the offices of Cravath, Swaine & Xxxxx, or at such other time and place as the parties shall agree.
