Common use of Effect on Obligations Clause in Contracts

Effect on Obligations. Termination of this Agreement pursuant to this Article shall terminate all obligations of the parties hereunder, except for the obligations under Sections 13.3 (with respect to expenses), 13.4 (with respect to publicity) and 7.4 (with respect to confidentiality); provided, however, that termination pursuant to Sections 12.1(b) or (c) will not relieve the defaulting or breaching party from any liability to the other party hereto. In the event of termination under Section 12.1(c), Buyer will have the rights and remedies with respect to specific performance as set forth in Section 13.14 hereof, in addition to any other remedies that may be available at law or in equity.

In the event of termination under Section 12.1(c10.1(c), Buyer will shall have the rights and remedies with respect to specific performance as set forth in Section 13.14 hereof11.11, in addition to any other remedies that may be available at law or in equity.
