Common use of Effect on Obligations Clause in Contracts

Effect on Obligations. Termination of this Agreement pursuant to this Article XI shall terminate all rights and obligations of the parties hereunder and none of the parties shall have any liability to the other party hereunder, except that Article XIII, the Confidentiality Agreement, and the last sentence of Section 4.2(a) shall remain in effect, and provided that nothing herein shall relieve any party from liability for any breach of any covenant or agreement in this Agreement or any willful and intentional breach of a representation prior to such termination in any manner that shall have proximately contributed to the occurrence of the failure of the Closing to occur.

Effect on Obligations. Termination of this Agreement pursuant to this Article XI shall terminate all rights and obligations of the parties hereunder and none of the parties shall have any liability to the other party hereunder, except that Article XIIISections 13.5, 13.7 and 13.9, the Confidentiality Agreement, Agreement and the last sentence of Section 4.2(a) 5.3 shall remain in effect, and provided that nothing herein shall relieve any party from liability for any breach of any covenant or agreement in this Agreement or any willful and intentional breach of a representation prior to such termination in any manner that shall have proximately contributed to the occurrence of the failure of the Closing to occurtermination.

Termination of this Agreement pursuant to this Article XI shall terminate all rights and obligations of the parties hereunder and none of the parties shall have any liability to the other party hereunder, except that Article XIIIfor the obligations under Sections 4.3(b), the Confidentiality Agreement12.7, 12.9 and the last sentence of Section 4.2(a) shall remain in effect12.11; provided, and provided however, that nothing herein shall relieve any party from liability for for, or be deemed to waive any rights of specific performance of this Agreement available by reason of, any willful breach of any covenant its representations, warranties, covenants or agreement agreements set forth in this Agreement or any willful and intentional breach of a representation prior to such termination in any manner that shall have proximately contributed to the occurrence of the failure of the Closing to occurAgreement.

Termination of this Agreement pursuant to this Article XI XIII shall terminate all rights and obligations of the parties hereunder and none of the parties shall have any liability to the other party hereunder, except that the provisions of Sections 5.2 and 7.3, Article XIIIXI, this Section 13.2 and Article XIV and the Confidentiality AgreementAgreement between Parent and Buyer dated June 27, and the last sentence of Section 4.2(a) 2005 shall remain in effect, and provided that nothing herein shall relieve any party from liability for any breach of any covenant or agreement in this Agreement or any willful and intentional breach of a representation prior to such termination in any manner that shall have proximately contributed to the occurrence of the failure of the Closing to occur.
