Common use of Effect on Obligations Clause in Contracts

Effect on Obligations. Termination of this Agreement pursuant to this Article 12 shall terminate all obligations of the parties hereunder, except for the obligations under Sections 14.1, 14.2, 14.8, 14.9, and 14.11; provided, however, that termination by Buyer or Seller pursuant to clauses (b) or (c) of Section 12.1 shall not relieve the defaulting or breaching party from any liability to the other party hereto.

Effect on Obligations. Termination of this Agreement pursuant to this Article 12 shall terminate all obligations obligation of the parties hereunder, except for the obligations under this Section 10.2 and Sections 14.111.2 (with respect to expenses), 14.2, 14.8, 14.9, 11.3 (with respect to publicity) and 14.115.2 (with respect to confidentiality); provided, however, that termination by Buyer or Seller pursuant to clauses (bSection 10.1(b) or (cSection 10.1(c) of Section 12.1 shall not relieve the defaulting or breaching party from any liability to the any other party heretounder this Agreement.

Effect on Obligations. Termination of this Agreement pursuant to this Article 12 8 shall terminate all obligations of the parties hereunder, except for the obligations under Sections 14.1, 14.2, 14.8, 14.9, and 14.11; provided, however, that termination by Buyer or Seller pursuant to clauses (bC) or (cD) of Section 12.1 8.1 shall not relieve the defaulting or any breaching party from any liability to the other party parties hereto.

Termination of this Agreement pursuant to this Article 12 VIII shall terminate all obligations of the parties hereunder, except for the obligations under Sections 14.19.11, 14.2, 14.8, 14.9, 9.12 and 14.119.13 and this Section 8.02; provided, however, that termination by Buyer or Seller pursuant to clauses (b) or (c) of Section 12.1 nothing shall not relieve the defaulting or breaching party (whether or not it is the terminating party) from any liability to the other party hereto.

Effect on Obligations. Termination of this Agreement pursuant to this Article 12 Section 7.1 shall terminate all obligations of the parties hereunder, except for the obligations under Sections 14.19.6, 14.29.9, 14.89.11, 14.9, 9.12 and 14.11this Section 7.2; provided, however, that termination by Buyer or Seller pursuant to clauses (b) or (c) of Section 12.1 nothing herein shall not relieve the defaulting or breaching party from any liability to the other party parties hereto.

Termination of this Agreement pursuant to this Article 12 10 shall terminate all obligations of the parties hereunder, except for the obligations under Sections 14.1, 14.2, 14.8, 14.9, and 14.11paragraph 14; provided, however, that termination by Buyer or Seller pursuant to clauses (bparagraphs 10.1(b) or (c10.1(c) of Section 12.1 shall not relieve the defaulting or breaching party from any liability to the any other party hereto.

Effect on Obligations. Termination of this Agreement pursuant to this Article 12 VIII shall terminate all obligations of the parties hereunder, except for the their obligations under Sections 14.1Section 11.06 and 11.13; PROVIDED, 14.2, 14.8, 14.9, and 14.11; provided, howeverHOWEVER, that termination by Buyer or Seller pursuant to clauses clause (b) or (c) of Section 12.1 8.01 shall not relieve the defaulting or breaching party from any liability to the other party hereto.

Effect on Obligations. Termination of this Agreement pursuant to this Article 12 Section 7 shall terminate all obligations of the parties hereunder, except for the obligations under Sections 14.18.1, 14.28.2, 14.8, 14.9, 8.9 and 14.118.12; provided, however, that termination by Buyer or Seller pursuant to clauses (b) or (c) of Section 12.1 nothing herein shall not relieve the defaulting or breaching party from any liability to the other party hereto.

Effect on Obligations. Termination of this Agreement pursuant to this Article 12 VIII shall terminate all obligations of the parties hereunder, except for the obligations under Sections 14.19.11, 14.29.12 and 9.13, 14.8, 14.9, the last sentence of Section 4.03 and 14.11this Section 8.02; provided, however, that termination by Buyer or Seller pursuant to clauses (b) or (c) of Section 12.1 nothing shall not relieve the defaulting or breaching party (whether or not it is the terminating party) from any liability to the other party hereto.

Effect on Obligations. Termination of this Agreement pursuant to this Article 12 shall terminate all obligations of the parties hereunder, except for the obligations under Sections 14.1, 14.2, 14.8, 14.9, 12.1 (with respect to expenses) and 14.1112.2 (with respect to publicity); provided, however, that termination by Buyer or Seller pursuant to clauses (bSections 11.1(b) or (c) of Section 12.1 shall will not relieve the defaulting or breaching party from any liability to the any other party hereto, in the case of fraud or an intentional default of the defaulting party.

Effect on Obligations. Termination of this Agreement pursuant to this Article 12 VII shall terminate all obligations of the parties hereunder, except for the obligations under Sections 14.1Section 10.1 (entitled "Brokerage"), 14.2, 14.8, 14.9, Section 10.2 (entitled "Expenses") and 14.11Section 10.4 (entitled "Attorneys' Fees"); provided, however, that termination by Buyer or Seller pursuant to clauses (b) Section 7.1.4 or (c) of Section 12.1 7.2.4 shall not relieve the breaching or defaulting or breaching party from any liability to the other party heretoor affect Sellers' right to liquidated damages under Section 8.2.

Effect on Obligations. Termination of this Agreement pursuant to this Article 12 Section 10.1 hereof shall terminate all obligations of the parties hereunder, except for the their obligations under Article 11 and Article 12 hereof and Sections 14.1, 14.2, 14.8, 14.9, 6.2 and 14.11; provided, however, that termination by Buyer or Seller pursuant to clauses (b) or (c) of Section 12.1 shall not relieve the defaulting or breaching party from any liability to the other party hereto7.2 hereof.

Effect on Obligations. Termination of this Agreement pursuant to this Article 12 X shall terminate all obligations of the parties hereunder, except for the obligations under Article XI and Sections 14.112.08, 14.2, 14.8, 14.912.09, and 14.1112.11; provided, however, that termination by Seller pursuant to clause (b) or by Buyer or Seller pursuant to clauses (b) or clause (c) of Section 12.1 10.01 shall not relieve the defaulting or breaching party from any liability to the other party hereto.
