Common use of Effect of Restatement Clause in Contracts

Effect of Restatement. (a) This Agreement shall amend and restate the Original Credit Agreement in its entirety, with the parties hereby agreeing that there is no novation of the Original Credit Agreement and from and after the effectiveness of this Agreement, the rights and obligations of the parties under the Original Credit Agreement shall be subsumed and governed by this Agreement. From and after the effectiveness of this Agreement, the Obligations under the Original Credit Agreement shall continue as Obligations under this Agreement until otherwise paid in accordance with the terms hereof.

Effect of Restatement. (a) This Credit Agreement shall amend and restate the Original Existing Credit Agreement in its entirety, with the parties hereby agreeing that there is no novation of the Original Existing Credit Agreement and from and after the effectiveness of this AgreementClosing Date, the rights and obligations of the parties under the Original Existing Credit Agreement shall be subsumed and governed by this Credit Agreement. From and after the effectiveness of this AgreementClosing Date, the Obligations obligations and Commitments under the Original Existing Credit Agreement shall continue as Obligations obligations and Commitments under this Credit Agreement until otherwise paid or terminated in accordance with the terms hereof.

From Following the Amendment and after the effectiveness of this AgreementRestatement Effective Date, the Obligations under the Original Credit Agreement shall continue as Obligations Loans and Commitments under this Agreement shall be outstanding until otherwise paid terminated in accordance with the terms hereof.

Effect of Restatement. (a) This Agreement amends, restates and supersedes the Original Credit Agreement. Nothing in this Agreement shall amend and restate constitute a novation of any Obligations outstanding under the Original Credit Agreement in its entiretyprior to the Restatement Effective Date and, with to the parties hereby agreeing that there is no novation extent not paid on the Restatement Effective Date, all Loans, Letters of the Original Credit Agreement and from and after the effectiveness of this Agreement, the rights and obligations of the parties other Obligations outstanding under the Original Credit Agreement shall be subsumed remain outstanding as Loans, Letters of Credit and governed by this Agreement.
