Common use of Effect of Invalidity Clause in Contracts

Effect of Invalidity. In the event that any provision of the Purchase Order conflicts with the law under which the Purchase Order is to be construed or if any such provision is held invalid by an arbitrator or a court of competent jurisdiction, such provision shall be deemed to be modified to reflect as nearly as possible the original intention of the parties in accordance with applicable law. The remainder of the Purchase Order shall remain in full force and effect.
