ECOs Clause Samples
The ECOs (Engineering Change Orders) clause establishes the procedures and requirements for making modifications to the design, specifications, or scope of work during a project. Typically, this clause outlines how changes are proposed, reviewed, approved, and implemented, often requiring documentation and agreement from relevant parties before any work is altered. By formalizing the process for handling changes, the clause ensures that all modifications are tracked, authorized, and properly integrated, thereby minimizing misunderstandings and controlling project risks related to scope creep or unauthorized changes.
ECOs. In the event CUSTOMER desires to proceed with the change after receiving the ECN Charge pursuant to Section 6.2, CUSTOMER shall advise SANMINA-SCI in writing and shall immediately issue a PO for the portion of the ECN Charge set forth in Section 6.2(b). In the event CUSTOMER does not desire to proceed with the Change after receiving the ECN Charge, it shall so notify SANMINA-SCI. In the event SANMINA-SCI does not receive written confirmation of CUSTOMER's desire to proceed with the change within thirty days after SANMINA-SCI provides CUSTOMER with the ECN Charge, the ECN shall be deemed cancelled.
ECOs. Licensor may, upon advance written notice to Suntech, submit engineering change orders (“ECOs”) for changes to the Products. ECOs will include documentation of the change to effectively support an investigation of the impact of the engineering change. Suntech will review the ECO and report to Licensor within twenty (20) business days of Suntech’s receipt of the ECO. If the ECO affects the manufacturing costs or timing of the Products or otherwise affects the price or manufacturing process of the affected Products, the parties agree to negotiate in good faith an equitable adjustment to the price and/or delivery timing of the affected Products prior to implementation of the change. The parties agree that twenty (20) business days is a reasonable time period to permit Suntech to evaluate ECO impact regarding potential excess manufacturing costs and price. Suntech may in its sole discretion decide to reject any ECO that it reasonably believes will adversely effect its obligations under this Agreement.
ECOs. Brocade may, upon advance written notice to Hon Hai, submit engineering change orders ("ECOs") for changes to the Products. ECOs will include documentation of the change to effectively support an investigation of the impact of the engineering change. Hon Hai will review the ECO and report to Brocade within [*] of Hon Hai's receipt of the ECO. If the ECO affects the manufacturing or repair costs of the Products or otherwise affects the price of the affected Products, the parties agree to negotiate in good faith an equitable adjustment to the price of the affected Products prior to implementation of the change. The parties agree that [*] is a reasonable time period to permit Hon Hai to evaluate ECO impact regarding potential excess manufacturing costs and price.
ECOs. Supplier shall have the capability to manage ECOs throughout all repair and stocking locations and implement such ECOs in a timely manner. Supplier will integrate its ECO and field change/notification processes with that of Dot Hill’s, for example Dot Hill’s ECO, FIN, and FCO processes, so that all changes made to a Product are communicated to Dot Hill in a timely and effective manner to a Dot Hill specified web site or alternative location in accordance with the requirements of this Agreement. Upon Dot Hill’s request, and at Dot Hill’s expense, Supplier will provide documentation, tools and parts needed to implement ECOs at Dot Hill or Dot Hill’s TPRSs.
ECOs. Brocade may, upon advance written notice to Solectron, submit engineering change orders ("ECOs") for changes to the Products. ECOs will include documentation of the change to effectively support an investigation of the impact of the engineering change. [*], Solectron will acknowledge the ECO and report to Brocade within [*] upon Solectron's receipt of the ECO. If the ECO affects the manufacturing or repair costs of the Products or otherwise affects the price of the affected Products, the parties agree to negotiate in good faith an equitable adjustment to the price of the affected Products prior to implementation of the change. The parties agree that [*] is a reasonable time period to permit Solectron to evaluate ECO impact regarding potential excess manufacturing costs and price, if any, and non-recurring costs, if any. Notwithstanding the foregoing, Brocade may require, from time to time, [*] implementation of an emergency ECO. In these cases, Solectron will provide Brocade with a preliminary estimate of the cost impact within [*].
ECOs. In the event CUSTOMER desires to proceed with the change after receiving the ECN Charge pursuant to Section 6.2, CUSTOMER shall advise SANMINA-SCI in writing. In the event CUSTOMER does not desire to proceed with the Change after receiving the ECN Charge, it shall so notify SANMINA-SCI. In the event SANMINA-SCI does not receive written confirmation of CUSTOMER’s desire to proceed with the change within thirty days after SANMINA-SCI provides CUSTOMER with the ECN Charge, the ECN shall be deemed cancelled.
ECOs. M and its affiliates will not be liable for any failure or delay in performance of obligation under this Agreement where the failures or delay results from any cause beyond our reasonable control, including, but not limited to, acts of God, labor disputes or other industrial disturbances, electrical or power outages, utilities or other telecommunications failures, earthquake, storms or other elements of nature, blockages, embargoes, riots, acts or orders of government, acts of terrorism, or war. Force Majeure events include, but are not limited to, upgrades to the validation rules of a given blockchain (e.g., a “hard fork” or “soft fork”). ECOS-M protects safety of the Customer by reserving a right to buy-back digital assets in case of the situation, when authorities of the Customer’s State of residence prohibit using of cryptocurrencies, mining or blockchain technology. ECOS-M creates extra guarantees for the Customer by reserving a right to buy-back digital assets in case of any situation, including even force majeure situations defined above.
ECOs. Infortrend shall have the capability to manage ECOs throughout all repair and stocking locations and implement such ECOs in a timely manner. Infortrend shall notify Dot Hill in writing within a reasonable period (no less than [...***...] unless such shorter period is agreed to by Dot Hill in advance based on the critical nature of implementation of the change, which agreement will not be unreasonably withheld, delayed or conditioned) prior to the effective date of the proposed change. Infortrend shall not implement any change to the Product that impacts the form, fit, or function, or adversely affects the quality, reliability, serviceability or safety, without the prior written approval of Dot Hill. ECOs. Either EMV or Manufacturer may, from time to time, submit written requests to the other, for engineering change orders ("ECOs") for changes to the Products. ECOs will include documentation of the change to effectively support an investigation of the impact of the engineering change. The Parties agree to discuss the ECO within one month following the request for the ECO. The parties agree that __1___ month is a reasonable time period to permit Manufacturer to evaluate ECO impact regarding potential excess manufacturing costs and price, if any, and non-recurring costs, if any. No Changes. No changes will be made to the Products without EMV's prior written consent and no approved change will be made effective prior to the date approved by EMV in writing. Manufacturer will not change or modify the processes for the Products without EMV's prior written consent. Manufacturer will reimburse EMV for all expenses incurred by EMV to qualify changes to such materials or processes that are undertaken by Manufacturer without EMV's prior written consent.
