Common use of ECA Guarantee Clause in Contracts

ECA Guarantee. If (i) the ECA Guarantee is illegal or becomes illegal or is terminated or no longer in full force and effect or (ii) Finnvera is released from any liability thereunder, and the events in (i) or (ii) above in any way restrict the rights or remedies of the Finnvera Facility B Agent under the ECA Guarantee in respect of any amounts already disbursed to the Borrower by way of Tranche B Advances and any interest accrued thereon (such amounts, the “Affected Amounts”), the Borrower shall, within 10 days following the date on which the Finnvera Facility B Agent makes a written demand therefor, find a replacement guarantee or other instrument satisfactory to all Tranche B Lenders, unless within such 10 day period all Tranche B Lenders confirm in writing that the Borrower is released from its obligations under this covenant.
