Common use of Earnings to Date of Termination Clause in Contracts

Earnings to Date of Termination. An amount equal to the sum of (a) base salary or other compensation earned through the date of termination, plus (b) the Executive's pro rata share (based on the portion of the then-current calendar year during which the Executive was employed before termination of the Executive's employment) of the highest of the aggregate annual amounts paid to the Executive (or accrued) as bonuses or other cash incentive compensation for the three calendar years preceding the termination of employment, plus (c) any other compensation and benefits as may be provided in accordance with the terms and provisions of any applicable plans and programs, if any, of the Holding Company.
