EARLY TERMINATION WITH EARLY TERMINATION FEE. Upon thirty (30) days’ written notice from Merchant to SHIFT4 if Merchant pays all outstanding amounts due as of the effective date of termination plus an Early Termination Fee. The “Early Termination Fee” is the average of the GATEWAY Monthly Service Fees invoiced since this Gateway Services Agreement’s Effective Date, multiplied by the number of months remaining in the current Initial Term or Successive Term. But if Merchant also terminates its Merchant Processing Agreementwith a SHIFT4 Affiliate—see Section3.10—the “Early TerminationFee,” instead, is the average of the GATEWAY Monthly Service Fees that would have been invoiced under Section 3.10 if those rates had been in effect since this Gateway Services Agreement’s Effective Date, multiplied by the number of months remaining in the current Initial Term or Successive Term.
