Early Development Program. An early Development program shall be conducted by ChemoCentryx with respect to each Development Candidate as well as, where necessary in light of failure (prior to conduct of the PoC Trial) of such Development Candidate, the Back-Up Compounds for such Development Candidate, against each Collaboration Target (each, an “Early Development Program”). The JSC may, at its discretion at any time during the Early Development Program (prior to conduct of the PoC Trial), substitute for the Development Candidate either of the two Back-up Compounds for further Development, provided such Back-up Compounds meet the Development Candidate Criteria. ChemoCentryx shall have principal responsibility for the conduct of each Early Development Program for each Development Candidate, in accordance with the Early Development Plan described in Section 3.7, and shall have sole responsibility for all costs and expenses for each Early Development Program hereunder. GSK shall provide consultation and advice with respect to such activities, which shall be considered in good faith by ChemoCentryx. The Parties agree to cooperate during the Collaboration Term in identifying and implementing opportunities to reduce the costs incurred in the conduct of the Research Program and any Early Development Program, including costs of equipment, consumables such as laboratory supplies and Third Party services such as toxicology, clinical studies or manufacturing services, provided such cooperation does not unduly delay or hamper ChemoCentryx in the performance of its activities thereunder. These attempts may include exploration of GSK’s preferred supply arrangements, the use of GSK’s reverse auction technology and other procurement expertise.
Early Development Program. Unless GSK exercises its [...***...] Option for a given Research Program within the [...***...] Option Exercise Period, Regulus shall proceed with conducting Development activities directed toward progressing the Development Candidate for such Research Program through Completion of the PoC Trial, including the conduct of a Phase 1 Clinical Trial and such PoC Trial, in accordance with the Early Development Plan (“Early Development Program”). In such case, subject to the oversight of the JSC and except as may be mutually agreed by the Parties, Regulus shall be solely responsible for conducting all Development activities set forth in the Early Development Plan with respect to Collaboration Compounds under each Early Development Program, and for all costs and expenses associated therewith, during the Early Development Program Term. GSK, through the JSC, shall have the right to provide consultation and advice with respect to such activities, which shall be considered in good faith by Regulus.
Early Development Program. The Parties intend and agree to undertake a limited joint development program in which Principia will conduct, in good scientific manner and in accordance with Applicable Law, the [*] and related activities (such program, the “Early Development Program”) pursuant to the early development plan (including associated protocols) attached hereto as Exhibit F (as amended from time to time, the “EDP”). Sanofi may amend the EDP at its sole discretion, provided such amendments are not anticipated to (i) delay the achievement of results for the activities contemplated thereunder for more than [*], (ii) materially increase the scope of Principia’s activities, or (iii) increase the initially budgeted costs with respect to the activities set forth therein by more than [*] in the aggregate, provided further that, if any of the foregoing ((i) through (iii)) are anticipated, then Principia’s consent will be required, but may not be unreasonably withheld (except in the case of an increase above the initially budgeted costs with respect to the activities set forth therein by more than [*] in the aggregate), conditioned or delayed. In the event of an inconsistency between the EDP and this Agreement, the terms of this Agreement will prevail.
