Duties of the Executive. The Executive shall be the Chief Executive Officer and President of the Company and shall report directly to the Chairman of the Board of Directors. The duties of employment shall generally include those required for the day-to-day and longer-term planning, development, operation and advancement of the business of the Company, and such additional executive and financial administrative and operational duties of a character keeping with the Executive's position as Chief Executive Officer and President of the Company as may from time-to-time be assigned to the Executive by the Board of Directors of the Company. As Chief Executive Officer of the Board and President of the Company, the Executive shall be in complete charge of the operations of the Company and shall have full authority and responsibility, subject to the general direction and control of the Board of Directors of the Company, for formulating policies and administering the affairs of the Company in all respects, subject to the provisions hereinafter contained. During the Employment Period, and excluding any periods of vacation and sick leave to which the Executive is entitled, the Executive agrees to devote reasonable and appropriate attention and time during normal business hours to the business and affairs of the Company and, to the extent necessary to discharge the responsibilities assigned to the Executive hereunder, and to diligently use his best efforts to perform faithfully and efficiently such responsibilities and to promote and further the reputation and good name of the Company. During the Employment Period it shall not be a violation of this Agreement for the Executive to (A) serve on corporate, civic or charitable boards or committees, or (B) manage personal investments, provided that such activities do not interfere with the performance of the Executive's responsibilities as an employee of the Company in accordance with this Agreement.
