DUE INCORPORATION OF THE COMPANIES AND THE SUBSIDIARIES. The Companies and each of the Subsidiaries are corporations duly incorporated, validly existing and in good standing under the relevant laws of incorporation and have full corporate power and authority to own their property and to carry on their business as now conducted. The Companies and each of the Subsidiaries are duly qualified to do business in all jurisdictions in which the nature of their assets or their business make such qualification necessary. Correct and complete copies of the deeds of incorporation and of the current by-laws of the Companies and each of the Subsidiaries have been previously provided to the Purchaser.
