Downpayment. Upon signature of this Agreement and receipt of an invoice from Demandware, ▇▇▇▇▇▇▇▇▇▇.▇▇ shall pay to Demandware a one-off amount of EUR [**] as an advance payment for the Subscription Fee (“Downpayment”) in accordance with Section 15 of this Agreement. Such amount shall be repaid by Demandware to ▇▇▇▇▇▇▇▇▇▇.▇▇ in case of a termination of this Agreement pursuant to Section 24.3.l(a) of this Agreement.
