Documentation and Packaging. The Contractor shall supply TenCate with detailed blueprints, drawings, instructions, descriptions and calculations, control certificates, certificates of conformity and any other relevant documents relating to the Deliverables, in accordance with applicable laws, including mandatory local laws. The Deliverables shall be delivered in a packaging that is compliant with the Specifications and/or the applicable usage and regulations. The Contractor shall be responsible for the consequences of any defective packaging of the Deliverables.
Documentation and Packaging. Distributor shall produce all documentation, packaging and other items customarily supplied to End Users, and shall assemble such items, all at Distributor's cost. Such items shall be provided to Developer not less than fifteen (15) days prior to commencement of production for Developer's review and approval, and production shall not be commenced until approved in writing by Developer, except that failure by Developer to approve or disapprove within fifteen (15) days shall be deemed to be approval.
Documentation and Packaging. Prior to each shipment of Consumables, Illumina shall perform quality control testing procedures and inspections to verify that the Consumables to be shipped conform to the Specifications. Illumina shall [*] provide Consumables from one production lot per shipment [*]. All Consumables delivered hereunder shall be packaged in containers suitable for shipment in accordance with the Specifications or as otherwise agreed by the Parties in writing. Each such shipment will be labeled with a description of its contents, including quantity of Consumables Goods, and date of manufacture, and the Customer purchase order number pursuant to which it is being delivered.
Documentation and Packaging. As used herein, “Documentation” shall mean all manuals, instructions and other materials, whether in written or electronic form, provided by Comarco or its manufacturer for the use of the Products by customers, which describe the operation and maintenance of the Products. Targus shall have the right to approve the packaging and Documentation for the Products. The Products supplied to Targus will be packaged and branded with the “Targus” name only. In the event the parties do not complete Exhibit A concurrently with the execution of this Agreement for any reason, such failure shall not affect the validity of this Agreement. In such event, the parties shall have the right to attach this exhibit subsequent to the execution of this Agreement provided an authorized individual on behalf of each party signs the exhibit. Exhibit A may be updated from time to time in the same manner. If the parties fail to attach Exhibit A for any Products supplied by Comarco to Targus from and after the date hereof, then the terms and conditions of this Agreement shall be deemed incorporated into the purchase order for such Products and the Products shall be deemed sold to Targus pursuant to the terms and conditions of this Agreement.
Documentation and Packaging. Distributor shall produce all documentation, packaging and other items customarily supplied to End Users, and shall assemble such items, all at Distributor's cost. Five (5) such copies shall be provided to Developer not less than sixty (60) days after commencement of production for Developer's reference library.
Documentation and Packaging. 4.1 The Supplier must ensure that all documents relating to the Goods/Services (including advice/delivery notes and invoices) state the Company’s order number, product description, product code and quantity. 4.2 The packaging and labelling of the Goods must meet the quality requirements set by, and otherwise be as specified by, the Company. The Company shall not be obliged to return to or account to the Supplier for any packaging materials (including pallets). Any packaging materials which are returned shall be at the Supplier’s risk and cost.

  • Documentation and compliance (a) The data importer shall promptly and adequately deal with enquiries from the data exporter that relate to the processing under these Clauses. (b) The Parties shall be able to demonstrate compliance with these Clauses. In particular, the data importer shall keep appropriate documentation on the processing activities carried out on behalf of the data exporter. (c) The data importer shall make available to the data exporter all information necessary to demonstrate compliance with the obligations set out in these Clauses and at the data exporter’s request, allow for and contribute to audits of the processing activities covered by these Clauses, at reasonable intervals or if there are indications of non-compliance. In deciding on a review or audit, the data exporter may take into account relevant certifications held by the data importer.

  • Documentation and Record Keeping 1. Records to be Maintained Subrecipient shall maintain all records required by the Federal regulations specified in 24 CFR 570.506 that are pertinent to the activities to be funded under this Contract. Such records shall include, but not be limited to: a. Records providing a full description of each activity undertaken; b. Records demonstrating that each activity undertaken meets the one of the National Objectives of the CDBG program; c. Records required to determine the eligibility of activities; d. Records required to document the acquisition, improvement, use, or disposition of real property acquired or improved with CDBG assistance; e. Records documenting compliance with the fair housing and equal opportunity components of the CDBG program; f. Financial records as required by federal regulations 24 CFR 570.502, and 24 CFR 84.21-28; and g. Other records necessary to document compliance with Subpart K of 23 CFR.

  • Closing Documentation The Parent shall have received the --------------------- following documents, agreements and instruments from the Company: (i) an opinion of ▇▇▇▇ ▇▇▇▇ ▇▇▇▇ & Freidenrich LLP, dated the Closing Date and addressed to the Parent and Newco, in substantially the form of Exhibit F hereto; --------- (ii) certificates dated as of a recent date from the Secretary of State of the States of Delaware and any other applicable states to the effect that each of the Company and its Subsidiaries is duly incorporated and in good standing in such state and stating that the Company and its Subsidiaries owes no franchise taxes in such state and listing all documents of the Company and its Subsidiaries on file with said Secretary of State; (iii) a copy of the Certificate of Incorporation of the Company, including all amendments thereto, certified as of a recent date by the Secretary of State of the State of Delaware; (iv) evidence, reasonably satisfactory to the Parent, of the authority and incumbency of the persons acting on behalf of the Company in connection with the execution of any document delivered in connection with this Agreement; (v) Uniform Commercial Code Search Reports on Form UCC-11 with respect to the Company and its Subsidiaries from the states and local jurisdictions where the principal place of business of the Company and its Subsidiaries and their respective assets are located, the search reports of which shall confirm compliance with Section 3.15 (and Schedule thereto) of this Agreement; (vi) the corporate minute books and stock record books of the Company and its Subsidiaries; (vii) estoppel letters of lenders to the Company, in form and substance reasonably satisfactory to the Parent, with respect to amounts (including any pre-payment penalties) owing by the Company as of the Closing; and (viii) such other instruments and documents as the Parent shall reasonably request not inconsistent with the provisions hereof.

  • Approval of Documentation The form and substance of all certificates, instruments and other documents delivered to Buyer under this Agreement shall be satisfactory in all reasonable respects to Buyer and its counsel.

  • Instrumentation The acceleration shall be recorded during the test, using equipment in accordance with channel frequency class 1000 as specified in the latest version of ISO 6487.
