Distribution Limitations. Pepsi reserves the right to limit quantities, withhold or deduct funding as an offset to amounts not paid by Customer or terminate this Agreement if Customer (i) sells Products directly or indirectly for resale outside of the Pepsi’s exclusive territory where the Facility operates and (ii) purchases Products outside Pepsi’s exclusive territory where the Facility operates and resells such Products within Pepsi’s exclusive territory.
